3、inaSummitheldon6November2001inBandarSeriBegawan,BruneiDarussalam,regardingaFrameworkonEconomicCo-operationandtoestablishaChina-ASEANFreeTradeArea(“China-ASEANFTA”)withintenyearswithspecialanddifferentialtreatmentandflexibilityforthenewerASEANMemberStatesofCambodia,LaoPDR,MyanmarandVietNam(“thenewerA

4、SEANMemberStates”)andwithprovisionforanearlyharvestinwhichthelistofproductsandserviceswillbedeterminedbymutualconsultation;DESIRINGtoadoptaFrameworkAgreementonComprehensiveEconomicCo-operation(“thisAgreement”)betweenChinaandASEAN(collectively,“theParties”,orindividuallyreferringtoanASEANMemberStateo

5、rtoChinaasa“Party”)thatisforward-lookinginordertoforgeclosereconomicrelationsinthe21stcentury;DESIRINGtominimisebarriersanddeepeneconomiclinkagesbetweentheParties;lowercosts;increaseintra-regionaltradeandinvestment;increaseeconomicefficiency;createalargermarketwithgreateropportunitiesandlargereconom

6、iesofscaleforthebusinessesoftheParties;andenhancetheattractivenessofthePartiestocapitalandtalent;BEINGconfidentthattheestablishmentofaChina-ASEANFTAwillcreateapartnershipbetweentheParties,andprovideanimportantmechanismforstrengtheningco-operationandsupportingeconomicstabilityinEastAsia;RECOGNISINGth

7、eimportantroleandcontributionofthebusinesssectorinenhancingtradeandinvestmentbetweenthePartiesandtheneedtofurtherpromoteandfacilitatetheirco-operationandutilisationofgreaterbusinessopportunitiesprovidedbytheChina-ASEANFTA;RECOGNISINGthedifferentstagesofeconomicdevelopmentamongASEANMemberStatesandthe

8、needforflexibility,inparticulartheneedtofacilitatetheincreasingparticipationofthenewerASEANMemberStatesintheChina-ASEANeconomicco-operationandtheexpansionoftheirexports,including,interalia,throughthestrengtheningoftheirdomesticcapacity,efficiencyandcompetitiveness;REAFFIRMINGtherights,obligationsand

9、undertakingsoftherespectivepartiesundertheWorldTradeOrganisation(WTO),andothermultilateral,regionalandbilateralagreementsandarrangements;RECOGNISINGthecatalyticrolethatregionaltradearrangementscancontributetowardsacceleratingregionalandgloballiberalisationandasbuildingblocksintheframeworkofthemultil

10、ateraltradingsystem;HAVEAGREEDASFOLLOWS:ARTICLE1ObjectivesTheobjectivesofthisAgreementareto:strengthenandenhanceeconomic,tradeandinvestmentco-operationbetweentheParties;progressivelyliberaliseandpromotetradeingoodsandservicesaswellascreateatransparent,liberalandfacilitativeinvestmentregime;explorene

11、wareasanddevelopappropriatemeasuresforclosereconomicco-operationbetweentheParties;andfacilitatethemoreeffectiveeconomicintegrationofthenewerASEANMemberStatesandbridgethedevelopmentgapamongtheParties.ARTICLE2MeasuresForComprehensiveEconomicCo-operationThePartiesagreetonegotiateexpeditiouslyinordertoe

12、stablishaChina-ASEANFTAwithin10years,andtostrengthenandenhanceeconomicco-operationthroughthefollowing:progressiveeliminationoftariffsandnon-tariffbarriersinsubstantiallyalltradeingoods;progressiveliberalisationoftradeinserviceswithsubstantialsectoralcoverage;establishmentofanopenandcompetitiveinvest

13、mentregimethatfacilitatesandpromotesinvestmentwithintheChina-ASEANFTA;provisionofspecialanddifferentialtreatmentandflexibilitytothenewerASEANMemberStates;provisionofflexibilitytothePartiesintheChina-ASEANFTAnegotiationstoaddresstheirsensitiveareasinthegoods,servicesandinvestmentsectorswithsuchflexib

14、ilitytobenegotiatedandmutuallyagreedbasedontheprincipleofreciprocityandmutualbenefits;establishmentofeffectivetradeandinvestmentfacilitationmeasures,including,butnotlimitedto,simplificationofcustomsproceduresanddevelopmentofmutualrecognitionarrangements;expansionofeconomicco-operationinareasasmaybem

15、utuallyagreedbetweenthePartiesthatwillcomplementthedeepeningoftradeandinvestmentlinksbetweenthePartiesandformulationofactionplansandprogrammesinordertoimplementtheagreedsectors/areasofco-operation;andestablishmentofappropriatemechanismsforthepurposesofeffectiveimplementationofthisAgreement.PART1ARTI

16、CLE3TradeInGoodsInadditiontotheEarlyHarvestProgrammeunderArticle6ofthisAgreement,andwithaviewtoexpeditingtheexpansionoftradeingoods,thePartiesagreetoenterintonegotiationsinwhichdutiesandotherrestrictiveregulationsofcommerce(except,wherenecessary,thosepermittedunderArticleXXIV(8)(b)oftheWTOGeneralAgr

17、eementonTariffsandTrade(GATT)shallbeeliminatedonsubstantiallyalltradeingoodsbetweentheParties.ForthepurposesofthisArticle,thefollowingdefinitionsshallapplyunlessthecontextotherwiserequires:“ASEAN6”referstoBrunei,Indonesia,Malaysia,Philippines,SingaporeandThailand;“appliedMFNtariffrates”shallincludei

18、n-quotarates,andshall:inthecaseofASEANMemberStates(whichareWTOmembersasof1July2003)andChina,refertotheirrespectiveappliedratesasof1July2003;andinthecaseofASEANMemberStates(whicharenon-WTOmembersasof1July2003),refertotheratesasappliedtoChinaasof1July2003;“non-tariffmeasures”shallincludenon-tariffbarr

19、iers.ThetariffreductionoreliminationprogrammeofthePartiesshallrequiretariffsonlistedproductstobegraduallyreducedandwhereapplicable,eliminated,inaccordancewiththisArticle.TheproductswhicharesubjecttothetariffreductionoreliminationprogrammeunderthisArticleshallincludeallproductsnotcoveredbytheEarlyHar

20、vestProgrammeunderArticle6ofthisAgreement,andsuchproductsshallbecategorisedinto2Tracksasfollows:NormalTrack:ProductslistedintheNormalTrackbyaPartyonitsownaccordshall:havetheirrespectiveappliedMFNtariffratesgraduallyreducedoreliminatedinaccordancewithspecifiedschedulesandrates(tobemutuallyagreedbythe

21、Parties)overaperiodfrom1January2005to2010forASEAN6andChina,andinthecaseofthenewerASEANMemberStates,theperiodshallbefrom1January2005to2015withhigherstartingtariffratesanddifferentstaging;andinrespectofthosetariffswhichhavebeenreducedbuthavenotbeeneliminatedunderparagraph4(a)(i)above,theyshallbeprogre

22、ssivelyeliminatedwithintimeframestobemutuallyagreedbetweentheParties.SensitiveTrack:ProductslistedintheSensitiveTrackbyaPartyonitsownaccordshall:(i)havetheirrespectiveappliedMFNtariffratesreducedinaccordancewiththemutuallyagreedendratesandenddates;and(ii)whereapplicable,havetheirrespectiveappliedMFN

23、tariffratesprogressivelyeliminatedwithintimeframestobemutuallyagreedbetweentheParties.ThenumberofproductslistedintheSensitiveTrackshallbesubjecttoamaximumceilingtobemutuallyagreedamongtheParties.ThecommitmentsundertakenbythePartiesunderthisArticleandArticle6ofthisAgreementshallfulfiltheWTOrequiremen

24、tstoeliminatetariffsonsubstantiallyallthetradebetweentheParties.ThespecifiedtariffratestobemutuallyagreedbetweenthePartiespursuanttothisArticleshallsetoutonlythelimitsoftheapplicabletariffratesorrangeforthespecifiedyearofimplementationbythePartiesandshallnotpreventanyPartyfromacceleratingitstariffre

25、ductionoreliminationifitsowishesto.ThenegotiationsbetweenthePartiestoestablishtheChina-ASEANFTAcoveringtradeingoodsshallalsoinclude,butnotbelimitedtothefollowing:otherdetailedrulesgoverningthetariffreductionoreliminationprogrammefortheNormalTrackandtheSensitiveTrackaswellasanyotherrelatedmatters,inc

26、ludingprinciplesgoverningreciprocalcommitments,notprovidedforintheprecedingparagraphsofthisArticle;RulesofOrigin;treatmentofout-of-quotarates;modificationofaPartyscommitmentsundertheagreementontradeingoodsbasedonArticleXXVIIIoftheGATT;non-tariffmeasuresimposedonanyproductscoveredunderthisArticleorAr

27、ticle6ofthisAgreement,including,butnotlimitedtoquantitativerestrictionsorprohibitionontheimportationofanyproductorontheexportorsaleforexportofanyproduct,aswellasscientificallyunjustifiablesanitaryandphytosanitarymeasuresandtechnicalbarrierstotrade;safeguardsbasedontheGATTprinciples,including,butnotl

28、imitedtothefollowingelements:transparency,coverage,objectivecriteriaforaction,includingtheconceptofseriousinjuryorthreatthereof,andtemporarynature;disciplinesonsubsidiesandcountervailingmeasuresandanti-dumpingmeasuresbasedontheexistingGATTdisciplines;andfacilitationandpromotionofeffectiveandadequate

29、protectionoftrade-relatedaspectsofintellectualpropertyrightsbasedonexistingWTO,WorldIntellectualPropertyOrganization(WIPO)andotherrelevantdisciplines.ARTICLE4TradeinServicesWithaviewtoexpeditingtheexpansionoftradeinservices,thePartiesagreetoenterintonegotiationstoprogressivelyliberalisetradeinservic

30、eswithsubstantialsectoralcoverage.Suchnegotiationsshallbedirectedto:progressiveeliminationofsubstantiallyalldiscriminationbetweenoramongthePartiesand/orprohibitionofnewormorediscriminatorymeasureswithrespecttotradeinservicesbetweentheParties,exceptformeasurespermittedunderArticleV(1)(b)oftheWTOGener

31、alAgreementonTradeinServices(GATS);expansioninthedepthandscopeofliberalisationoftradeinservicesbeyondthoseundertakenChinaandASEANMemberStatesundertheGATS;andenhancedco-operationinservicesbetweenthePartiesinordertoimproveefficiencyandcompetitiveness,aswellastodiversifythesupplyanddistributionofservic

32、esoftherespectiveservicesuppliersoftheParties.ARTICLE5InvestmentTopromoteinvestmentsandtocreatealiberal,facilitative,transparentandcompetitiveinvestmentregime,thePartiesagreeto:enterintonegotiationsinordertoprogressivelyliberalisetheinvestmentregime;strengthenco-operationininvestment,facilitateinves

33、tmentandimprovetransparencyofinvestmentrulesandregulations;andprovidefortheprotectionofinvestments.ARTICLE6EarlyHarvestWithaviewtoacceleratingtheimplementationofthisAgreement,thePartiesagreetoimplementanEarlyHarvestProgramme(whichisanintegralpartoftheChina-ASEANFTA)forproductscoveredunderparagraph3(

34、a)belowandwhichwillcommenceandendinaccordancewiththetimeframessetoutinthisArticle.ForthepurposesofthisArticle,thefollowingdefinitionsshallapplyunlessthecontextotherwiserequires:“ASEAN6”referstoBrunei,Indonesia,Malaysia,Philippines,SingaporeandThailand;“appliedMFNtariffrates”shallincludein-quotarates

35、,andshall:inthecaseofASEANMemberStates(whichareWTOmembersasof1July2003)andChina,refertotheirrespectiveappliedratesasof1July2003;andinthecaseofASEANMemberStates(whicharenon-WTOmembersasof1July2003),refertothetariffratesasappliedtoChinaasof1July2003.Theproductcoverage,tariffreductionandelimination,imp

36、lementationtimeframes,rulesoforigin,traderemediesandemergencymeasuresapplicabletotheEarlyHarvestProgrammeshallbeasfollows:ProductCoverage(i)Allproductsinthefollowingchaptersatthe8/9digitlevel(HSCode)shallbecoveredbytheEarlyHarvestProgramme,unlessotherwiseexcludedbyaPartyinitsExclusionListassetoutinA

38、nListtoplaceoneormoreoftheseproductsundertheEarlyHarvestProgramme.ThespecificproductssetoutinAnnex2ofthisAgreementshallbecoveredbytheEarlyHarvestProgrammeandthetariffconcessionsshallapplyonlytothepartiesindicatedinAnnex2.Thesepartiesmusthaveextendedthetariffconcessionsontheseproductstoeachother.Fort

39、hosepartieswhichareunabletocompletetheappropriateproductlistsinAnnex1orAnnex2,thelistsmaystillbedrawnupnolaterthan1March2003bymutualagreement.TariffReductionandElimination(i)AllproductscoveredundertheEarlyHarvestProgrammeshallbedividedinto3productcategoriesfortariffreductionandeliminationasdefinedan

40、dtobeimplementedinaccordancewiththetimeframessetoutinAnnex3tothisAgreement.ThisparagraphshallnotpreventanyPartyfromacceleratingitstariffreductionoreliminationifitsowishes.(ii)AllproductswheretheappliedMFNtariffratesareat0%,shallremainat0%.Wheretheimplementedtariffratesarereducedto0%,theyshallremaina

41、t0%.APartyshallenjoythetariffconcessionsofalltheotherpartiesforaproductcoveredunderparagraph3(a)(i)abovesolongasthesameproductofthatPartyremainsintheEarlyHarvestProgrammeunderparagraph3(a)(i)above.InterimRulesofOriginTheInterimRulesofOriginapplicabletotheproductscoveredundertheEarlyHarvestProgrammes

42、hallbenegotiatedandcompletedbyJuly2003.TheInterimRulesofOriginshallbesupersededandreplacedbytheRulesofOrigintobenegotiatedandimplementedbythePartiesunderArticle3(8)(b)ofthisAgreement.ApplicationofWTOprovisionsTheWTOprovisionsgoverningmodificationofcommitments,safeguardactions,emergencymeasuresandoth

43、ertraderemedies,includinganti-dumpingandsubsidiesandcountervailingmeasures,shall,intheinterim,beapplicabletotheproductscoveredundertheEarlyHarvestProgrammeandshallbesupersededandreplacedbytherelevantdisciplinesnegotiatedandagreedtobythePartiesunderArticle3(8)ofthisAgreementoncethesedisciplinesareimp

44、lemented.InadditiontotheEarlyHarvestProgrammefortradeingoodsasprovidedforintheprecedingparagraphsofthisArticle,thePartieswillexplorethefeasibilityofanearlyharvestprogrammefortradeinservicesinearly2003.Withaviewtopromotingeconomicco-operationbetweentheParties,theactivitiessetoutinAnnex4ofthisAgreemen

45、tshallbeundertakenorimplementedonanacceleratedbasis,asthecasemaybe.PART2ARTICLE7OtherAreasOfEconomicCo-operationThePartiesagreetostrengthentheirco-operationin5prioritysectorsasfollows:(a)agriculture;(b)informationandcommunicationstechnology;humanresourcesdevelopment;investment;andMekongRiverbasindev

46、elopment.Co-operationshallbeextendedtootherareas,including,butnotlimitedto,banking,finance,tourism,industrialco-operation,transport,telecommunications,intellectualpropertyrights,smallandmediumenterprises(SMEs),environment,bio-technology,fishery,forestryandforestryproducts,mining,energyandsub-regiona

47、ldevelopment.Measurestostrengthenco-operationshallinclude,butshallnotbelimitedto:(a)promotionandfacilitationoftradeingoodsandservices,andinvestment,suchas:(i)standardsandconformityassessment;(ii)technicalbarrierstotrade/non-tariffmeasures;andcustomsco-operation;(b)increasingthecompetitivenessofSMEs;

48、promotionofelectroniccommerce;capacitybuilding;andtechnologytransfer.ThePartiesagreetoimplementcapacitybuildingprogrammesandtechnicalassistance,particularlyforthenewerASEANMemberStates,inordertoadjusttheireconomicstructureandexpandtheirtradeandinvestmentwithChina.PART3ARTICLE8TimeframesFortradeingoo

49、ds,thenegotiationsontheagreementfortariffreductionoreliminationandothermattersassetoutinArticle3ofthisAgreementshallcommenceinearly2003andbeconcludedby30June2004inordertoestablishtheChina-ASEANFTAcoveringtradeingoodsby2010forBrunei,China,Indonesia,Malaysia,thePhilippines,SingaporeandThailand,andby20

50、15forthenewerASEANMemberStates.ThenegotiationsontheRulesofOriginfortradeingoodsunderArticle3ofthisAgreementshallbecompletednolaterthanDecember2003.Fortradeinservicesandinvestments,thenegotiationsontherespectiveagreementsshallcommencein2003andbeconcludedasexpeditiouslyaspossibleforimplementationinacc

51、ordancewiththetimeframestobemutuallyagreed:(a)takingintoaccountthesensitivesectorsoftheParties;and(b)withspecialanddifferentialtreatmentandflexibilityforthenewerASEANMemberStates.Forotherareasofeconomicco-operationunderPart2ofthisAgreement,thePartiesshallcontinuetobuilduponexistingoragreedprogrammes

52、setoutinArticle7ofthisAgreement,developneweconomicco-operationprogrammesandconcludeagreementsonthevariousareasofeconomicco-operation.ThePartiesshalldosoexpeditiouslyforearlyimplementationinamannerandatapaceacceptabletoallthepartiesconcerned.Theagreementsshallincludetimeframesfortheimplementationofth

53、ecommitmentstherein.ARTICLE9Most-FavouredNationTreatmentChinashallaccordMost-FavouredNation(MFN)TreatmentconsistentwithWTOrulesanddisciplinestoallthenon-WTOASEANMemberStatesuponthedateofsignatureofthisAgreement.ARTICLE10GeneralExceptionsSubjecttotherequirementthatsuchmeasuresarenotappliedinamannerwh

54、ichwouldconstituteameansofarbitraryorunjustifiablediscriminationbetweenoramongthePartieswherethesameconditionsprevail,oradisguisedrestrictionontradewithintheChina-ASEANFTA,nothinginthisAgreementshallpreventanyPartyfromtakingandadoptingmeasuresfortheprotectionofitsnationalsecurityortheprotectionofart

55、iclesofartistic,historicandarchaeologicalvalue,orsuchothermeasureswhichitdeemsnecessaryfortheprotectionofpublicmorals,orfortheprotectionofhuman,animalorplantlifeandhealth.ARTICLE11DisputeSettlementMechanismThePartiesshall,within1yearafterthedateofentryintoforceofthisAgreement,establishappropriatefor

56、maldisputesettlementproceduresandmechanismforthepurposesofthisAgreement.Pendingtheestablishmentoftheformaldisputesettlementproceduresandmechanismunderparagraph1above,anydisputesconcerningtheinterpretation,implementationorapplicationofthisAgreementshallbesettledamicablybyconsultationsand/ormediation.

57、ARTICLE12InstitutionalArrangementsForTheNegotiationsTheChina-ASEANTradeNegotiationCommittee(China-ASEANTNC)thathasbeenestablishedshallcontinuetocarryouttheprogrammeofnegotiationssetoutinthisAgreement.ThePartiesmayestablishotherbodiesasmaybenecessarytoco-ordinateandimplementanyeconomicco-operationact

58、ivitiesundertakenpursuanttothisAgreement.TheChina-ASEANTNCandanyaforesaidbodiesshallreportregularlytotheMinisteroftheMinistryofForeignTradeandEconomicCo-operation(MOFTEC)ofChinaandtheASEANEconomicMinisters(AEM),throughthemeetingsoftheMOFTECandASEANSeniorEconomicOfficials(SEOM),ontheprogressandoutcomeofitsnegotiations.The
