3、ed basis.“adb” 是指空干基。2.arb means as received basis.“arb” 是指收到基。3.Cargo means delivered Korea blind coal of each shipment approximately 6500 MT (+/-10%) as per sellers option.“Cargo” 是指交运的每船装运约 60,000 吨 +/-10的朝鲜无烟煤。4.Coal means Korea blind coal produced for the Seller from D.P R .Korea“Coal” 是指卖方产的。朝
4、鲜无烟煤5.“C&F” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time).“C&f” 含义等同于(随时修正的)INCOTERMS 2000 确定的相同术语的含义。6.“CFR” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time).“CFR” 含义等同于(随时修正的)INCOTERMS 2000 确定的相同术语COTERMS 2000 确定的相同术语的含义。7.Load
5、ing Port means the vessel loading port,it is Nampo,Korea, or such other port as the parties may agree to in writing.“装货港” 是指船装货港口,即朝鲜南浦港或由双方书面同意的其它港口。8. “Discharge Port” means RIZHAO PORT, CHINA “卸货港” 是指中国日照港。 9.Kcal/Kg means kilocalories of energy per kilogram of coal.“Kcal/Kg” 是指每公斤煤炭的发热量。10.When
6、calculating any price or adjusted price, or component thereof, the results of such calculation shall be rounded to the nearest cent and on half of a cent shall be rounded up. When calculating any tonnage, the results of such calculation shall be rounded to the nearest tonne and one half of a tonne s
7、hall be rounded up.当计算任何价格或是调整价格或是任何部分价格时,这类计算的结果应当按照最接近的分值四舍五入,并且 0.5 美分应当四舍五入到 1 美分。当计算任何吨数时,这类计算的结果应当按照最接近的吨数四舍五入,并且 0.5 吨应当四舍五入到 1 吨。11.US$ means (unless otherwise specified) the currency of the United States of America.“US$” 是指美元(除非有其它规定)。12.Party or Parties means Seller or Buyer or Both.“Party
8、” 或者 “Parties” 是指卖方或买方或双方。13.“Metric Tonne” or “MT” or “Tonne” shall mean 1,000 kilograms.“公吨” 或 “MT” 或 “吨” 是指 1,000 公斤。14.“Base Price” means the base price for Coal fixed in accordance with Clause 3.1, 3.2, 3.3.“基准价格” 是指按照本合同第 3.1、3.2 、3.3 条款确定的煤炭底价。15.Delivery time at the Discharging Port means th
9、e first day when ship sail to discharge port or anchorage.在卸货港交货时间意为船到达卸货港或者锚地的第一天。16.Unless the context otherwise requires, the singular shall including the plural and vice versa.除非本合同上下文另有要求,任何词语的单数应包含复数的含义,反之亦然。17.The contract signed through electronic method shall be valid as original contract a
10、nd can be sent through email to each other.电子签章合约视同正本合约,并以网络寄送为依据。18.Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordance with the terms and conditions set out below. The Seller and Buyer mutually agree as follows:买卖双方均同意根据如下条款和条件购销煤炭:CLAUSE 1COMMODITY AND QUANT
11、ITY 商品与数量1.1Commodity: Steam Coal, Net Calorific Value over 6300kcal/kg (ARB). 商品:无烟煤指低位收到基基准(收到基净值)大卡数为6300KCAL/KG以上1.2Origin: D.P R.KOREA原产地:朝鲜1.3Quantity: 数量:1.3.1Trial/First Shipment:6500MT (+/-10%)试单数量6500MT (+/-10%)1.4Loading Port:Nampo,D.P.R.Korea 装货港: 朝鲜南浦港1.5Discharging port: Rizhao/Lanshan
12、 PORT, CHINA. 卸货港:中国日照或岚山港.CLAUSE 2DELIVERY 交货: 2.1Goods must arrive Discharging Port within 30 days upon the contract is signed by Buyers and Seller.在买卖双方签订合同后 30天内,货物必须抵达卸货港。2.4 Weight for invoicing purposes shall be established by the actual net weight. In case short/over weight exceeds10%,Buyers
13、 and sellers should arrange the settlement according to actual quantity 发票重量应按实际净重开具,允许提单重量10%的允差,买卖双方按照实际数量进行结算CLAUSE 3PRICE 价格 3.1The base price for Coal Net Calorific Value over 6300 Kcal/kg (ARB) CFR China, PORT will be USD142/MT (United States Dollar NINETY ONLY) per metric ton. 单价以收到基低位发热量6300
14、Kcal/kg以上为基准,CIF中国,到岸价142美元/吨。3.2Prices will be reviewed for every Three (3) months and finalized by Both Parties. Both Parties would do their best to renegotiate and agree on a new price 15 days prior to the beginning of every three months. 价格评估是由双方以每3个月一次定价来确定。双方应尽最大努力重新确定新的价格和该在三个月开始之前15天确定价格。CLA
15、USE 4QUALITY SPECIFICATIONS 品质规格:4.1The quality of Coal delivered hereunder shall conform to the following typical specification determined in accordance with ISO Standards by CCIC at the loading port: 在本合同项目下交付的煤炭质量应符合按照装货港CCIC根据 ISO 标准所确定的以规格:Net Calorific Value (ARB) OVER 6300Kcal/kg高发热量收到基低位发热63

18、in Clause 4, the base price in Clause 3 shall be adjusted in accordance with the Specification as stated in Clause 5: 每批装运的动力煤, 如果成分不能满足本合同第4项条款的规定,在第3条款中所阐述的基价将由在第5条款中所规定的内容进行调整:5.1If the actual Total Moisture (ARB) of the cargo exceeds 8%, then the invoice weight of the cargo for payment shall be
19、adjusted in following formula: Invoice Weight = Weight of Cargo in CIQ Certificate of Draft Survey x 1- (Total Moisture in CIQ certificate - 16%)如果全水分(ARB) 大于8%,那么对于交货数量应该按照如下公式调整:结算实际重量 = CIQ重量证书上的水尺计重量 x 【1-(CIQ测量全水-8%)】。5.2Total Sulphur (ADB) must not be more than 0.50% and the Buyer has the righ
20、t to reject the cargo if Total Sulphur is above 1.0%. 硫含量不得高于0.50%, 并且买方有权拒收如果高于1.0%。5.3For every Ash Content above 13%, USD0.20/MT will be deducted from the total value of the invoice. 每1%灰份高于13%, 价格将扣除美元0.20/吨。5.4Net Calorific Value (ARB)5.4.1If the actual Net Calorific Value (ARB) supplied falls
21、below or exceeds the guaranteed Net Calorific Value (ARB), then the price shall be derived as per the following formula: 如果实际提供的NCV(ARB) 低于或超过保证的NCV(ARB),价格将按以下公式计算: Actual NCV (ARB) 实际热值 (收到基低位)Adjusted CFR Price = - x Base CFR Price调整后的到岸价NCV630 Kcal/kg (ARB) (收到基低位) 基础单价5.4.2If NCV (ARB) falls be
22、low 5200 Kcal/Kg (ARB) the shipment can be rejected. 买方能拒收如果NCV(ARB) 低于NCV5200 Kcal/kg (ARB)。CLAUSE 6WEIGHT AND QUALITY INSPECTION AND UMPIRE DETERMINATION 重量和质量之检测以及仲裁判定:6.1 Sampling analysis At Discharging Port 在卸货港之抽样分析Upon goods arrival at the discharging port, the buyer shall, at buyers expense
23、, arrange CIQ China to take samples and will take three representative samples, one for the analysis of the shipment by CIQ China, one should be sealed and sent to Seller as soon as finishing discharging and making samples by CIQ China and one sealed sample to be held by the assayer for 90 days from
24、 B/L date, in the event that an umpire analysis is required, Both parties agreed to appoint SGS CHINA as neutral agent to make umpire analysis.The seller may, at sellers expense, appoint representative(s) to be presented at the time of sampling at the port of discharge.当货物到达卸货港后,买方自费安排中国CIQ在卸货港提取样品,
25、并提取三份代表样品,一份是作为CIQ中国的船运分析样品, 一份密封样品需在完成卸货后寄给卖方,一份密封的样品作为仲裁样本, 如有需要,需在提单日起90天进行化验分析。双方同意SGS中国作为中立机构对新样品进行仲裁分析。在卸货港进行抽样时,卖方有权自行付费派遣代表到达现场。6.2 Umpire analysis 仲裁化验6.2.1Certificate issued at discharging port by China CIQ shall be used as the basis of invoice of final balance payment. 由中国CIQ提供的卸货港样品检测报告必
26、须作为卸货港最终结算付款发票之依据。6.2.2If the deference is larger than the value of the tolerance stipulated as clause 5.4, within five (5) days after the date that Seller inform buyer, Both parties shall to invite SGS CHINA as neutral agent to make umpire analysis, the representative sample seal at discharging por
27、t shall send to SGS institute CHINA to make Independent re-examine。如果差异大于5.4 节所述的允差数值,在卖方通知买方后五天内,双方邀请中国SGS执行中立的仲裁分析,在卸货港保留的代表样品将被送到中国SGS检验机构进行公正独立的复验。6.2.3The Inspecting result of discharging port and SGS China shall be the final result and shall be the basis of final balance and payment settlement
28、.卸货港及中国 SGS 之检验结果将作为最终付款结算之依据。 6.2.4The party with big difference result of SGS CHINA analysis result shall pay the cost of the analysis expenses and the cost for making an umpire re-examine. Should the differences be equal, each party shall pay half of the cost of the analysis and the cost for maki
29、ng an umpire re-examine. 与中国SGS仲裁化验结论相差较大方需负担仲裁检验费用,如误差相等,双方各付一半。6.3 Allowable Tolerance value and Umpire determination 容许允差数值及仲裁判定6.3.1 The allowable tolerance of deference of Inspection result between Loading port and discharging port define as 1 % basis value of all specific items of steam coal o
30、f this contract. 装货港与卸货港所有检验项目的差异允许容差定义为各项规格基础值的0.5。6.3.2 If Difference of each item is less than 1% allowable Tolerance, the average of the inspection value at loading port and discharging port shall be the final value of the basis of invoice value of Payment ; and no further umpire determination i
31、s required. 如果每一项目差异值均小于每一项目之允差值,则装货港与卸货港的检验数据平均值视为最终数值并 必须为付款发票之依据。6.3.3If any one item Difference is higher than 1% allowable Tolerance, Umpire Determination Shall be deem to required and seller and buyer shall invite SGS China to proceeding umpire analysis according the provisions as clause 6.3 如
32、果有任何一项目之差异值大于允差值,则仲裁分析必须执行,卖方与买方必须共同邀请中国SGS依据项目6.3之规则进行仲裁分析。CLAUSE 7METHOD of PAYMENT 付款方式船到码头后,买方即应抽样做简单检验,如检验结果符合本合同所定各项指标,即应支付卖方80%货款,余下20%货款应在SGS检验结果出来后一次性结算清楚。WHEN THE VESSEL ARRIVAL DISCHARGING PORT, THE BUYER SHOULD BE SAMPLING TEST,IF THE INSPECTION RESULT ACOORD WITH THE CONTRACT,THEN SHOUL
33、D PAY 80%PAYMENT TO THE SELLER,AND THE BALANCE 20% PAYMENT SHOULD BE PAID WHILE SGS INSPECTION RESULT COME IN .BANK NAME: BANK ADDRESS: BANK OFFICER: BANK TEL :ACCOUNT NAME: ACCOUNT NUMBER: SWIFT CODE : 7.7 TERMS OF PAYMENT 付款条件98% (+/-10%) of total purchase price are payable at sight against presen
34、tation of the following documents. 总购买价格98% (+/-10%) 对下列信用证介绍文件付款给卖方.(A)Full set of 3/3 original clean on board ocean Bills of Lading made out to order and blank endorsed marked “freight prepaid” notifying applicant. 全套3/3正本清洁已装船海运提单,空白抬头,空白背书,注明 ”运费已付” 通知开证人。(B)Sellers signed commercial invoice in
35、three original and 3 copies showing L/C No. and Contract No.卖方签署的商业发票正本三份副本三份,注明信用证编号和合同号。(C)Certificate of Origin in 1 original and 2 copies issued by the relevant Indonesian governmental authority indicating shipper and consignee make out tom order.相关印度尼西亚政府机构签发的原产地证明正本一份副本二份。注明托运人与受货人。(D)Benefici
36、arys certificate certify that they have faxed or couriered to applicant a copy of certificates (sampling & analysis, weight, draft survey report) within three (3) days after the vessel departure loading port。受益人证明,声明他们已于母船离开装货港三天内将检验证明(取样和分析、重量及水尺检验报告)传真或快递给开证人。(E) Sellers certified copy of fax / te
37、lex dispatched to the Buyer within 48 hours after shipment advising the following items: 一份证明卖方已经在发货后48小时内通过传真/电传通知买方下列事项之复印件:Name of Vessel(船名)B/L No.(提单号)Shipping Date(发货时间)Contract No.(合同号)L/C No.(信用证号)ETA(预计到港日)2% (+/-10%) of total purchase price are payable at sight against presentation of the
38、following documents. 总购买价格2% (+/-10%) 对下列信用证介绍文件付款给卖方.(F)CIQ inspection reports at the port of discharging 中国CIQ在卸货港出具的检验报告CLAUSE 8REJECTION 拒绝收货:8.1Seller shall use its best endeavors to ensure that coal meets the element of quality listed in Clause 4.1. In the event that the quality of Coal as det
39、ermined by analysis of the samples taken during the course of loading indicates the final analysis of the shipment is likely to exceed the elements of quality listed in Clause 4.1, the seller shall endeavor to remedy the problem.卖方应尽其最大的努力以确保货物能满足第 4.1 条款所列的质量要素。如果货物通过在装载过程中进行的样品分析所确定的质量表明这批货物的最终热值和
40、质量分析有可能不能满足第 4.1 条款所述,则卖方应尽力采取补救措施。8.2If coal quality reaches rejection standards, Seller and Buyer shall negotiate in good faith to agree an equitable settlement for such shipment (which may include a reduction in price).But the 2% PB of the contract value will be paid to the buyer as penalty charg
41、e from the seller before negotiation of settlement.如果煤炭质量达到拒收标准,则卖方和买方应基于善意原则,协商一致采取公正的措施处理该批货物(可能包括降价出售)。但是发生拒收情况,视为卖方违约,在议价之前,作为卖方供货保证金的2%履约金将作为未履约罚金赔付给买方。CLAUSE 9OCEAN TRANSPORTATION OF COAL 煤炭的海上运输9.1 Seller shall immediately notify the buyer by fax or email of name、nationality and details of ve
42、ssel after charter party confirmed by Seller.卖方在确认承租船后,须立即以传真或者电子邮件方式通知买方包括船名、国籍及所任命船只的详细情况。9.2The Seller shall undertake to load the contracted goods on board the vessel nominated by the Seller within the time of shipment as stipulated in this Contract. The actual LAYCAN is to be fixed based on the
43、 countdown 7, 5, 3, 2, 1 day.卖方应负责将所订货物按照本合同所规定的装船期内装上卖方所指定的船只。实际装船日必须在倒数7、5、3、2、1 天前各一次传真通知。9.3Discharging Terms 卸货条件9.3.1Buyer guarantees to provide one safe berth at the Discharging Port upon vessel arrival to accommodate a vessel with Beam and LOA as per permissible limits for draft at least of
44、each shipment quantity. 买方保证在卸货港提供一个安全的泊位使每次装载吨位之货船有足够的长度及水深可以安全靠泊。 9.3.2Discharging Rate is 10,000MT Per Weather Working Day 24 consecutive hours, Sunday & Holiday Including basis Vessel shall have minimum 4 Hatches / 4 Hold. 卸除率,每个工作日连续24小时,包括周日及节假日基础,船舶至少有4 个舱口和4 个船舱.9.3.3At the Discharging port,
45、 Vessel shall be consigned to a Port Agent nominated by the Buyer / Seller and appointed by Owner, subject to Owners approval for port disbursement. 在卸货港,船舶应委托一个由买方或者卖方提名和船主任命的港口代理,船东支付港口费用。9.3.4Seller will advise Buyer of the estimated time of arrival(ETA) of Vessel at the Discharging port at least
46、 5 days prior arrival at discharging port. 卖方应至少在船舶到达卸货港前五天通知买方船舶预计到达时间(ETA)。9.3.5Seller will arrange for Vessels Master to advise by agent to Buyer the estimated time of arrival(ETA) at the Discharging Port on departure from the loading port, 7 days, 5 days, 3 days, 2 days and 24 hours prior. 卖方应安排
47、船东在船舶离开装货港后,通知买方的代理人船舶预计到达卸货港的时间(ETA),在预计时间前7天,5天,3天,2天,24小时各通知一次。9.3.6Written Notice of Readiness(NOR) to discharge will be presented by the vessel after arrival at the designated anchorage during normal office hours between 7:00AM and 4:00PM, seven days per week, provided that Vessel is in free pr
48、actice and is in all respects ready to discharge. 假如货船全面准备好卸货,那么到达指定的停泊港后的母船,必须在正常的办公时间(上午7点到下午4点之间)发出卸货准备的书面通知(NOR)。9.3.7Vessel will be arriving within as the designated lay days and will be discharged in principal in accordance with the order of arrival at Discharging Port. 船只应该在指定的装卸时间到达,并根据卸货港的到
49、达指令及规则卸货。9.3.8Lay time for discharging will commence 12 hours after written Notice of Readiness is tendered to Buyers office, whether the Vessel is actually berthed or not, or on commencement of discharging if sooner. If the twelve ( 12 ) hours turn time expires on a major Chinese Holiday, then Lay
50、time for discharging is to commence from 7:00AM on next working day, unless discharging is sooner commenced. Waiting time for berth shall be included in the Lay time unless the waiting has resulted from any action or inaction by Buyer; it is agent, the owner or master of the Vessel, including the gr
51、anting of practice. Shifting time from anchorage to berth shall not count as Lay time. The time is required for the ballasting and for any delay caused by Vessels inability to discharge will not count as Lay time, even if on demurrage, delays due to the causes stipulated as Force Majeure in accordan
52、ce with Article 11 shall not count as Lay time. Time is allowed for discharging and to be calculated on the basis of the Bill of Lading quantity. Lay time will cease count on completion of discharging. 装卸时间应该于给买方办公室的书面通知的12小时后开始,无论船只有无实际停泊,或者在装卸货开始的不久,如果这12小时开始期满于一个主要的中国假日,装卸时间是从下一个工作日的上午7时开始。除非卸货是很
53、快开始的。等待泊位时间应包括在装卸时间内,除非因为是等待买方的任何行动或是因为买方不行动而等待。他是代理人,船只的拥有者或者船长。包括核准执行。即使在滞期内,从停泊处移动到泊位的移动时间不应该被算做装卸时间。任何因为船只压舱所需时间及船只不做为的时间均不能计算为卸货时间。因第11条不可抗力条款所述之原因所造成的延误,不应计为装卸时间。卸货时间是被以提单的数量为基础去计算的。装卸时间应该以卸货的完成时间为准到期。9.3.9Any cost for over time of the officers and crew of the Vessel shall always be to the acc
54、ount of Vessel. 任何船上的官员及船员的超时费用应该总是计入船只的账上。9.3.10The Vessel will furnish lighting necessary for night work on board the Vessel and its suitable safety gangway with net. Vessel is ought to provide working accommodation for foremen. Opening or closing the hatch covers shall be at Vessels cost.该船只应该在船上
55、提供夜间工作的照明设备和安全的通道。船只应该为领班提供工作住宿。打开或关闭舱口盖应含在船舶的成本中。9.3.11Buyer shall bear all the Costs of discharging of Coal from the Vessel. 买方应承担船上煤炭卸货的全部费用。 Nomination: The Seller must provide the Buyer with the Vessels particulars in timely manner prior to loading to secure acceptance of the Vessel (s) from the Discharging Port Authorities. Such details are required for on time storage at the Discharging Port (s) and include but are not limited to: Vessel Name, F
