If Buyer does not file any disputes about quantity, model and specifications within 7 days after goods receipt shall be deemed the product in conformity with the contract or the agreement of orders from this contract.五 货品价格：货品月度结算价格（美元/吨）=阴极铜基价+溢价升水Price: Monthly settlement price of goods (USD/to

11、n) = copper cathodes base price + premium 1、产品的价格按照 铜基价 + 溢价升水 的方式计价；Product pricing copper base price + premium 2、哈板铜基价按伦敦金属交易所现货结算均价或点价计价The base price of Kazakhstan copper plate is valued on the basis of LME cash settlement price or pricing3、溢价升水95 USD/T；Premium 95USD/T4、点价期：买方向卖方支付货物价值10%的点价保证金后

12、，一周内点价完毕；Pricing period：Within one week after Buyer paid 10% of the value of goods as pricing deposit to Seller.5、点价规则：Pricing Rules: 买方可通过电话或书面形式与卖方 宣兆威 先生(电话：)进行点价，最小点价数量25吨/次，卖方在点价后第二天将以书面形式与买方确认； Buyer shall do pricing with Buyer Mr. Zhaowei Xuan （ Tel: by telephone or

Seller shall confirm with Buyer the day of after pricing in writing.有效点价时间段为LME交易日的北京时间9：00至24：00点，应买方要求下可以延迟至次日凌晨一点；最小点价单位为25吨；Effective time of pricing is from Beijing time 9:00 to 24:00 of LME trading day. At the request of Buyer, the prici

14、ng effective time can be delayed to 1 oclock of the next day morning, and minimum pricing unit 25tons.点价：1）点价期内点价，按照点价时“盘面现货价改成“盘面期货价”（LME3月铜价+现货升贴水）”确定铜基价。如果买方在点价期截止期限前仍未点价的，按照合同约定最后点价期当天LME官方现货结算价改成“期货结算价”确定铜基价。Pricing：Copper price shall be confirmed according to “market spot price” (LME March cop

Accordance with the contract that if Buyer does not do pricing before deadline of pricing period, the copper price shall be confirmed by the LME official cash settlement price at the day of the last pricing period.保证金：1）点价期内点价，收取10%初始点价保证

16、金，但如果在未提货之前，市场价格相对买方所点价格下跌超过10时，买方接到卖方保证金追加通知后，须在三个工作日内，补足价格下跌部分差额；Deposit：10% of the value of goods as initial pricing deposit shall be collected during pricing period. Otherwise, the transfer of either single party is invalid.八 责任索赔：Liability claims1. 货品数量违约责任和索赔：双方有

21、义务履行合同或订单数量。如发生不履行合同或订单数量的违约责任，违约方应承担相应的违约赔偿，同时守约方享有该情况下部分或全部终止合同执行的权利。守约方应在违约行为发生后的次月内向违约方提出索赔要求和赔偿条件，逾期将被视为放弃索赔。Liability of quantity breach and claims: Both sides have the obligation to perform the contract or order quantity. 25、 rejected goods ( goods value= pricing of contract unit price by Buyer * product quantity) as penalty.3合同不履行的违约责任：任何一方不履行或不完全履行本合同项下所设定义务，致使本合同所设定目的无法全部或部分实现，守约方有权终止合同履行，且不承担终止合同给违约方造成的损失，同时有权继续以本合同约定追究违约方的违约责任。Liability for breach of contract：either party fails to perform or not fully comply with t

27、e has the right to continue to pursue the defaulting partys breach liability agreed on contract. 九 不可抗力Force Majeure1. 任何一方由于不可抗力的原因不能履行合同时，应在不可抗力事件发生后的三日内向对方通报不能履行或不能完全履行的理由，以减轻可能给对方造成的损失。在取得有关机构证明以后，允许延期履行、部分履行或不履行合同，并根据情况可部分或全部免予承担违约责任。Due to force majeure either party is unable to perform the co
