1、国际销售代理协议书Intern ati onal Age n tial proposal Agreeme nt甲方:xxxx地址乙方:xxxx地址经双方平等、自愿协商,达成本销售代理协议,共同遵守。Based on equality and mutual n egotiati ons, both part ners agree on this sales age n tial agreeme nt.第一条代理内容1. The Contents of Age ncy同意将下列产品瑞典 CINIA TECH & TRADINGTECH 公司(简称SSV)的产品及 CINIA TECH &a
2、mp;TRADINGTECH公司所代理的产品(简称产品)的代理权授予代 理方(简称代理人)。代理人优 先在下列指定地区(简称地区)推销产品中国大庆采 油六厂。代理方式可由以下三种方式一:CINIA TECH & TRADINGTECHB ( Here with n amed as SSV )agrees to authorize an agential right of SSV' s product or agential product sales to ( .Theage nt) . The age nt has the in itiative right to sell
3、with in the regi on of daqing sixth oil extraction factory. One age ntial method is to be selected from the follow ing three means: 1-1代理人直接与客户签订销售合同;1-1 The age nt sig ns the sales con tract directly with the customer;1-2 CINIA TECH & TRADING 、代理人共同与用户签订销售合同1-2 CINIA TECH & TRADING and the
4、age nt sign sales con tract simulta neously.1-3 CINIA TECH & TRADING直接于用户签订销售合同1-3 CINIA TECH & TRADING sig ns the sales con tract directly with the customer.以上三种型式在具体工程项目中由CINIA TECH & TRADING 、代理人双方共同协商决定。The select ion of which means is decided by the n egotiati on of both part ners a
5、ccord ing the con crete project.第二条 代理人的职责、 CINIA TECH & TRADINGTECH 公司的职责2. Respo nsibilities and duties of the age nt and CINIA TECH & TRADING2-1 代理人职责:2-1 The age nt resp on sibilities and duties:2-1-1.非经 CINIA TECH & TRADING 公司的同意,代理人不得经 地区”之外的 地方征求定货。如 代理商在地区外销售,应事先通知CINIA TECH &
6、; TRADING公司,得到许可方能进行销售。2-1-1. Without the ap proval of CINIA TECH & TRADING , the age nt shall n ot place any order to any customer who is outside of the appo in ted "regi on". CINIA TECH & TRADING must be in formed of any sales outside of the appo in ted regi on in adva nce and即 p
7、roval must be gran tedby CINIA TECH & TRADING .2-1-2.代理人无权代表 CINIA TECH & TRADING 公司签订任何具有约束的合约。2-1-2. The age nt has no right to represe nt CINIA TECH & TRADINGsig ning anyform of con tract that has stipulati on.2-1-3.代理人应把 CINIA TECH & TRADING 公司规定的销售条款对用户解释。2-1-3. The age nt shoul
8、d explai n CINIA TECH & TRADING s sales policy to the customer.2-1-4. 代理人自行负责开拓市场与发展用户时,在代理业务中保证向用户提供良 好的服务,不得以 欺诈、胁迫等不正当手段损害客户及制造商的利益及 CINIATECH & TRADINGTECH 公司的声誉。2-1-4. The age nt expa nds and develops the market on his own resp on sibility. During the marketi ng process, the age nt shal
9、l provide satisfactory service to the customer. Any mean of cheati ng an d/or coerci ng, which damages the ben efit an d/or reputati on of the customer or of CINIA TECH & TRADING is strictly prohibited.2-1-5. 代理人保证其所有经营活动完全符合中国有关法律、法规、行政规章等的 规定。如因代理人 违反上述规定的行为给 CINIA TECH & TRADING 公司带来任 何损害
10、,代理人应承担所有法律责任并赔偿给 CINIA TECH & TRADING 公司造 成的损失2-1-5. The age nt guara ntees its total operative activity to comply with the releva nt law, regulation in Chi na. Any loss or damage occurred to CINIA TECH & TRADINGdue to the age nt ' s breach, the age nt shall bear legal resp on sibility
11、and give compe nsati on to CINIA TECH & TRADING .2-1-6.代理人保证遵守中华人民共和国价格法的规定,不以低价倾销制造商设备产品;SSV TECH公司的推荐价格供代理人在代理时参考。2-1-6. The age nt guara ntees to comply with the price law of the People's Republic of Chi na. The age nt shall not dump the product with lower price; CINIA TECH & TRADING
12、shall refer a recomme nded price to the age nt duri ng the age ntial period.2-1-7.代理人应对 CINIA TECH & TRADING 公司明确提示为保密资料的信息给 予保密。2-1-7. The age nt shall keep the con fide ntiality of any defi ned in formati on or document that is provided by CINIA TECH & TRADING .2-1-8.代理商宣传 CINIA TECH &
13、 TRADING 产品的资料必须经 CINIA TECH & TRADING 公司的审 核后方可进行宣传 ,否则由此引起的问题由代理方承担 .2-1-8. All marketing material shall be approved by CINIA TECH & TRADING before the age nt comme nces the market ing and propaga nda process. Otherwise any caused problem due to un approved marketi ng material shall be un
14、dertake n by the age nt.2-2 CINIA TECH & TRADING 公司的职责:2-2 The duty and respo nsibility of CINIA TECH & TRADING:2-2-1 SSV 公司应向代理人提供业务范围内的技术支持,帮助代理人提高技术能 力,拓宽业务范 围。2-2-1. CINIA TECH & TRADING shall provide tech ni que support to the age nt within the bus in ess scope, and develop the tech
15、 nique capability to the age nt in terms to expe nd the bus in ess scope.2-2-2 按照 1-1 方式, CINIA TECH & TRADING 公司原则上不直接与代理人的客 户联系。在代理人 的要求或邀请下除外。按照 1-2方式,由双方人员共同面对客 户。按 1 -3方式双方就有关条款另行 协议.2-2-2. According to 1-1, in principle, CINIA TECH & TRADING AB does not con tact the age nt ' s cust
16、omer directly. Un der a con diti on of the request and in vitati onfrom the age nt, and accord ing to 1-2, both part ners con tact the customer together. Other agreeme nt shall be made after mutual discussi on whe n it relates to 1-3.2-2-3. CINIA TECH & TRADING 公司向代理人提供必要的售后服务,在直接由 代理人与用户签定 的销售合
17、同 (1-1)的情况下, CINIA TECH & TRADING 公司 的售后服务只对代理人,原则上不 直接面向代理人的客户。在由与代理人共同签 订的销售合同( 1-2 )情况下,售后服务主要以 CINIA TECH & TRADING 公司 为主,代理人协助售后服务。2-2-3. CINIA TECH & TRADING AB provides the necessary after-sales service to the age nt, un der the circumsta nce of 1-1 that the age nt sig ns the con
18、tract with the customer directly; CINIA TECH & TRADING AB shall o nly provide the necessary after-sales service to the age nt, in prin ciple CINIA TECH & TRADING does not con tact the customer directly. Un der the circumsta nce of 1-2, the after-sales service is mai nly provided by CINIA TEC
19、H & TRADING with assista nce of the age nt.2-2-4.CINIA TECH & TRADING 公司应对代理人的客户资料及其他代理人明确 提示为保密资料的信 息给予保密。2-2-5. CINIA TECH & TRADING ABshould keep all defi ned in formatio n of the age nt and customer con fide ntial.2-2-5. 在由代理人与用户直接签订销售合同( 1-1)的情况下,对于代理人与其用 户之间的纠纷、争 议、损失、侵权、违约责任等,均由代理
20、人与客户自行解决, CINIA TECH & TRADING 公司不介 入代理人与用户的纠纷、 争议等,也不对用户的任何损失负责。在由 CINIA TECH & TRADING 公司、代理人共同签订的 销售合同( 1-2)的情况下,对于 CINIA TECH & TRADING 、代理人与其用户之 间的纠纷、争议、 损失、侵权、违约责任等,按照 CINIA TECH & TRADING 公 司与代理人在签订具体合同之前的约定双方职责执行。2-2-5.U nder the circumsta nce of 1-1 that the age nt sig ns th
21、e con tract directly with the customer, any disputes, argume nt, loss, tort and breach of con tract shall be solved betwee n the age nt and the customer without CINIA TECH & TRADING s involvement and responsibility toward to the dispute. Under the circumstance of 1-2 that CINIA TECH & TRADIN
22、Ga nd the age nt sign the con tract with the customer simulta neously, any disputes, argume nt, loss, tort and breach of con tract shall be solved based on the stipulated mutual resp on sibilities before the con crete con tract.2-2-6.在任何情况下,如 CINIA TECH & TRADING 公司认为履行其责任会违反 中国法律或任何适 用的 CINIA T
23、ECH & TRADIN 公司政策, CINIA TECH & TRADING 公司有权停止履行。2-2-6. Under any circumstances, when CINIA TECH & TRADING regards that its implementation of responsibility and duty would breach Chinese law or SSV spolicy and regulation, CINIA TECH & TRADING has the right to terminate the implementa
24、tion.第三条 代理业务的职责范围3. The bus in ess scope of age ntial con tract.代理人是 CINIA TECH & TRADING 公司中国市场的代理之一, 应收集信息,尽 力促进产品的销售。代理人应精通所推销产品的技术性能。 代理所得佣金应包括 为促进销售所需费用。The Agent is one of SSV sage nts in the China market. The age nt shall collect marketi ng in formati on, and make effort to promote the s
25、ales of product. The age nt should grasp the tech nique function of the products. The age ntial commissi on in cludes the marketi ng expe nses.第四条广告和展览会为促进产品在该地区的销售,代理人应刊登一切必要的广告并支付广告费用。 凡 参加展销会需经双方事先商议后办理。4. Advertiseme nt and Exhibiti onFor promot ing the product sale in the agreed regi on, the ag
26、e nt should bear the whole expe nse of advertiseme nts.Both part ners shall n egotiate the cost matter of atte nding an exhibiti on.第五条代理人的财务责任5-1 代理人应采取适当方式了解当地客户的支付能力。 在代理人与用户直接签订 销售合同情况( 11 )下,由代理人收回应付款。在由 CINIA TECH & TRADING 公司、代理人与用户共同签订的销 售合同情况( 1-2)下,代理人协助 CINIA TECH& TRADING 公司收回应付货
27、款 .5. The finance duty of the age nt5-1 The age nt should adopt an appropriate way of un dersta nding the customer' spayment ability. In the case of delayed payment, the following applies:Un der the circumsta nee of 1-1, the age nt has the duty to get the payme nt back. Un der thecircumsta nce o
28、f 1-2, the age nt assists CINIA TECH & TRADING to get the payme nt back.5-2 未经同意,代理人无权也无义务以 CINIA TECH & TRADING 公司的名义与 用户签定销售合 同,接受付款。5-2. Without 即 proval of CINIA TECH & TRADING, the age nt has neither right nor duty to on behalf of CINIA TECH & TRADINGsig n sales con tract with t
29、he customer, or receive payme nt.第六条用户意见代理人有权接受用户对产品的意见和申诉,及时通知 CINIA TECH & TRADING 公司并关注 CINIA TECH & TRADINGTECH 公司的切身利益。6. The customer opi nio nThe age nt has the right to receive the customer' s opinion and compla in ts, and notifito CINIA TECH & TRADINGTECHin time accordi ngly
30、 in terms of protecti ngSSV s ben efits.第七条提供信息代理人应尽力向 CINIA TECH & TRADING 公司提供商品的市场和竞争等方面 的信息,每 _1 个 月需向 CINIA TECH & TRADING 公司寄送工作报告。7. Information provisionThe age nt shall make an effort toward CINIA TECH & TRADINGTECH in terms of providi ngin formatio n of the market and competiti
31、 on.The age nt shall submit a formal report every monthto CINIA TECH & TRADINGTECH AB.第八条正当竞争8-1 代理人不应与 SSV 公司或帮助他人与 SSV 公司竞争,也不应从与 SSV 公司竞 争的任何企业中 获利。同时,代理人不应代理或销售与代理产品相同的产品。8. Perfect Competiti on8-1 The age nts should n't compete with CINIA TECH & TRADINGor help others to compete with
32、 CINIA TECH & TRADING. The age nts should n ot obtain any benefit from ano ther compa ny, which is competi ng with CINIA TECH & TRADING. At the same time, the age nt should n't act for or sell the same kind of product, which is similar to SSV s product.8-2 此合约一经生效,代理人应将与其他企业签订的有约束性的协议告知
33、CINIATECH & TRADINGS 司。不论是作为代理的或经销的,此后再签定产品的任何协议均应告之 CINIATECH & TRADINGS 司,代理人在进行其他活动时,决不能忽 视其对 SSV 公司承担的义务而影响 任务的完成。8-2 As soon as this agreeme nt is valid, the age nt shall no tify all stipulated con tracts of whatever age ntial or marketi ng products with other compa nies to SSV. All oth
34、er con tracts to be sig ned hen ceforth shall also be no tified to SSV. The age nt shall not ignore the duty and responsibilities to CINIA TECH & TRADINGdue to implementation of other activities.第九条保密9. Co nfide ntiality9-1 代理人在协议有效期内或协议终止后,不得泄露 CINIA TECH & TRADING 公司的商业机密,也不得将该机密超越协议范围使用。9
35、-1 The age nt should n ot reveal a ny con fide ntial in formation of CINIA TECH & TRADINGduri ng the impleme ntati on and after the term in ati on of this agreeme nt. Also, the age nt shall not overstep the con fide ntiality of this agreeme nt.9-2 所有产品设计和说明均属 CINIA TECH & TRADING 公司所有,代理人应在
36、协议终止时归还给 CINIA TECH & TRADING 公司。9-2 All product desig ns and in troductio ns are belo ngi ng to CINIA TECH & TRADING. The age nt should return them back to CINIA TECH & TRADING after the term in atio n of this agreeme nt.第十条分包代理代理人事先经 CINIA TECH & TRADING 公司同意后可聘用分包代理人, 代理人 应对该分包代理人
37、 的活动负全部责任。10. Subco ntractThe age nt can subc on tract to other age nt after the approval of CINIA TECH & TRADING. The age nt is resp on sible for all activities for the subc on tracted age nts.第八一条 工业产权的保护代理人发现第三方侵犯CINIA TECH & TRADING 公司的工业产权或有损于 CINIA TECH & TRADING 公司利益的任何非法行为,代 理人应及
38、时据实向 CINIA TECH & TRADING 公司报告。代理人应尽最大努力并 按 CINIA TECH & TRADING 公司的 指示,帮助 CINIA TECH & TRADING 公司 使其不受这类行为的侵害 .11. The protect ion of copyright,Whe n the age nt discovers that a third part ner infrin ges on CINIA TECH & TRADING ' s copyright or ben efit, the age nt shall report
39、hereby to CINIA TECH & TRADINGaccordi ngly in time. The age nt shall un dertake the utmost effort to avoid damage from those activities according to SSV' sindication.第十二条技术帮助CINIA TECH & TRADING 司应帮助代理人培训雇员.在商业项目具体实施的情况下,CINIA TECH &TRADING 应培训代理人 , 使其获得代理产品的技术知识。具 体费用由双方就具体情况商讨解决 ?1
40、2. Tech ni cal supportCINIA TECH & TRADINGshall assist the age nt in trai ning the appropriate staff, un der the circumsta nee of a con crete bus in ess project, SSVshall con duct training course to the age nt in order to obta in the appropriate tech ni cal kno wledge. The expe nse of the traini
41、ng program is to be discussed un der the con crete project.第十三条佣金数额 佣金分两种情况计算:13-1 按照 1-1 方式,代理人单独与用户签订销售合同: 代理人的利益直接由产品价格差价获得。13-2 按照 1-2 方式, CINIA TECH & TRADING 公司、代理人与用户共同签订销 售合同: 代理人的佣金以每次售出并签字的协议产品销售额百分比为准 .13. Commissi onThere are two calculati ons of the commissi on:13-1 accord ing to 1-
42、1, the age nt sig ns the sales con tract with customer directly.The ben efits of the age nt are acquired by the differe nces of purchas ing and selli ng price.13-2 accordi ng to 1-2, the age nt and CINIA TECH & TRADING sign the sales con tract with the customer simulta neously:The commissi on of
43、 the age nt is based on a perce ntage of the con tract sell ing price. 第十四条商业失败、合约终止 代理人所介绍的询价或订单,如 CINIA TECH & TRADING 公司不予接受则无佣 金。代理人所介绍 的订单合约已中止,代理人无权索取佣金 .14. The bus in ess failure, con tract term in ati on If CINIA TECH & TRADING does not accept or admit any queries or orders from the
44、 agent, then there is no commissi on to be paid to the age nt. The age nt has no right to dema nd any commissi on if the sales con tract is delivered and term in ated.第十五条佣金计算方法 佣金以发票金额计算,任何附加费用如包装费、运输费、保险费、海关税或由进 口国家回收的关税 等应另开支票。15 The method of commissi on calculati onThe commissi on is calculated
45、 on the amount of the in voice. Any other cost, for example, pack ing, tran sport, in sura nee, custom cleara nee or import custom, etc shall be in voiced separately.第十六条佣金的索取权 代理人有权根据每次用户购货所支付的货款按比例收取佣金。如用户没支付全部 货款,则根据 CINIA TECH & TRADING 公司实收货款按比例收取佣金。16. Commissio n obta ining rightThe age n
46、t has the right to obta in the agreed commissi on accord ing to each order. If the customer pays in stallme nt, the n the age nt obta ins the commissi on accordi ng to the received payme nt per time.第十七条 支付佣金的时间CINIA TECH & TRADING 公司每季度应向代理人说明佣金数额和付佣金的有关情况, CINIA TECH& TRADING 公司在收到货款后,应在 3
47、0 天内支付佣金给 代理人。17. Commissi on pay ing timeCINIA TECH & TRADING shall state to the agent about the commissio n and the related payme nt.CINIA TECH & TRADINGshall pay the commissio n within 30 days to the age nt after receivi ng the payme nt. 第十八条支付佣金的货币 佣金按成交的货币来计算和支付。18. Curre ncy for the co
48、mmissi onThe commissi on is paid to the curre ncy that is un dersig ned on the con tract. 第十九条排除其他报酬 代理人在完成本协议之义务时所发生的全部费用, 除非另有允诺,包括在第 13-2 条之规定的佣金。19. Exclusi on of other guerd on.All cost expe nded on the impleme ntati on of this agreeme nt is in cluded in the commissi on which stated in 13-2.第二十条协议期限本协议在双方签字后生效。协议执行一年后,一方提前 3 个月通知可终止协议。 如协议不在该日终止,可提前 3个月通知,于下年的 12月30 日终止。20 The agreeme nt termThis agreement is valid from the date of undersigning. After the agreement carries out one year, each part ner may no tify th
