1、合同翻译任务一独家代理协议为了在平等互利的基础上，促进业务的发展，订约双方按照下列条款签订本协议： 一、订约双方：供货人：天津立达（集团）公司（以下简称甲方）代理人：XXX公司（以下简称乙方）二、商品及数量：甲方现委托乙方为（XX商品）之独家代理，乙方保证在协议期限内对上述商品的销售 数量不少于XXX。三、代理地区：仅限于XXX地区。四、订单的确认：本协议所制定的商品， 其数量、价格及装运期均在每笔交易中确认，其详细内容将在甲方的销售合同中列明。五、付款：订货确认后，一方应在售货合同规定的期限内安排开列以甲方为受益人的、100%不可撤消的即期信用证。信用证开出后，应即通知甲方，以便甲方准备装货

2、。六、佣金：甲方在收到每笔货款后，将按发票金额付乙方佣金。七、市场情况报告：乙方有义务每三个月向甲方详细报道现行市场情况及消费者的意见。乙方必须经常提供市场上其他同类商品的样品价格、销售情况及广告资料等供甲方参考。八、广告宣传费用：在本协议有效期内，乙方应承担上述地区的一切广告宣传费用，其所用之图样稿纸内容须事先经甲方同意。九、协议有效期：本协议经双方签署后生效，有效期自 X年X月X日起至X年X月X日止。如同意续 约，任何一方应在协议期满前一个月内以书面形式通知对方。如某一方未履行本协议条款，则另一方有权中止协议。十、凡因执行本协议所发生的一切争议，双方应协商解决。如协商不能得到解决，应提北京

3、中国国际贸易促进委员会对外贸易仲裁程序暂行规定进行仲裁，并作为最终裁决，对双方均有约束力。十一、其他条款：（一） 协议所列商品甲方不应供应给上述的区的其他客户，如有直接询盘，甲方应转 交乙方。但是，如果其他客户坚持与甲方直接成交时，甲方将有权接受。在后 一种情况下，甲方应寄交乙方销售合同副本一份，并保留发票净值的佣金给乙方。（二）如乙方不能在每 XX月内订购至少XX （数量）的XX （商品名称），甲方将不 受本协议的约束。（三）对双方政府间进行的业务，甲方按其政府的授权将有权处理此类直接交易而不 受本协议的约束。乙方不得干预此类直接交易，也不得因此提出任何补偿和佣 金的要求。（四）其他未尽事宜

10、ithin the aforementioned territory in the duration of this Agreement and submit to Party A all drafts and / or drawings intended for such purposes for prior approval.9. Validity of Agreement:This Agreement, when duly signed by the parties concerned, shall remain in force for to be effective as from

Should one of the parties fail to comply with the terms and conditions of this Agreement, the other party is entitled to terminate this Agreement.10. Arbitration:All

12、disputes arising from the execution of this Agreement shall be settled through negotiation between both parties. In the event that no settlement can be reached, the case in dispute shall then be submitted for arbitration to the Foreign Trade Arbitration Commission of the China Council for the Promot

13、ion of International Trade, Beijing, in accordance with the Provisional Rules of Procedure of the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade. The decision made by this Commission shall be regarded as final and is binding on both parties.11. Oth

14、er Terms & Conditions:1) Party A shall not supply the contracted commodity to other buyers in the above-mentioned territory. Direct enquiries, if any, will be referred to Party B.
