2、fficesatRoom,Floor,Building,JingsanRd,Zhengzhou,ChinaThisAgreementissignedonAppointmentPartyAherebyappointsPartyBasitssalesagent,andPartyBherebyacceptssuchappointmentPartyBwillbePartyAssalesagenttotheproducts(the“Products” )enumeratedinAppendixattachedheretoandincorporatedherei nbyreference,towhichP

3、roductsmaybeaddedordeletedfromtimetotimewitht hemutualconsentofPartyAandPartyBTerritoryTerritoryshallmeanMainland China,RightsandObligationsofPartyAPartyAagreestoemploydiligenteffortstosupportPartyBssalesefforts,includingwithoutimpliedlimitationthefollowing:PartyAshallauthorizePartyBtoexplorenewclie

4、ntsthroughsignedcopyofAuthorizationTrainPartyBssaleforceonproductcapabilitiesandkeepPartyBinformedofproductspecification,relevanttechnicalstandardsandthedevelopmentofnewproductsandcapabilitiesNotifyPartyBpromptlyofallpricechangesPartyBacceptsandprocessescustomerordersintheordinarycourseofbusinessShi

5、pproductsinacommerc iallyreasonablemannertoPartyBPartyAagreestokeepthePartyBadvisedofne wprospect,salesplanandobjectivesforitsmarketprovidePartyBwithinformat iveandadvisorymaterialsaboutthebusinesspracticestobefollowedsupportPa rtyBwithcommercialandtechnicaldataandinformationPartyAshallguarante ethe

6、qualityofProducttothebuyersandconsumersofProductinTerritoryatallti mesinordertomaintainthegoodreputationandgoodwillofPartyAPartyAagre estoofferspecialpricesoncertainitemssothatPartyBmayconductsomemarket ingandpromotionactivityintheTerritorytoincreaseproductssalesIncaseParty Bneedsarefoundorchangeoft

7、hedamagedgoodscausedbyPartyA,thecharges ofdeliveryshallbebornebyPartyAPartyAshallberesponsibleforthewarrantya ndproductliabilityandshallindemnifyPartyBfromanylossarisingfromwarra ntyorproductliabilityandPartyAshallcompensatePartyBanylossimmediatel yPartyAagreestoauthorizePartyBinwrittenformthatParty

8、Bmaylookforsubd istributor(s)inTerritoryandthatthesubdistributor(s)shallbesupervisedbyPartyBPartyAshallgrantPartyBwiththerighttodecidePartyBsownagentsystemandpricesInordertoexpandmarketinTerritorymoreeffectively,PartyAshallkeepthecompetitivenessoftheproductwithhighqualityRightsandObligationsofPartyB

9、PartyBisacompanyengagedinimportexportbusinessinallindustriesandwillusediligenteffortstopromotethesaleofPartyAsProductsinTerritoryPartyAagreestomaintainanadequatesalesorganizationPartyAsproductsintheassignedterritoryPartyBshallmaintainactivecontactswiththecustomers,tokeepPartyAfullyinformedofallgover

10、nmental,commercial,andindustrialactivitiesandplansthatcouldaffectthesaleintheassignedterritoryPartyBshallprovidemarketinformationtoPartyAtorecommendimprovementstosalesplans,assistindevelopingsalesstrategyandclarifycustomersproductrequirementsPartyBshalltransmit,onrequest,proposalsandtechnicaldatatoc

11、ustomers,interpretcustomerinquiries,requirements,attitudesandtoassistincontractnegotiationsPartyBisresponsibleforthecommunicationbetweenPartyAandcustomersPartyBwillsolicitallordersinthenameofPartyA,subjecttothewrittenapprovalandacceptancebyPartyA,atsuchsalespricesasmaybeestablishedandshallprevailatt

12、hetimeofsuchsolicitationAllclauseslistedontheordersshallbeconsistentwithPartyAsrequirementIncaseofinconsistency,PartyAreservestherighttoreject,modifyorcancelanyorderInsolicitingorders,PartyBshalladequatelyadvisecustomersofthegeneraltermsandconditionsofPartyAaswellasthefactthatanycontractbeingsubject

13、totheconfirmationofacceptancebyPartyAPartyBshallimmediatelydispatchanyorderreceivedtoPartyAforitsacceptanceorrejectionIn order to keep party A well informed of the prevailing market conditions, Party BshallunderPartyAsrequirementprovidePartyAwithmarketreportconcerningimportandsalesoftheproducts,loca

14、lmarkettendencyandthebuyerscommentsonquality,package,price,etcofthegoodssuppliedbyPartyAunderthisagreementPartyBshallreservetherighttoleavePartyB scontactinformationwhilepromotingproductsinTerritoryAdvertisementand ExpensesPartyBshalldiligentlyandadequatelyadvertiseandpromotethesale ofproductsthroug

15、houtTerritoryPartyAshallprovidewithoutchargePartyBwi threasonablequantityofadvertisingleaflets,productssamples,brochuresando thermaterialsasAgent may reasonably requireDuringmutualcooperation,P artyAandPartyBshallundertakealltheexpensesforadvertisementandpromoti onactivityinconnectionwiththeproducts

16、inquestioninTerritoryThedetailsma ybediscussedbyPartyAandPartyBafterwardsCooperationModePartyAandP artyBshalldeterminethemodeofcooperationuponagreementIncasePartyAne edstoappointonepersonincharge,relevantdetailsandcostsshallbeconfirmedi nAppendixSpecialProvisionsInspectionandAcceptancePromptlyuponth

17、ere ceiptofashipmentofProducts,PartyBshallexaminetheshipmenttodetermine whetheranyitemoritemsincludedintheshipmentareinshortsupply,defectiveo rdamagedWithindaysofreceiptoftheshipment,PartyBshallnotifyPartyAinw rittenformofanyshortages,defectsordamage,whichPartyBclaimsexistedatth etimeofdeliveryWithi

18、ndaysafterthereceiptofsuchnotice,PartyAshallinvesti gatetheclaimofshortages,defectsordamage,informPartyBofitsfindings,and delivertoPartyBProductstoreplaceanywhich,PartyAdetermines,wereinshor tsupply,defectiveordamagedatthetimeofdelivery Industrial Property Rights PartyBmayusethetrade mark(s) ofParty

19、Aduringthe effective period of t his Agreementonlyinconnectionwiththesaleofproducts,the effective periodof this Agreement,PartyAmayuse the trade mark(s) connection with the s ale of Products held by it in stock at the timeoftermination PartyBshall al so acknowledge that any and all patents, trade ma

20、rks, copyrightandotheri ndustrialpropertyrightsusedor embodied in products shall remain to be sol e properties ofPartyAandshallnotdispute them in any wayIfanyinfringeme nt being found, PartyBshallpromptly notifyPartyAandassistPartyAtotakes tepstoprotectitsrightInfringementIndemnificationPartyAagrees

21、toindemnif yandholdPartyBharmlessfromanyandallloss,cost,expense,damageandliability,includingattorneysfees,arisingoutoftheinfringementofthirdpartyintellectualpropertyrightsresultingfromthesaleofPartyAsproductsthroughPartyBPartyBisfreefromtheliabilityoftheinfringementPartyBmayassistPartyAtoconductcoor

22、dinationworkbetweenPartyAandthethirdpartyQualityWarrantyandAftersaleServicePartyApledgesthattheproductsofferedtoPartyBareguaranteedwithgoodqualityPartyAshallconductproductionstrictlyincompliancewiththequalitystandardsregulatedbynationalsupervisiondepartmentandensurethattheproductsarequalifiedafterst

23、rictinspectionInadditional,theproductsshallsatisfythequalityinspectionstandardinPartyBscountryProductsthatsatisfythestandardofsuchthirdpartyasEuropeanUnionispreferableProductsthatsatisfythequalitystandardregulatedbyPartyBisfavorableaswellWithintheproductqualityguaranteeperiod,incasethatqualityrelate

24、dproblemoccurred,PartyBshallreservetherighttohavefreechangeoftheproductsAllexpensesthusincurredshallbebornebyPartyAConfidentialInformationPartyAandPartyBshalleachreceiveandmaintaininconfidenceanyandallproprietaryinformation,tradesecretsorotherknowhowbelongingtotheotherBothpartiesshallkeepconfidentia

25、linformationfromdisclosingandisliableforindemnifyingtheotherpartyforalllossesrelatedtothedisclosureofconfidentialinformationwhichisintentionallyornegligentlydisclosedbyeitherofthetwopartiesThisarticleshallbeautomaticallyinvalidupontheterminationorexpirationofthisAgreementLiabilityforBreachPartyAshal

26、lconstituteabreachincaseanyofthefollowingoccurs:DelaydeliveryFailtosupplysufficientproductsorfailtosatisfyPartyBsdemandforthreeconsecutivemonthsDirectlycommunicatewithcustomerswithintheTerritoryPartyBshallconstituteabreachincaseanyofthefollowingoccurs:DelaypaymentConductactivitiesthatprejudicePartyA

27、scorporateimagecausinglossesforPartyAsreputationandeconomicbenefitsDuringtheperformanceoftheagreement,incasethatPartyAdelaysdeliveryorthatPartyBdelayspayment,exceptthatbothpartiesagreewithexemption,thepartiesinquestionshallundertaketheliabilityofbreachPartAandPartyBagreeandareconsentwithallthetermsa

28、ndconditionshereinAnybreachshallbesettledinaccordancewithrelatedlawsandregulationsofbothcountriesAsregardsthebreachduetoForceMejeureorchangeofnationallawsandregulations,bothpartiesshallsettlethebreachthroughmutualnegotiationDurationThisAgreementshallbecomeeffectiveonandafterthedateofsign ingandconti

29、nuetobeeffectiveuptomonthsaftereffectivedateAttheendofmont hsaftertheeffectivedatementioned,thetermofthisAgreementmaybeextended upthroughmutualnegotiation TerminationIn case there is any nonperforma nce andor violation of thetermsandconditionsunderthisAgreementbyeither partyduringtheeffectiveperiodo

30、fthisagreement,thepartiesheretoshalldothei rbesttosettlethematterinquestionaspromptandamicableaspossibletomutuals atisfactionIncasethedisputesremainedunsolvedwithindaysafterthebreachin gpartyreceivedwrittennotification,theotherpartyshallhavetherighttocancelt hisagreementwithoutwrittennotificationtot

31、hebreachingpartyModifications ThisAgreementsupersedesallprioragreementsandunderstandingsbetweenth epartiesandmaynotbechangedorterminatedorally,andnochange,termination orattemptedwaiverofanyoftheprovisionshereofshallbebindingunlessinwriti ngandsignedbythepartyagainstwhomthesameissoughttobeenforced Fo
