1、常年法律顾问合同甲方：乙方：甲方因工作需要，特聘请乙方担任常年法律顾问，经双方协商一致，签订本合同。一、甲方聘请乙方担任常年法律顾问，乙方为甲方提供本合同约定的法律服务。二、本合同的有效期自2011年月日起至2011年月日止，共1年，期满如需续聘，另行协议。三、乙方为甲方办理下列法律事务：（一）、日常法律服务，包括；1、对甲方单位有关业务上涉及的法律问题提供法律咨询。2、对甲方单位草拟的法律文书进行审查，帮助顾问单位制定、修改内部的规章制度。3、为甲方单位草拟和修改经济合同，提供参考意见。4、为甲方单位草拟和修改劳动合同，帮助调整劳资关系。5、为甲方单位生产经营和管理中的决策事项进行法律上的可

2、行性分析。6、为甲方单位的商标权、专利权、著作权、商业秘密和专有经营权的保护提供法律建议，并协助甲方单位制定保密制度和保密协议。7、根据甲方单位的需要，列席重大会议，现场提供法律咨询。8、根据甲方单位的需要，以法律顾问的名义对外签发律师函。9、根据甲方单位的需要，对员工进行法律培训。10、根据甲方单位的需要，提前介入公司各项投资活动，并提供有关的法律服务。11、根据甲方单位提供的财务资料，对公司债权进行分析，对不良资产提出相应的处理方案。12、参与甲方单位的重大经济谈判，并提供法律意见。13、不定期向甲方单位介绍宣传国家和地方新颁布的有关法律法规。14、应甲方单位的要求协助设立法律室，并对其日

3、常工作进行指导。1（二）非诉讼法律服务，包括：1、为甲方单位的诉讼案件起诉、进行分析和判断，避免不必要的浪费。2、为甲方单位进行有关的企业咨询调查，并出具调查报告。3、为甲方单位的法律行为和法律事实出具律师见证书。4、为甲方单位的企业设立、股权转让、增资减资、招标投标、合并分立、清算注销、资产重组、改制上市等全面提供法律服务。5、办理甲方单位委托的其他非诉讼法律事务。（三）诉讼法律事务，包括：1、接受甲方单位委托，代理甲方单位进行民事、经济纠纷的调解、和解。2、接受甲方单位委托，代理甲方单位进行民事、刑事、经济和行政案件的诉讼。3、接受甲方单位委托，代理加分那个单位进行经济、劳动和涉外案件的仲

4、裁。四、乙方担任甲方常年法律顾问期间，还承担以下特定的义务：1、及时承办甲方委托办理的有关法律事务，并认真履行职责；2、坚持以事实为根据、以法律为准绳的原则，发现甲方及其工作人员有不符合法律的地方时，应当严格依法办事，避免给甲方造成损失；3、根据本合同规定和甲方的授权委托进行工作，不得超越代理权限；4、不得从事有损于甲方合法权益的活动，不得在民事、经济、行政诉讼或仲裁活动中担任甲方对立乙方当事人的代理人；5、在同时受聘担任甲方和另一公司法律顾问期间，遇到两公司之间发生争议时，应当进行调解，但不得代理对方参加诉讼或仲裁；6、对在工作中接触、了解到的有关甲方的生产、经营、管理和其他经济活动中的商业

5、秘密，负有保守秘密的义务。五、甲方应为乙方提供如下工作条件：2（一）乙方可以查阅与承办事务有关的文件和资料并留有必要的复印件，甲方积极协助；（二）了解甲方在生产、经营、管理活动中的有关情况；（三）列席甲方在生产、经营、管理和对外事务的有关会议；（四）为乙方提供必须的办公、交通及其它工作条件和便利。（五）乙方因公外出，差旅费由甲方承担，出差补助按公司差旅补助标准执行。（六）按时支付基本工资，其他奖励及费用也按时结算支付。六、乙方工作时间：乙方工作时间采取不定时工作时间，对于合同约定的服务内容应合理安排时间，及时办理解决。遇有紧急事项，保证随叫随到，急事急办，不得延误。如因出差等原因无法到达外，也

6、应安排其他律师到场或作出合理工作安排。七、甲方支付乙方法律服务费用：为调动乙方的积极性，执行下列标准：1、甲方每月支付给乙方基本工资元。2、乙方在公司重大事项商谈、解决过程中，甲方视乙方工作情况给予一定的奖励，一般事项及乙方付出较少的不奖励。所涉事项50万至100万元的部分，按3%奖励，100万以上的部分按2%奖励。3、乙方在代理公司进行民事、经济纠纷调解、谈判工作中，甲方视乙方的工作情况给予一定的奖励，一般事项及乙方付出较少的不奖励。所涉事项1至10万的部分，按3%奖励，10万元以上的部分按2%奖励。4、乙方在代理甲方作为被告的诉讼中，甲方按诉讼标的额给予乙方法律服务费，所涉事项1至10万的

7、部分，按3%支付，10万元以上的部分按2%支付。4、乙方在代理甲方作为原告提起诉讼的，甲方按法院执行或和解回款金额的一定比例给予乙方法律服务费，未执行回款的不付费。1至10万元的部分按10%支付，10万以上的部分按5%支付。5、乙方因严重不负责任或重大失误给甲方造成损失的，乙方除返还相应费用外，还应在支付费用的范围内给予一定的罚款。3八、合同解除1、甲、乙双方经协商一致或一方在有正当理由的情况下可解除本合同。2、一方违约致使本合同无法履行；3、合同到期或解除后，乙方应归还甲方有关资料，并将未办结事项移交甲方，未移交前应尽到保护义务，因此支出的费用由甲方承担。八、合同未尽事宜，双方协商解决。九、
