摘要 本文主要研究公司董事权力的限制。试图从董事权力的法学界定 着手，通过对国外董事权力限制的理论和现实的分析，并比较我国现 行法律的规定，找出我国现行法律中对董事权力限制的不足，最终提 出我国董事权力限制体系完善的建议。、 本文共分为四章。第一章为前言，着重介绍了本文问题的提出原 因、写作的意义、思路、有关术语的解释及关于本文的一点说明。本 文的提出是因为我国正在建设市场经济，建立健全现代企业制度，但 我国公司立法对作为现代公司实际控制权人的董事权利行使的限制 制度确极为有限。董事丑闻不断，因此非常有必要完善并加强我国公 司立法中董事权力限制的规定。本文的写作意义也就在于为公司立法 提供裨益，并引起学术界的关注。 第二章董事权力限制必要性分析。本章中首先对董事进行了界 定，综合国外公司立法的规定，笔者认为董事是指有权出席董事会， 参与公司重大经营事务决策，可对外代表公司的人，并包含独立董事 在内。本文中，笔者认为我国公司法规定的董事所享有的职权实际上 为一种权力，且为一种私法上的权力。董事权力是一种在其位必行其 事的权力，主要内容为公司的经营管理权。董事权力的理论基础是董 事与公司的关系。通过比较评析国外董事与公司关系的各种学说，笔 者认为，在我国，董事与公司的关系具有双重性，即法定与意定。董 事与公司的法定关系表现为董事的权力直接来源于法律的规定，且其 权力滥用而产生的责任不能由公司章程或股东大会决议豁免。董事与 公司的意定关系表现为，董事权力部分来源于公司章程的规定及股东 大会的授权。董事这部分权力的滥用而产生的责任可以由公司章程或 股东大会决议豁免。 在分析了董事权力及其来源之后，笔者分析了董事权力限制的必 要性。笔者认为，董事权力限制的必要性体现在三个方面：股东大会 万能主义到董事会中心主义的转变使董事会权力不断扩大，董事权力 有滥用的可能；由于“逆向选择”和“道德风险”的存在使作为委托 人的公司的监督成本增大：公司内部权力制衡不足，不能防止董事权 力滥用，股权分散使中小股东存在“理智的冷漠”和“搭便车”心理 的存在，股东大会对董事监督不足，监事会的虚化又使其监督职能淡 化，监督权流于形式；董事权力滥用必将损害公司、股东及其他利益 相关者的权益。 第三章董事权力限制理论研究。在该章中，笔者分析了董事权力 限制的合理性，并在此基础上提出了董事权力限带啦的三个原则，并最 终得出董事权力限制的基本体系。， 董事权力限制的合理性体现为保持权力和义务的平衡，促使董事 履行义务，降低代理成本，进而维护利益相关者利益。 笔者认为，对董事权力进行限制首先必须坚持终极目的原则，其 次必须坚持有限限制原则，以保证董事不畏手畏脚，能够根据市场瞬 息万变的信息及时调整经营决策，促进公司的发展。最后，对董事权 力进行限制还应坚持限制与激励并存的原则，即在对董事权力进行限 制的同时加强董事的激励机制建设。 借鉴国外公司立法，笔者认为，董事权力限制体系主要应包括董 事权力事前限制体系、事中限制体系、事后限制体系。董事权力限制 事前体系主要体现为对董事资格的限制，具体包括董事积极资格、董 事消极资格。董事权力事中限制体系主要包括对董事决议的监督体系 以及董事义务体系两个方面。董事决议监督体系主要体现为董事决议 是否遵照法律规定程序、董事决议内容是否合法等方面；董事义务体 系则包括董事对公司负有的忠实义务、注意义务及制定法上的义务 等。董事权力限制事后体系主要表现为董事责任体系，即董事违反其 所负义务而应承担的责任，包括董事对公司的责任，董事对第三人的 责任。其中第三人包括公司股东及债权人。董事承担责任的主要方为 民事赔偿责任、行政责任、刑事责任。本文中主要讨论董事的民事赔 偿责任。 第四章董事权力限制制度的比较研究。董事权力的扩大促使有必 要对董事的权力进行限制。笔者分别分析了国外公司立法及国内公司 立法对董事权力限制制度的规定。 首先是国外公司立法对董事权力限制制度的规定。 国外公司立法因立法及司法实践较为完善，对董事权力限制具体 制度的规定也较为完善。笔者从事前、事中、事后三个方面对国外关 于董事权力限制进行了分析。 在董事权力事前限制体系中，国外公司立法主要从董事的资格方 面进行规定。董事的资格包括积极资格、消极资格两个方面。董事的 积极资格包括董事的资格股、董事的国籍或居所条件、董事年龄条件 等方面。关于董事资格股，国外立法规定不一致，有的国家规定必须 持有董事资格股的人才能进入公司成为公司董事，有的国家则没有此 项规定，且现代各国公司法有取消董事资格股的倾向。关于董事的国 籍或居所条件，只有少数国家如瑞典、瑞士规定董事必须是在其国民 或任职期限内在其国内有居所。关于董事年龄条件，各国公司法规定 董事必须为成年人，且年龄不能超过7 0 周岁。 董事的消极资格主要体现为董事的兼职条件、董事的品行条件两 个方面。董事的兼职条件方面，各国一般规定董事不得担任其他公司 的董事或实际管理人。关于董事的品行条件，各国公司法均规定了某 些人不能担任董事，如禁治产人、受破产宣告未恢复权利者、政府官 员等。美国公司法没有规定董事的消极资格。 国外公司立法关于董事权力事中限制体系的规定主要体现为对 董事会决议的监督及董事义务的规定。董事会决议的监督具体分为董 事会会议的召集、会议通知、会议法定人数、议事规则等方面的规定。 对董事义务的规定是董事权力限制的主要方面之一。董事义务是 基于董事与公司的关系而产生的。英美法系国家与大陆法系国家因法 律传统不同，对董事义务有不同的规定。英美法系国家以董事是公司 的受托人为出发点，规定董事对公司负有忠实义务、注意义务及公司 制定法上的义务。大陆法系国家从董事是公司的委任人为出发点，规 定董事对公司负有忠实义务、善管义务。但从二法系关于董事义务规 定的具体内容来看，二者的规定实质是一致的。 国外公司立法关于董事权力事后限制体系的规定主要体现为对 董事责任的规定。董事责任是股东大会万能主义到董事会中心主义的 转变、董事权力从虚设走向真实，进而贯彻权责对等原则的当然结论。 董事的责任主要包括董事违反所负义务应对公司承担的责任、对第三 人承担的责任，第三人包括公司股东及公司债权人。 在该章第二节中，笔者分析了我国公司法对董事权力限制制度的 规定。我国公司法对董事权力的事前限制主要体现为对董事资格的限 制，如董事必须是完全民事行为能力人，无需持有董事资格股。 董事权力限制事中体系体现为公司法规定了董事会决议的监督 体系，并规定董事对公司负有忠实义务。 董事权力限制事后体系表现为公司法规定董事违反所负义务应 当对公司承担的民事责任，并应承担行政责任、刑事责任。 第五章我国董事权力限制体系的完善。笔者首先分析了我国董事 权力限制制度的不足之处。董事权力限制事前体系的不完善主要表现 为没有规定董事年龄、没有对董事的兼职条件作出规定。 董事权力限制事中体系的不完善首先表现为董事会的召集、议事 规则不完善，董事义务体系不完善。 董事权力限制事后体系不完善表现为董事责任体系不完善，具体 表现为董事责任形式不完善，缺乏可操作性，没有规定董事应对第三 人承担责任。 最后本文针对我国公司立法对董事权力限制体系的不完善提出
