合同增加补充协议英文版ThisSupplementaryAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:[CompanyNameA],apanyincorporatedandexistingunderthelawsof[country],withitsregisteredaddressat[address],anditsbusinesslicensenumberbeing[licensenumber](hereinafterreferredtoas"PartyA").PartyB:[CompanyNameB],apanyincorporatedandexistingunderthelawsof[country],withitsregisteredaddressat[address],anditsbusinesslicensenumberbeing[licensenumber](hereinafterreferredtoas"PartyB").I.Recitals1.PartyAandPartyBenteredintoa[MainContractName](the"MainContract")on[dateofmaincontract],pursuanttowhichPartyAagreedtoprovidecertaingoods/services(the"SubjectMatter")toPartyB,andPartyBagreedtopayPartyAinaccordancewiththetermsandconditionssetforthintheMainContract.2.ThepartiesnowdesiretoenterintothisSupplementaryAgreementtomodifyandsupplementcertaintermsandconditionsoftheMainContractinlightoftheirmutualagreementandtheactualperformancesituation.II.AmendmentandSupplementtotheMainContractA.DescriptionoftheSubjectMatter1.TheSubjectMatterundertheMainContractshallbefurtherspecifiedasfollows:[Detaileddescriptionofgoods,includingquantity,qualitystandards,specifications,etc.Ifitisservices,describethescopeofservices,servicecontent,servicerequirements,etc.Forexample:PartyAshallprovide[X]setsof[productname]toPartyB.Theproductsshallmeetthenationalqualitystandardof[relevantstandardnumber],withthefollowingspecifications:[listspecifications].Theservicesshallincludebutnotbelimitedto[describeserviceitems]withinthescopeof[geographicalareaorprojectscope].]2.AnychangeinthedescriptionoftheSubjectMattershallbesubjecttothepriorwrittenconsentofbothparties.B.RightsandObligationsofthePartiesPartyA'sRightsandObligations1.PartyAshallhavetherighttoreceivepaymentfromPartyBinaccordancewiththetermsofthisAgreementandtheMainContract.2.PartyAshallberesponsibleforensuringthattheSubjectMatterprovidedmeetsthequalitystandardsandspecificationssetforthhereinandintheMainContract.PartyAshalldelivertheSubjectMattertothedesignatedlocationofPartyBwithinthetimelimitspecifiedinthisAgreementandtheMainContract.Incaseofanydelayindelivery,PartyAshallbeliableforanylossescausedtoPartyB.PartyAshallprovidePartyBwithallnecessarydocumentationandcertificatesrelatedtotheSubjectMatter,includingbutnotlimitedtoqualityinspectionreports,productmanuals,etc.,within[numberofdays]daysafterthedeliveryoftheSubjectMatter.PartyAshall,within[numberofdays]daysafterreceivingPartyB'swrittennoticeregardinganyqualityissuesoftheSubjectMatter,investigateandhandletheissuesinatimelymanner.IfitisdeterminedthatthequalityissuesarecausedbyPartyA,PartyAshallberesponsibleforreplacing,repairingorpensatingPartyBforthelossesaccordingtothespecificsituation.3.PartyAshallplywithallapplicablelaws,regulationsandindustrystandardsintheprocessofprovidingtheSubjectMatterandperformingitsobligationsunderthisAgreement.PartyB'sRightsandObligations1.PartyBshallhavetherighttoinspecttheSubjectMatteruponreceipt.IfPartyBdiscoversanynonpliancewiththequalitystandardsorspecifications,PartyBshallhavetherighttorequirePartyAtotakecorrectivemeasureswithinareasonabletimelimit.2.PartyBshallberesponsibleformakingpaymenttoPartyAinaccordancewiththepaymenttermsspecifiedinthisAgreementandtheMainContract.PartyBshallpayPartyAthetotalamountof[currencyamount]within[paymentdeadline]daysafterthedeliveryoftheSubjectMatterandthereceiptofPartyA'sinvoice.PartyBshallprovidePartyAwithanynecessarycooperationandassistanceintheprocessofPartyA'sperformanceofitsobligations,includingbutnotlimitedtoprovidingrelevantinformation,approvingrelevantdocuments,etc.PartyBshallnotusetheSubjectMatterinanywaythatviolateslaws,regulationsorthisAgreement.IfPartyBcausesanylossestoPartyAduetoitsimproperuseoftheSubjectMatter,PartyBshallbeliableforpensation.C.PaymentTerms1.ThetotalamountofthisSupplementaryAgreementis[currencyamount].2.PartyBshallpayPartyAinthefollowingmanner:[Describethepaymentschedule,forexample:Adepositof[percentage]%ofthetotalamount,i.e.,[currencyamount],shallbepaidbyPartyBtoPartyAwithin[numberofdays]daysafterthesigningofthisSupplementaryAgreement.Theremainingamountof[currencyamount]shallbepaidinfullwithin[numberofdays]daysafterthedeliveryoftheSubjectMatter.]3.PartyAshallissueanofficialinvoicetoPartyBforeachpaymentreceived.D.DeliveryTerms1.ThedeliverylocationoftheSubjectMattershallbe[deliveryaddress].2.PartyAshallberesponsibleforarrangingthetransportationoftheSubjectMatterandshallensurethattheSubjectMatterisdeliveredtothedeliverylocationingoodconditionwithintheagreedtimelimit.Thetransportationcostshallbeborneby[Partyresponsiblefortransportationcost].3.PartyAshallnotifyPartyBinwriting[numberofdays]daysinadvanceoftheestimateddeliverydateoftheSubjectMatter.E.WarrantyTerms1.PartyAwarrantsthattheSubjectMatterprovidedshallbefreefromanydefectsinmaterialsandworkmanshipandshallconformtothequalitystandardsandspecificationssetforthinthisAgreementandtheMainContractforaperiodof[warrantyperiod]months/yearsfromthedateofdelivery.2.Duringthewarrantyperiod,ifanyqualityproblemsoccurwiththeSubjectMatterduetoPartyA'sreasons,PartyAshall,atitsownexpense,repair,replaceorotherwiseremedysuchproblemswithin[numberofdays]daysafterreceivingPartyB'snotice.3.ThiswarrantydoesnotcoveranydamageordefectscausedbyPartyB'simproperuse,misuse,unauthorizedmodification,orforcemajeureevents.III.BreachandLiabilityA.BreachbyPartyA1.IfPartyAfailstodelivertheSubjectMatterwithintheagreedtimelimit,PartyAshallbeliableforpayingliquidateddamagestoPartyBattherateof[liquidateddamagesrate]%ofthetotalamountofthisSupplementaryAgreementforeachdayofdelay.Inaddition,PartyAshallpensatePartyBforanydirectlossescausedbythedelay.2.IfthequalityoftheSubjectMatterprovidedbyPartyAdoesnotmeetthequalitystandardsandspecificationssetforthinthisAgreementandtheMainContract,PartyAshallberesponsiblefortakingcorrectivemeasuresatitsownexpense,suchasreplacing,repairingorpensatingPartyBforthelosses.PartyAshallalsopayliquidateddamagestoPartyBattherateof[liquidateddamagesrate]%ofthetotalamountofthedefectivepartoftheSubjectMatter.3.IfPartyAviolatesanyofitsotherobligationsunderthisAgreement,PartyAshallbeliableforpensatingPartyBforalllossescausedthereby.B.BreachbyPartyB1.IfPartyBfailstomakepaymenttoPartyAwithintheagreedtimelimit,PartyBshallbeliableforpayingliquidateddamagestoPartyAattherateof[liquidateddamagesrate]%oftheoverduepaymentamountforeachdayofdelay.2.IfPartyBrefusestoaccepttheSubjectMatterwithoutjustifiablereasonsorcausesanylossestoPartyAduringtheprocessofPartyA'sperformanceofitsobligations,PartyBshallberesponsibleforpensatingPartyAforalllosses.3.IfPartyBviolatesanyofitsotherobligationsunderthisAgreement,PartyBshallbeliableforpensatingPartyAforalllossescausedthereby.IV.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheparties.Ifthepartiesfailtoreachanagreementwithin[numberofdays]daysaftertheoccurrenceofthedispute,eitherpartymaysubmitthedisputeto[arbitrationinstitutionname]forarbitrationinaccordancewithitsarbitrationrules.2.Thearbitrationshallbeconductedin[arbitrationlocation],andthelanguageofthearbitrationshallbe[language].3.Thearbitralawardshallbefinalandbindingonbothparties,a
