I.Introduction

PartyAandPartyBdesiretoenterintoastrategiccooperationagreementbasedontheirrespectiveadvantagesandresources,withtheaimofjointlypromotingbusinessdevelopment,achievingmutualbenefits,andenhancingmarketpetitiveness.ThisAgreementsetsforththetermsandconditionsoftheircooperation.

II.SubjectMatteroftheAgreement

A.ServicesorGoodsDescription

1.Services

PartyBshallprovide[detaileddescriptionofservices,includingbutnotlimitedtoservicescope,qualitystandards,deliverytime,etc.].Theservicesshallbeprovidedinaccordancewiththeindustrybestpracticesandrelevantlawsandregulations.

2.Goods

B.IntellectualPropertyRights

1.AnyintellectualpropertyrightsgeneratedduringtheperformanceofthisAgreement,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallbeownedbythepartythatcreatesorcontributestotheircreation,unlessotherwiseagreeduponinwriting.

2.Eachpartyshallprotecttheintellectualpropertyrightsoftheotherpartyandshallnotdisclose,use,orlicensesuchintellectualpropertyrightstoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

III.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

1.Rights

PartyAhastherighttoreceivetheservicesorgoodsprovidedbyPartyBinaccordancewiththetermsandconditionsofthisAgreement.

PartyAhastherighttoinspectandevaluatethequalityoftheservicesorgoodsprovidedbyPartyB.

2.Obligations

PartyAshallpaythefeesorconsiderationfortheservicesorgoodsprovidedbyPartyBinatimelymannerinaccordancewiththepaymenttermsspecifiedinthisAgreement.

PartyAshallprovidePartyBwiththenecessaryinformationandcooperationrequiredfortheperformanceofthisAgreement,includingbutnotlimitedtorelevantbusinessdata,technicalspecifications,andaccesstorelevantfacilities.

PartyAshallabidebyallapplicablelawsandregulationsandshallnotengageinanyactivitiesthatmaycausedamagetoPartyB'sreputationorinterests.

B.RightsandObligationsofPartyB

1.Rights

PartyBhastherighttoreceivethefeesorconsiderationfromPartyAfortheservicesorgoodsprovidedinaccordancewiththetermsandconditionsofthisAgreement.

PartyBhastherighttorequestPartyAtoprovidethenecessaryinformationandcooperationfortheperformanceofthisAgreement.

2.Obligations

PartyBshallprovidetheservicesorgoodstoPartyAinaccordancewiththescope,qualitystandards,anddeliverytimespecifiedinthisAgreement.

PartyBshallberesponsibleforensuringtheconfidentialityofanyinformationobtainedfromPartyAduringtheperformanceofthisAgreementandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

PartyBshallplywithallapplicablelawsandregulationsandshallindemnifyandholdPartyAharmlessfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyB'sbreachofthisAgreementoritsperformanceoftheservicesorsupplyofgoods.

IV.PaymentTerms

1.PaymentMethod

PartyAshallpayPartyBthefeesfortheservicesorgoodsin[paymentmethod,suchasbanktransfer,cheque,etc.].

2.PaymentSchedule

Forservicecontracts,PartyAshallpay[percentage]ofthetotalservicefeesasanadvancepaymentwithin[x]workingdaysafterthesigningofthisAgreement.Theremaining[percentage]oftheservicefeesshallbepaidwithin[x]workingdaysafterPartyA'sacceptanceofthefinalservicereport.

3.Invoices

PartyBshallissueinvoicestoPartyAwithin[x]workingdaysafterreceivingthepaymentorprovidingtheservices/goods,asapplicable.Theinvoicesshallplywithallrelevanttaxlawsandregulations.

V.Confidentiality

1.ConfidentialInformationDefined

"ConfidentialInformation"referstoanyinformationdisclosedbyonepartytotheotherpartyduringtheperformanceofthisAgreement,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerlists,andfinancialinformation.

2.ObligationofConfidentiality

BothpartiesshallkeeptheConfidentialInformationconfidentialandshallnotdisclose,use,orpermittheuseofsuchConfidentialInformationbyanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.DurationofConfidentiality

TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[x]years.

VI.TermandTermination

1.Term

ThisAgreementshallbeeffectiveasofthedateofsigningandshallremaininforceforaperiodof[x]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

PartyAshallpayPartyBanyoutstandingfeesorconsiderationfortheservicesorgoodsprovideduptothedateoftermination.

PartyBshallreturntoPartyAanyConfidentialInformationinitspossessionorcontrolupontermination.

VII.LiabilityandIndemnification

A.Liability

1.Eachpartyshallbeliableforitsownnegligence,willfulmisconduct,orbreachofthisAgreement.

2.Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,consequential,special,orpunitivedamages,includingbutnotlimitedtolossofprofits,lossofbusinessopportunities,ordamagetoreputation,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

B.Indemnification

1.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,expenses,andclaimsarisingoutoforinconnectionwithPartyB'sperformanceofthisAgreement,includingbutnotlimitedtoanyclaimsbythirdpartiesforinfringementofintellectualpropertyrights,breachofcontract,ornegligence.

2.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,expenses,andclaimsarisingoutoforinconnectionwithPartyA'suseoftheservicesorgoodsprovidedbyPartyB,includingbutnotlimitedtoanyclaimsbythirdpartiesforproductliabilityorbreachofapplicablelaws.

VIII.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[x]daysaftertheoccurrenceofthedispute.

2.ArbitrationorLitigation

Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallberesolvedeitherbyarbitrationorbylitigationinaccordancewiththefollowingprovisions:

x.EntireAgreement

xII.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

Inwitnesswhereof,thepartieshaveexecutedthisStrategicContractAgreementasofthedatefirstabovewritten.
