I.Recitals

2.Forvariousreasons,thepartiesnowdesiretoterminatetheOriginalContractandreachanagreementontheterminationtermsandthesettlementofrelevantmatters.

III.DescriptionoftheSubjectMatterorService

1.OriginalContractSubjectMatter/Service

TheOriginalContractwasforthe[descriptionofthemainpurpose,e.g.,supplyof[goodsname]fromPartyAtoPartyB,orprovisionof[servicename]byPartyBtoPartyA].

Thespecificdetailsofthegoodsorservicesincluded[listkeyfeatures,quantities,qualitystandards,deliveryschedules,servicescopes,etc.aspertheOriginalContract].Forexample,ifitwasagoodssupplycontract,itmightstatethatPartyAwastosupply[x]unitsof[productname]of[specificqualitygrade]toPartyBat[deliverylocations]on[specificdeliverydates].Ifitwasaservicecontract,itcoulddetailtheservicestobeprovidedbyPartyB,suchas[descriptionofservices],withaserviceperiodfrom[startdate]to[enddate].

IV.TerminationoftheOriginalContract

1.TerminationDate

ThepartiesherebyagreethattheOriginalContractshallterminateasof[terminationdate].

2.EffectofTermination

UpontheterminationoftheOriginalContract,allrightsandobligationsofthepartiesundertheOriginalContractshallcease,exceptasotherwiseprovidedinthisAgreement.

V.RightsandObligationsofthePartiesafterTermination

A.PartyA'sRightsandObligations

1.Rights

PartyAshallhavetherighttodemandthatPartyBreturnanyproperty,documents,orinformationthatPartyAprovidedtoPartyBundertheOriginalContractandthatarestillinPartyB'spossession.

PartyAreservestherighttopursueanylegalremediesavailabletoitincaseofanybreachbyPartyBofthetermsofthisAgreement.

2.Obligations

PartyAshallpaytoPartyBanyamountsthataredueandpayableundertheOriginalContractasoftheterminationdate,providedthatPartyBhasfullyperformeditsobligationsuptothatpoint.

PartyAshallcooperatewithPartyBtotheextentnecessarytoeffectuatetheproperterminationoftheOriginalContract,suchasprovidinganynecessarydocumentationorinformationrelatedtotheterminationprocess.

B.PartyB'sRightsandObligations

1.Rights

PartyBshallhavetherighttoreceivepaymentfromPartyAforanyworkperformedorgoodssuppliedbyPartyBpriortotheterminationdateandinaccordancewiththetermsoftheOriginalContract.

PartyBmayretainanyintellectualpropertyrightsthatithasindependentlydevelopedinconnectionwiththeperformanceoftheOriginalContract,subjecttothetermsofanyapplicablelawsandagreements.

2.Obligations

PartyBshallimmediatelyceaseallactivitiesrelatedtotheperformanceoftheOriginalContractasoftheterminationdate.

PartyBshallreturntoPartyAanyproperty,documents,orinformationthatPartyAprovidedtoPartyBundertheOriginalContractandthatarestillinPartyB'spossession.PartyBshallensurethatsuchproperty,documents,andinformationareinthesameconditionaswhenreceived,reasonablewearandtearexcepted.

PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtoattorneys'fees)arisingoutoforinconnectionwithPartyB'sbreachofthisAgreementoritsobligationsundertheOriginalContractaftertheterminationdate.

VI.PaymentandSettlement

1.FinalPayment

PartyAshallmakeafinalpaymenttoPartyBwithin[numberofdays]daysaftertheterminationdateforallgoodsorservicesprovidedbyPartyBthatareacceptedanddueasoftheterminationdate.TheamountofthisfinalpaymentshallbecalculatedbasedonthepriceandquantityagreeduponintheOriginalContractfortheworkperformedorgoodssupplieduptotheterminationdate.

Thepaymentshallbemadeby[paymentmethod,e.g.,banktransfertoPartyB'sdesignatedbankaccount].

2.SettlementofAccounts

ThepartiesshallconductafinalsettlementofallaccountsrelatedtotheOriginalContractwithin[numberofdays]daysaftertheterminationdate.Thisshallincludereconciliationofallinvoices,payments,andanyoutstandingamounts.

Incaseofanydisputesregardingthesettlementofaccounts,thepartiesshallfollowthedisputeresolutionproceduressetforthinthisAgreement.

VII.Confidentiality

1.ConfidentialInformationDefined

ForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyinformationdisclosedbyeitherpartytotheotherpartyinconnectionwiththeOriginalContract,includingbutnotlimitedtobusinesssecrets,technicalknowhow,customerlists,financialinformation,andanyothernonpublicinformation.

2.ObligationtoMaintainConfidentiality

EachpartyshallkeepconfidentialallConfidentialInformationreceivedfromtheotherpartyandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaw.

ThisobligationofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears]years.

VIII.NonCompeteandNonSolicitation

1.NonCompete

Foraperiodof[numberofyears]yearsaftertheterminationdate,PartyBshallnotengageinanybusinessactivitiesthatareindirectpetitionwiththebusinessactivitiesofPartyAthatwerethesubjectoftheOriginalContract.

Thenonpetescopeshallbelimitedto[descriptionofthegeographicalarea,productlines,orserviceareasrelevanttothepetitionrestriction].

2.NonSolicitation

PartyBshallnot,foraperiodof[numberofyears]yearsaftertheterminationdate,solicitorattempttosolicitanyemployees,customers,orbusinesspartnersofPartyAwhowereinvolvedintheOriginalContract.

Ix.IntellectualPropertyRights

1.OwnershipofIntellectualProperty

Eachpartyshallretainownershipofitsownintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,thatwereusedordevelopedinconnectionwiththeperformanceoftheOriginalContract.

However,incaseofjointlydevelopedintellectualproperty,thepartiesshallhavetherightsandobligationsasagreeduponintheOriginalContractorasdeterminedbyapplicablelaws.

2.LicenseandUseRights

AnylicenserightsgrantedundertheOriginalContractshallterminateasoftheterminationdate,unlessotherwiseprovidedinthisAgreement.

PartyAandPartyBshallnotuseeachother'sintellectualpropertyrightsaftertheterminationdateinamannerthatviolatestheotherparty'srightsorthisAgreement.

x.RepresentationsandWarranties

1.PartyA'sRepresentationsandWarranties

PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

PartyAfurtherrepresentsandwarrantsthattheinformationprovidedbyitinconnectionwiththisAgreementistrue,accurate,andplete.

2.PartyB'sRepresentationsandWarranties

PartyBrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

PartyBfurtherrepresentsandwarrantsthatithasfullyperformeditsobligationsundertheOriginalContractuptotheterminationdateandthattherearenooutstandingdisputesorclaimsagainstitundertheOriginalContract.

PartyBrepresentsandwarrantsthatitwillplywithallapplicablelawsandregulationsinrelationtotheterminationoftheOriginalContractandtheperformanceofitsobligationsunderthisAgreement.

xI.Indemnification

1.IndemnificationbyPartyB

PartyBshallindemnify,defend,andholdPartyAharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtoattorneys'fees)arisingoutoforinconnectionwith:

PartyB'sbreachoftheOriginalContractorthisAgreement.

AnyclaimsmadebythirdpartiesagainstPartyArelatedtoPartyB'sactionsoromissionsduringtheperformanceoftheOriginalContract.

PartyB'suseordisclosureofPartyA'sConfidentialInformationinviolationofthisAgreement.

2.IndemnificationbyPartyA

PartyAshallindemnify,defend,andholdPartyBharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtoattorneys'fees)arisingoutoforinconnectionwith:

PartyA'sbreachoftheOriginalContractorthisAgreement.

AnyclaimsmadebythirdpartiesagainstPartyBrelatedtoPartyA'sactionsoromissionsduringtheperformanceoftheOriginalContract.

PartyA'suseordisclosureofPartyB'sConfidentialInformationinviolationofthisAgreement.

xII.ForceMajeure

1.DefinitionofForceMajeure

ForthepurposesofthisAgreement,"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,naturaldisasters,wars,riots,strikes,lockouts,governmentactions,andanyothersimilareventsthatpreventapartyfromperformingitsobligationsunderthisAgreement.

2.EffectofForceMajeure

IfapartyisunabletoperformitsobligationsunderthisAgreementduetoForceMajeure,suchpartyshallnotifytheotherpartyinwritingassoonaspracticableandshallprovidedetailsoftheForceMajeureevent.

TheaffectedpartyshallbeexcusedfromperformanceforthedurationoftheForceMajeureevent,providedthatittakesallreasonablestepstomitigatetheeffectsoftheForceMajeureandtoresumeperformanceassoonastheForceMajeureeventceases.

xIII.GoverningLawandJurisdiction

1.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state].

2.Jurisdiction

AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[city/county,state/country].

xIV.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xV.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

xVI.Waiver

NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

xVII.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
