付款担保协议书英文

ThisPaymentGuaranteeAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

Guarantor:[Guarantor'sfullname],a[legalentitytype]organizedandexistingunderthelawsof[jurisdiction],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoasthe"Guarantor");and

Beneficiary:[Beneficiary'sfullname],a[legalentitytype]organizedandexistingunderthelawsof[jurisdiction],withitsprincipalplaceofbusinessat[address](hereinafterreferredtoasthe"Beneficiary").

I.Recitals

1.TheBeneficiaryhasenteredintoa[contractname](the"UnderlyingContract")with[Contractor'sfullname](the"Contractor")fortheprovisionof[descriptionofgoodsorservices].

2.InconnectionwiththeUnderlyingContract,theContractorhasrequestedtheGuarantortoprovideapaymentguaranteetoensuretheproperperformanceoftheContractor'spaymentobligationsundertheUnderlyingContract.

II.GuaranteeAmount

TheGuarantorherebyunconditionallyandirrevocablyguaranteestotheBeneficiarythepaymentofallamounts(the"GuaranteedAmount")thattheContractormaybeobligatedtopaytotheBeneficiaryundertheUnderlyingContract,uptoamaximumamountof[currency][amount].

III.GuaranteePeriod

Thisguaranteeshallbeeffectivefromthedatehereofuntil[expirationdate],unlessearlierterminatedinaccordancewiththetermsofthisAgreement.

IV.ObligationsoftheGuarantor

A.PaymentObligation

UponreceiptbytheGuarantorofawrittendemand(the"Demand")fromtheBeneficiarystatingthattheContractorhasfailedtopayanamountdueundertheUnderlyingContractandspecifyingtheamountclaimed,theGuarantorshall,within[numberofdays]daysafterreceiptoftheDemand,paytotheBeneficiarytheamountspecifiedintheDemand,subjecttothelimitationsoftheGuaranteedAmount.

B.NoticeofDefault

TheGuarantorshallbenotifiedbytheBeneficiarypromptlyuponbingawareofanydefaultbytheContractorundertheUnderlyingContract.TheBeneficiaryshallprovidetheGuarantorwithallrelevantinformationanddocumentationregardingthedefaultandtheamountclaimed.

C.RighttoReimbursement

TheGuarantorshallhavetherighttoseekreimbursementfromtheContractorforanyamountspaidbytheGuarantorunderthisguarantee.TheGuarantorshallbeentitledtoenforceanyrightsandremediesavailabletoitagainsttheContractortorecoversuchamounts,includingbutnotlimitedtofilingalawsuitorarbitrationclaim.

V.ObligationsoftheBeneficiary

A.CompliancewiththeUnderlyingContract

TheBeneficiaryshallperformitsobligationsundertheUnderlyingContractinaccordancewithitstermsandconditions.TheBeneficiaryshallnotmakeanydemandunderthisguaranteethatisinconsistentwiththetermsoftheUnderlyingContract.

B.MitigationofLosses

TheBeneficiaryshalltakeallreasonablestepstomitigateitslossesintheeventofadefaultbytheContractor.TheBeneficiaryshallnotincuranyunnecessaryexpensesorlossesthatcouldhavebeenavoidedthroughreasonableefforts.

C.CooperationwiththeGuarantor

TheBeneficiaryshallcooperatefullywiththeGuarantorinconnectionwithanyinvestigation,claim,orlegalproceedingrelatedtothisguarantee.TheBeneficiaryshallprovidetheGuarantorwithallrelevantinformationanddocumentationrequestedbytheGuarantorinatimelymanner.

VI.RepresentationsandWarranties

A.RepresentationsandWarrantiesoftheGuarantor

1.TheGuarantorrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoprovidethepaymentguaranteeherein.

2.TheGuarantorrepresentsandwarrantsthattheexecution,delivery,andperformanceofthisAgreementdonotviolateanylaw,regulation,oragreementtowhichtheGuarantorisapartyorbywhichitisbound.

3.TheGuarantorrepresentsandwarrantsthatallinformationprovidedbyittotheBeneficiaryinconnectionwiththisguaranteeistrue,accurate,andplete.

B.RepresentationsandWarrantiesoftheBeneficiary

1.TheBeneficiaryrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintotheUnderlyingContractandtoreceivepaymentsthereunder.

2.TheBeneficiaryrepresentsandwarrantsthattheexecution,delivery,andperformanceoftheUnderlyingContractdonotviolateanylaw,regulation,oragreementtowhichtheBeneficiaryisapartyorbywhichitisbound.

3.TheBeneficiaryrepresentsandwarrantsthatallinformationprovidedbyittotheGuarantorinconnectionwiththisguaranteeistrue,accurate,andplete.

VII.TerminationoftheGuarantee

Thisguaranteeshallterminate:

A.UponExpiration

UpontheexpirationoftheguaranteeperiodspecifiedinSectionIIIabove.

B.UponPaymentinFull

UponthefullpaymentofallamountsdueundertheUnderlyingContractbytheContractororbytheGuarantoronbehalfoftheContractor.

C.ByAgreement

BywrittenagreementbetweentheGuarantorandtheBeneficiary.

D.UponBreach

IfeitherpartybreachesanyofthetermsandconditionsofthisAgreement,thenonbreachingpartymayterminatethisguaranteebygivingwrittennoticetothebreachingparty.

VIII.Confidentiality

EachpartyagreestokeepconfidentialallinformationreceivedfromtheotherpartyinconnectionwiththisAgreement,exceptasmayberequiredbylaworasnecessaryfortheperformanceofitsobligationsunderthisAgreement.

Ix.GoverningLawandJurisdiction

A.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

B.Jurisdiction

AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[jurisdiction].

x.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

xI.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xII.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

xIII.Counterparts

ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconsti
