3.TheLicensorandtheLicenseeherebyrepresentandwarrantthattheyhavethefullpowerandauthoritytoenterintothisAgreementandtoperformtheirobligationshereunder.

LICENSE:

1.SubjecttothetermsandconditionsofthisAgreement,theLicensorherebygrantstotheLicensee,andtheLicenseeherebyaccepts,anon-exclusive,non-transferable,worldwidelicensetomake,use,sell,offerforsale,import,andexporttheLicensedProducts(asdefinedbelow)underthePatentRights.

OBLIGATIONS:

2.TheLicenseeshallcomplywithallapplicablelawsandregulationsinconnectionwiththeuseofthePatentRights.

TERMANDTERMINATION:

1.ThisAgreementshallcommenceontheEffectiveDate(asdefinedbelow)andshallcontinueforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.EitherpartymayterminatethisAgreementupon[NoticePeriod]days'writtennoticetotheotherparty,foranyreason.

CONFIDENTIALITY:

2.TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

INDEMNIFICATION:
