WHEREAS,theManufactureriswillingtomanufacturetheProductsfortheCustomerinaccordancewiththetermsandconditionssetforthinthisContract;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereinaftersetforth,thepartiesagreeasfollows:

1.ScopeoftheContract

1.1TheManufacturershallmanufacturetheProductsinaccordancewiththespecifications,qualitystandards,andtechnicalrequirementssetforthintheattachedProductSpecificationsandTechnicalRequirements(hereinafterreferredtoas"Attachment1").

1.2TheCustomershallprovidetheManufacturerwithallnecessarymaterials,components,andtoolsrequiredforthemanufactureoftheProducts.

1.3ThescopeoftheContractincludesthedesign,production,inspection,packaging,anddeliveryoftheProducts.

2.QuantityandQuality

2.1ThequantityoftheProductstobemanufacturedunderthisContractshallbeasspecifiedintheattachedProductOrderForm(hereinafterreferredtoas"Attachment2").

2.2ThequalityoftheProductsshallcomplywiththespecificationsandqualitystandardssetforthinAttachment1.

3.PricesandPaymentTerms

3.1ThepricefortheProductsshallbeagreeduponbybothpartiesandshallbelistedinAttachment2.

3.2PaymentshallbemadeinaccordancewiththepaymenttermssetforthinAttachment3.

4.DeliveryandShipment

4.1TheManufacturershalldelivertheProductstotheCustomer'sdesignatedwarehouseonorbeforetheagreeddeliverydate.

4.2TheshipmentoftheProductsshallbearrangedbytheCustomerandshallbesubjecttothetermsandconditionssetforthinAttachment4.

5.IntellectualPropertyRights

5.1AllintellectualpropertyrightsrelatedtotheProducts,includingbutnotlimitedtopatents,trademarks,andtradesecrets,shallremainthepropertyoftheCustomer.

5.2TheManufactureragreestouseitsbesteffortstoprotecttheintellectualpropertyrightsoftheCustomerduringthemanufactureoftheProducts.

6.Confidentiality

6.1Bothpartiesagreetokeepconfidentialalltechnical,commercial,andotherinformationobtainedfromtheotherpartyinconnectionwiththisContract.

6.2TheconfidentialityobligationsunderthissectionshallsurvivetheterminationorexpirationofthisContract.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof__________.

7.2AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthedisputecannotberesolvedamicably,itshallbesubmittedtothecourtsof__________forfinalresolution.

1.3ThescopeoftheContractincludesthedesign,production,inspection,packaging,anddeliveryoftheProducts,aswellastheprovisionofThirdPartyServices.

2.Customer'sRightsandObligations

2.1TheCustomerhastherighttoapproveorrejecttheManufacturer'sinitialproductdesignsandspecificationsbeforeproductioncommences.

2.2TheCustomershallensurethatthematerialsandcomponentsprovidedtotheManufacturerareofthehighestqualityandmeettherequirementsoftheContract.

2.3TheCustomershallhavethefinalsayinallmattersrelatedtoproductqualityanddesignmodifications.

3.Manufacturer'sRightsandObligations

3.1TheManufacturershallhavetherighttoinspectthematerialsandcomponentsprovidedbytheCustomertoensurecompliancewiththeContractspecifications.

3.2TheManufacturershallhavetherighttoseekadditionalinformationfromtheCustomerregardinganyissuesrelatedtoproductdesignorquality.

3.3TheManufacturershallhavetherighttoterminatetheContractintheeventofmaterialbreachbytheCustomer,withoutprejudicetoitsotherrightsandremedies.

4.ThirdParty'sRightsandObligations

4.1TheThirdPartyshallhavetherighttoprovideservicesasagreeduponinAttachment2,whichshallbeintegraltothesuccessfulexecutionoftheContract.

4.2TheThirdPartyshallbeliableforthequalityandtimelinessoftheservicesprovided,andshallindemnifytheManufacturerandtheCustomeragainstanylossordamagearisingfromitsfailuretocomplywiththeContract.

4.3TheThirdPartyshallmaintainconfidentialityregardingallinformationreceivedfromtheManufacturerandtheCustomer.

5.PricingandPaymentTerms

5.1ThepricefortheProductsshallbeagreeduponbyboththeManufacturerandtheCustomerandshallbelistedinAttachment3.

5.2PaymentfortheProductsshallbemadeinaccordancewiththepaymenttermssetforthinAttachment3,andanypaymentmadetotheThirdPartyforitsservicesshallbeinaccordancewithAttachment4.

6.DeliveryandShipment

6.1TheManufacturershalldelivertheProductstotheCustomer'sdesignatedwarehouseonorbeforetheagreeddeliverydate.

6.2TheshipmentoftheProductsshallbearrangedbytheCustomerandshallbesubjecttothetermsandconditionssetforthinAttachment5.

6.3TheThirdPartyshallensurethatthetransportationandlogisticsservicesprovidedmeettherequiredstandardsandtimelines.

7.IntellectualPropertyRights

7.1AllintellectualpropertyrightsrelatedtotheProductsshallremainthepropertyoftheCustomer.

7.2TheManufactureragreestouseitsbesteffortstoprotecttheintellectualpropertyrightsoftheCustomerduringthemanufactureoftheProducts.

7.3TheThirdPartyshallnotacquireanyintellectualpropertyrightsfromtheManufacturerortheCustomerwithouttheirexpressconsent.

8.Confidentiality

8.1Allpartiesagreetokeepconfidentialalltechnical,commercial,andotherinformationobtainedfromtheotherpartiesinconnectionwiththisContract.

8.2TheconfidentialityobligationsunderthissectionshallsurvivetheterminationorexpirationofthisContract.

9.Customer'sLimitationsandLiabilities

9.1TheCustomeragreesnottoholdtheManufacturerortheThirdPartyliableforanylossordamageresultingfromtheCustomer'sfailuretocomplywiththespecificationsandrequirementssetforthinthisContract.

9.2TheCustomershallindemnifytheManufacturerandtheThirdPartyagainstanyclaims,losses,ordamagesarisingfromtheuseoftheProductsortheservicesprovidedunderthisContract.

10.DisputeResolution

10.1AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.

10.2Intheeventthatadisputecannotberesolvedamicably,itshallbesubmittedtothecourtsof__________forfinalresolution.

2.3TheCustomershallhavetherighttoterminatetheContractwiththeManufacturerforcause,inwhichcasetheManufacturershallbeliableforanycostsincurredbytheCustomer.

3.Manufacturer'sRightsandObligations

3.1TheManufacturershallsupplytheComponentsinaccordancewiththeagreedspecificationsandquantities.

5.PricingandPaymentTerms

5.3TheCustomershallhavetherighttonegotiatethepricingandpaymenttermswiththeManufacturer,takingintoaccounttheservicesprovidedbytheThirdParty.

6.DeliveryandShipment

6.1TheManufacturershalldelivertheComponentstotheCustomer'sdesignatedwarehouseonorbeforetheagreeddeliverydates.

6.2TheshipmentoftheComponentsshallbearrangedbytheManufacturerandshallbesubjecttothetermsandconditionssetforthinAttachment5.

6.3TheThirdPartyshallhavetherighttooverseetheshippingprocesstoensurecompliancewiththeagreedterms.

7.IntellectualPropertyRights
