2025【英文合同】采购合同英文版PURCHASECONTRACTContractNo.:DateofExecution:PlaceofExecution:THISPURCHASECONTRACT(hereinafterreferredtoasthe"Contract")ismadeandenteredintoasofthedayof,2025,byandbetween:(1),acompanyincorporatedunderthelawsof(hereinafterreferredtoasthe"Buyer"),whoseregisteredofficeislocatedat;(2),acompanyincorporatedunderthelawsof(hereinafterreferredtoasthe"Seller"),whoseregisteredofficeislocatedat.RECITALS:WHEREAS,Buyerisdesirousofpurchasingcertaingoods(hereinafterreferredtoasthe"Goods")fromSeller;andWHEREAS,SelleriswillingtoselltheGoodstoBuyeronthetermsandconditionshereinaftersetforth;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DESCRIPTIONOFGOODS1.1.Subjecttothetermsandconditionshereinaftercontained,Buyeragreestopurchase,andSelleragreestosellanddelivertoBuyerthefollowingGoods:|Description|Quantity|UnitPrice(USD)|TotalPrice(USD)|||||||||||||||||...|...|...|...|1.2.ThespecificationsandqualityoftheGoodsshallbeasdescribedinthetechnicalspecificationsattachedheretoasExhibitA.1.3.Anychangestothedescription,specifications,orquantityoftheGoodsshallbesubjecttowrittenagreementbetweenthepartieshereto.2.PRICEANDPAYMENT2.1.ThepricefortheGoodsshallbeassetforthinExhibitA,whichisherebyincorporatedbyreferenceintothisContract.2.2.ThetotalamountpayablebyBuyertoSellerfortheGoodsshallbeUSD(dollars),subjecttoanyadjustmentsasprovidedherein.2.3.Thepaymenttermsshallbeasfollows:(a)Adepositof%(percent)ofthetotalprice,amountingtoUSD(dollars),shallbepaidbyBuyertoSellerwithindaysfromthedateofthisContract.(b)Theremainingbalance,amountingtoUSD(dollars),shallbepaidbyBuyertoSellerwithindaysaftertheGoodshavebeendeliveredandacceptedbyBuyerinaccordancewiththetermsofthisContract.2.4.AllpaymentsshallbemadebywiretransfertoSeller'saccountat,withtheaccountdetailsasfollows:BankName:AccountNumber:SwiftCode:Beneficiary'sName:2.5.Buyershallbeentitledtoapenaltyof%(percent)permonthonanyoverduepayments,calculatedfromthedatepaymentwasdue.3.DELIVERY3.1.SellershalldelivertheGoodstoBuyer'sdesignatedlocationat(hereinafterreferredtoasthe"DeliveryLocation")by(date).3.2.SellershallbearallcostsandrisksassociatedwiththedeliveryoftheGoodsuntiltheGoodsareplacedunderBuyer'scontrolattheDeliveryLocation.3.3.IntheeventSellerfailstodelivertheGoodsbytheagreeddate,BuyershallhavetherighttoterminatethisContractandclaimdamagesforanylossesincurredasaresultofsuchdelay.3.4.SellershallnotifyBuyerinwritingatleastdayspriortothescheduleddeliverydatespecifyingtheexacttimeandmethodofdelivery.3.5.BuyershallberesponsibleforinspectingtheGoodsupondeliveryandnotifyingSellerofanydiscrepanciesordamageswithindaysofreceipt.4.QUALITYANDACCEPTANCE4.1.TheGoodsshallbeofthebestquality,freefromdefects,andincompliancewiththespecifications,samples,ordescriptionsprovidedbySeller.4.2.BuyershallhavetherighttoinspectandtesttheGoodsbeforeacceptance.AnydefectsordiscrepanciesfoundduringinspectionmustbereportedtoSellerinwritingwithindaysofdelivery.4.3.SellershallpromptlyreplaceorrepairanydefectiveGoodsatnoadditionalcosttoBuyer.4.4.IfSellerfailstorectifythedefectiveGoodswithindaysofreceivingnoticefromBuyer,BuyermayterminatethisContractandclaimdamages.5.WARRANTIESANDINDEMNITIES5.1.SellerwarrantsthattheGoodsarenew,并未use,andfreefromanyencumbrancesordefects.5.2.SellershallindemnifyBuyeragainstanyclaims,damages,orlossesarisingfromanybreachofthisContractoranydefectsintheGoods.5.3.ThewarrantiesandindemnitiesprovidedhereinshallsurvivethedeliveryandacceptanceoftheGoods.6.TAXESANDDUTIES6.1.Alltaxes,duties,orleviesimposedbygovernmentalauthoritiesonthepurchase,sale,ordeliveryoftheGoodsshallbebornebythepartyresponsibleunderapplicablelaw.6.2.Sellershallberesponsibleforanytaxesordutiesleviedontheproduction,sale,ordeliveryoftheGoods.6.3.BuyershallberesponsibleforanytaxesordutiesleviedontheimportationoruseoftheGoodsinBuyer'scountry.7.CONFIDENTIALITY7.1.BothpartiesagreetomaintaintheconfidentialityofallinformationdisclosedbytheotherpartyinconnectionwiththisContract,andshallnotusesuchinformationforanypurposeotherthantheperformanceofthisContract.7.2.ThisobligationofconfidentialityshallcontinueindefinitelyaftertheterminationofthisContract.8.TERMANDTERMINATION8.1.ThisContractshalltakeeffectonthedatehereofandremaininforceuntilallobligationshereunderhavebeenfullyperformed.8.2.EitherpartymayterminatethisContractuponwrittennoticeiftheotherpartyfailstoperformanyofitsobligationsunderthisContractandsuchfailurecontinuesforaperiodofdaysafterreceiptofwrittennoticethereof.8.3.TerminationofthisContractshallnotreleaseeitherpartyfromanyliabilityforbreachofcontract.9.GeneralProvisions9.1.AnynoticeorcommunicationrequiredorpermittedunderthisContractshallbeinwritingandmaybeservedbyregisteredpostage,email,orpersonaldeliverytotheaddressesofthepartiesassetforthinthisContract.9.2.AnyamendmentsormodificationstothisContractshallonlybevalidifmadeinwritingandsignedbybothparties.9.3.ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.9.4.IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.9.5.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.9.6.AnydisputesarisingoutoforinconnectionwiththisContractshallbe
