2025【英文合同】国际货物买卖合同范文2025InternationalGoodsPurchaseandSaleContractThisInternationalGoodsPurchaseandSaleContract(hereinafterreferredtoasthe"Contract")ismadeandenteredintoasof(the"EffectiveDate")byandbetween:Seller:Name:Address:ContactInformation:Fax:Email:Representedby:Title:Buyer:Name:Address:ContactInformation:Fax:Email:Representedby:Title:Recitals:WHEREAS,theSellerisengagedintheproduction/manufacturing/distributionofcertaingoods;andWHEREAS,theBuyerdesirestopurchasesuchgoodsfromtheSeller;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:1.DESCRIPTIONOFGOODS1.1TheSelleragreestosellanddelivertotheBuyer,andtheBuyeragreestopurchasefromtheSeller,thefollowinggoods(the"Goods")inaccordancewiththespecificationssetforthbelow:NameofGoods:Specification:Quantity:UnitPrice:TotalAmount:1.2TheGoodsshallconformtothesamplesorspecificationsprovidedbytheSellerorasmutuallyagreeduponinwritingbybothparties.1.3AnychangestothespecificationsoftheGoodsshallrequirethepriorwrittenconsentofbothparties.2.PRICEANDPAYMENT2.1ThetotalpricefortheGoods(inclusiveofanyapplicabletaxes,unlessotherwiseagreed)shallbe(inwords:).2.2Thepaymenttermsareasfollows:(a)Adepositof%ofthetotalpriceshallbepaidbytheBuyertotheSellerwithindaysafterthesigningofthisContract.(b)TheremainingbalanceshallbepaidbytheBuyertotheSellerinaccordancewiththefollowingschedule:%upondeliveryoftheGoods;%uponsuccessfulinspection/acceptanceoftheGoodsbytheBuyer.2.3AllpaymentsshallbemadebybanktransfertotheSeller'sdesignatedbankaccountasfollows:AccountName:BankName:AccountNumber:SwiftCode:2.4TheBuyershallnotbeentitledtomakeanydeductionsorset-offsunlessspecificallyagreedinwritingbytheSeller.3.SHIPMENTANDDELIVERY3.1TheSellershallarrangefortheshipmentanddeliveryoftheGoodsinaccordancewiththetermssetforthbelow.3.2TheGoodsshallbedeliveredtothefollowingdestination:Address:Country:3.3ThelatestdatefordeliveryoftheGoodsshallbe(the"DeliveryDate").TheSellershalluseallreasonableendeavorstodelivertheGoodsonorbeforetheDeliveryDate.3.4TheSellershallberesponsibleforarrangingtransportandinsuranceoftheGoodsuntiltheyaredeliveredtotheBuyeratthedesignateddestination.3.5TheSellershallnotifytheBuyerinwritingnolaterthandayspriortotheestimateddateofshipment,includingdetailsofthetransportcompany,shipmentnumber,andestimateddeliverydate.3.6TheBuyershallberesponsibleforanycustomsclearanceproceduresandrelatedexpensesatthedestination.4.INSURANCE4.1TheSellershallarrangeforinsurancefortheGoodsagainstallrisksduringtransit.Theminimuminsurancecoverageshallbe%oftheinvoicevalueoftheGoods.4.2TheSellershallprovidetheBuyerwithacopyoftheinsurancepolicyuponrequest.5.PAYMENTUPONRECEIPTOFDOCUMENTS5.1Uponreceiptofthefollowingdocuments,theBuyershallreleasethepaymentasstipulatedinArticle2:(a)AnoriginalcommercialinvoicesignedbytheSeller.(b)Acertificateoforigin.(c)Abillofladingissuedbyarecognizedcarrier.(d)AnyotherdocumentsrequiredbytheBuyeroragreeduponinwriting.5.2TheBuyershallverifytheGoodsuponarrivalandnotifytheSellerofanydiscrepancieswithindaysofreceipt.6.QUALITYANDINSPECTION6.1TheGoodsshallbemanufacturedinaccordancewiththehighestindustrystandardsandshallbefreefromdefectsinmaterialandworkmanship.6.2TheSellershallprovidetheBuyerwithaqualitycertificateandtestreportuponrequest.6.3TheBuyershallhavetherighttoinspecttheGoodsattheSeller'spremisesbeforeshipment.AnyinspectioncostsshallbebornebytheBuyerunlessdefectsarefound,inwhichcasetheSellershallbearthecosts.7.WARRANTY7.1TheSellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialandworkmanshipforaperiodofyearsfromthedateofdelivery.7.2Shouldanydefectsariseduringthewarrantyperiod,theSellershall,atitsownexpense,eitherrepairorreplacethedefectiveGoodswithindaysofnotificationbytheBuyer.7.3Thewarrantyshallnotapplytoanydefectsarisingfromimproperhandling,installation,ormisusebytheBuyer.8.ACCEPTANCEANDOBJECTION8.1TheBuyershallinspecttheGoodsupondeliveryandnotifytheSellerofanydefectsordiscrepancieswithindays.FailuretodososhallconstituteacceptanceoftheGoods.8.2Anyobjectionsmustberaisedinwritingandaccompaniedbysupportingdocumentation.8.3TheSellershallhavetherighttoinspecttheGoodsattheBuyer'spremisesatitsownexpense.9.LIABILITIESANDINDEMNITIES9.1TheSellershallbeliableforanybreachesofthisContract,includingbutnotlimitedtofailuretodelivertheGoodsontimeortoconformtothespecifications.9.2TheBuyershallbeliableforanyfailuretomaketimelypaymentsortoaccepttheGoodsasperthetermsofthisContract.9.3Intheeventofabreach,thenon-breachingpartyshallbeentitledtoseekdamagesorotherlegalremedies.10.FORCEMAJEURE10.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayisduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,governmentactions,ornaturaldisasters.10.2Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceandexpecteddurationoftheforcemajeureeventandmakereasonableeffortstomitigateitseffects.10.3Iftheforcemajeureeventcontinuesformorethandays,eitherpartymayterminatethisContractuponwrittennotice.11.DISPUTERESOLUTION11.1AnydisputesarisingoutoforrelatingtothisContractshallbesettledamicablythrough友好negotiation.Ifnosettlementisreachedwithindays,thepartiesmaysubmitthedisputetoarbitration.11.2ArbitrationshallbeconductedinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inBeijing,China.11.3Thearbitrationawardshallbefinalandbindingonbothparties.Judgmentontheawardmaybeenteredinanycourthavingjurisdiction.11.4ThepartiesagreetothejurisdictionofthecourtsofthePeople'sRepublicofChinaforenforcementofthearbitrationaward.12.MISCELLANEOUS12.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal,regardingthesubjectmatterhereof.12.2NoamendmentormodificationofthisContractshallbevalidunlessmadeinwriting
