DELEGATIONPAYMENTAGREEMENT

ThisDelegationPaymentAgreement(the“Agreement”)ismadeandenteredintoasof[Date],byandbetween[DelegatorName],aresidentof[DelegatorAddress],hereinafterreferredtoasthe“Delegator,”and[DelegateeName],aresidentof[DelegateeAddress],hereinafterreferredtoasthe“Delegatee,”collectivelyreferredtoasthe“Parties.”

WHEREAS,theDelegatordesirestodelegatecertainrightsandobligationsrelatingtothepaymentof[specificnatureofthepayment,e.g.,invoices,bills,expenses](the“Payment”)totheDelegateeforthepurposeof[brieflystatethereasonfordelegation,e.g.,theDelegateebeingbettersuitedtohandlethepaymentduetoexpertise,travel,etc.].

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:

1.ScopeofDelegation

1.1TheDelegatorherebydelegatestotheDelegateetheauthoritytomakepaymentsonbehalfoftheDelegatorforthePayment,asdescribedinExhibitAattachedhereto.

1.2TheDelegateeshallhavetheauthoritytoexecuteallnecessarydocumentsandperformallactsrequiredtoeffectuatethePayment,includingbutnotlimitedtosigningchecks,makingelectronictransfers,andprovidingreceipts.

2.TermsandConditionsofPayment

2.1TheDelegateeshallensurethatallpaymentsaremadeinaccordancewiththetermsandconditionssetforthbythepayeeorserviceprovider,asapplicable.

2.2TheDelegateeshallprovidetheDelegatorwithproofofpaymentforallamountspaidontheDelegator’sbehalfwithin[numberofdays]daysofthepaymentbeingmade.

2.3TheDelegateeshallnotbeliableforanydelayornonpaymentbythepayeeorserviceprovider,butshallusereasonableeffortstoresolvesuchissuespromptly.

3.ResponsibilityandIndemnification

3.1TheDelegateeagreestoindemnifyandholdharmlesstheDelegatoragainstanyandallclaims,actions,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeDelegatee’sperformanceofthePaymentunderthisAgreement.

3.2TheDelegatoragreestoindemnifyandholdharmlesstheDelegateeagainstanyandallclaims,actions,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeDelegator’sfailuretoprovideaccurateinformationorinstructionstotheDelegatee.

4.Confidentiality

4.1ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherPartyinconnectionwiththisAgreement,exceptasrequiredbylaworcourtorder.

5.TermandTermination

5.1ThisAgreementshallremainineffectforaperiodof[numberofyears/months],unlessterminatedearlierinaccordancewiththeprovisionshereof.

5.2EitherPartymayterminatethisAgreementupon[specificnoticeperiod,e.g.,30days]writtennoticetotheotherParty.

5.3UponterminationofthisAgreement,theDelegateeshallpromptlyreturnallpropertyandinformationreceivedfromtheDelegatorinconnectionwiththePayment.

6.GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[negotiation,mediation,arbitration,orlitigation]in[Location].

7.EntireAgreement

7.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,supersedingallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.

8.Amendments

8.1AnyamendmenttothisAgreementmustbeinwritingandexecutedbybothParties.

INWITNESSWHEREOF,thePartieshaveexecutedthisDelegationPaymentAgreementasofthedatefirstabovewritten.
