WHEREAS,theLandlordistheownerofacertainwarehouselocatedat[WarehouseAddress](the"Warehouse"),whichiscurrentlyunoccupiedandavailableforrent;and

WHEREAS,theTenantdesirestoleasetheWarehousefromtheLandlordforthepurposeofstoringgoodsandconductingbusinessactivities;and

WHEREAS,theLandlordandTenantwishtoenterintothisAgreementtosetforththetermsandconditionsunderwhichtheTenantmayleasetheWarehousefromtheLandlord.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,theLandlordandTenantagreeasfollows:

1.LeaseTerm.ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[NumberofYears]years(the"LeaseTerm").TheLeaseTermmayberenewedforadditionalperiodsof[NumberofYears]yearsuponthemutualwrittenagreementoftheLandlordandTenant.

2.Rent.TheTenantshallpaytotheLandlordamonthlyrentof[Amount]dollars($[Amount])permonth(the"Rent")onorbeforethe[Date]ofeachmonthduringtheLeaseTerm.TheRentshallbepayableinadvanceandshallnotbesubjecttoanydeductionoroffset.AnylatepaymentofRentshallbesubjecttoalatefeeof[Amount]percent(%)oftheRentdue,calculatedfromthedatetheRentisdueuntilthedatetheRentispaid.

3.UseoftheWarehouse.TheTenantshallusetheWarehousesolelyforthepurposeofstoringgoodsandconductingbusinessactivitiesrelatedtotheTenant'sbusiness.TheTenantshallnotusetheWarehouseforanyillegalpurposeorinanymannerthatmaycausedamagetotheWarehouseoranyotherproperty.

4.MaintenanceandRepairs.TheTenantshallberesponsibleformaintainingtheWarehouseingoodrepairandconditionduringtheLeaseTerm.TheTenantshallalsoberesponsibleforanynecessaryrepairstotheWarehousecausedbytheTenant'snegligenceormisuseoftheWarehouse.

5.Insurance.TheTenantshallmaintainliabilityinsuranceinanamountofnotlessthan[Amount]dollars($[Amount])tocoveranyliabilityarisingoutoftheTenant'suseoftheWarehouse.TheTenantshallprovidetheLandlordwithproofofsuchinsuranceuponrequest.

6.AccesstotheWarehouse.TheLandlordshallhavetherighttoentertheWarehouseatanyreasonabletimeforthepurposeofinspectingtheconditionoftheWarehouseorforanyotherpurposedeemednecessarybytheLandlord.TheTenantshallprovidetheLandlordwithpriornoticeofanyanticipatedinterruptionsinaccesstotheWarehouse.

7.Termination.ThisAgreementmaybeterminatedbyeitherpartyupon[NumberofDays]days'writtennoticetotheotherparty.Intheeventoftermination,theTenantshallpaytheLandlordtheprorataportionoftheRentfortheremainderoftheLeaseTerm.

8.Miscellaneous.ThisAgreementconstitutestheentireagreementbetweentheLandlordandTenantandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.ThisAgreementmaybeamendedonlybyawritteninstrumentexecutedbybothparties.

INWITNESSWHEREOF,theLandlordandTenanthaveexecutedthisAgreementasofthedatefirstabovewritten.

3.Landlord'sRightsandObligations

3.1TheLandlordshallprovidetheTenantwithaccesstotheWarehouseduringnormalbusinesshours.

3.2TheLandlordshallberesponsibleforthemaintenanceandrepairoftheWarehouse'sstructuralelementsandcommonareas.

3.3TheLandlordshallhavetherighttoinspecttheWarehouseatreasonabletimestoensurecompliancewiththetermsofthisAgreement.

4.ThirdParty'sGuaranty

4.1TheThirdPartyherebyguaranteestheTenant'sperformanceunderthisAgreement,includingthepaymentofRentandcompliancewiththetermsandconditions.

8.2AnyamendmenttothisAgreementmustbeinwritingandexecutedbyallparties.

3.2TheLandlordshallmaintainthePropertyingoodrepairandcondition,excludingnormalwearandtear,andshallberesponsibleforanynecessaryrepairsormaintenance.

4.ThirdParty'sGuarantee

4.1TheThirdPartyherebyguaranteestheTenant'sperformanceunderthisAgreement,includingthepaymentofRentandcompliancewiththetermsandconditions.

4.2IntheeventofTenant'sdefault,theThirdPartyshallbeliableforthefullamountofanypastdueRentandanydamagesresultingfromTenant'sbreachofthisAgreement.

5.Tenant'sAdditionalRightsandBenefits

5.1TheTenantshallhavetherighttosubletthePropertywiththeLandlord'spriorwrittenconsent,providedthatthesubtenantmeetstheLandlord'sapprovalcriteria.

5.2TheTenantshallhavetherighttoaleaserenewaloptionattheendoftheLeaseTerm,subjecttomarketconditionsandtheLandlord'sapproval.

5.3TheTenantshallhavetherighttoamarketingallowancefromtheLandlordtoassistwiththeTenant'spromotionalactivities.
