4.**Confidentiality**

5.**OwnershipofIntellectualProperty**

6.**Indemnification**

TheConsultantagreestoindemnifyandholdharmlesstheClientagainstanyandallclaims,liabilities,damages,losses,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeConsultant'sbreachofanyrepresentation,warranty,orobligationunderthisAgreement.

7.**LimitationofLiability**

TheConsultant'sliabilitytotheClientforanydamagesarisingoutoforinconnectionwiththeprovisionoftheServicesshallnotexceedthetotalFeespaidbytheClienttotheConsultantunderthisAgreement.

8.**GoverningLaw**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[insertjurisdiction].

9.**Miscellaneous**

a.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweentheparties.

b.TheClientshallhavetherighttoapproveanychangestothescopeoftheServicesandSupportServicespriortotheirimplementation.

5.**ConsultantandThirdPartyObligations**
