1.0SUBJECTMATTER

2.0TERM
ThisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
3.0PAYMENT
3.1PaymentTerms
TheClientshallmakepaymentstotheContractorinaccordancewiththefollowingschedule:

3.2DelayedPayments
IntheeventthattheClientfailstomakeanypaymentwithinthestipulatedtime,theContractorshallhavetherighttochargetheClientalatepaymentpenaltyof[Percentage]%permonth,calculatedfromtheduedateuntilthedateofactualpayment.
4.0DELIVERYOFSERVICES
4.1TheContractorshalldelivertheservicestotheClientinaccordancewiththespecificationsandtimelinesoutlinedinAttachmentA.
4.2TheContractorshallprovidetheClientwithaprogressreportat[Frequency],detailingthestatusoftheservicesbeingprovided.
5.0ACCEPTANCE
5.1TheClientshallhavetherighttoinspectandaccepttheservicesprovidedbytheContractorinaccordancewiththetermsandconditionsofthisAgreement.
5.2FailurebytheClienttoinspectandaccepttheserviceswithin[Number]daysoftheContractor'snotificationofcompletionshallbedeemedanacceptanceoftheservices.
6.0TERMINATION
6.1EitherPartymayterminatethisAgreementinwriting,withorwithoutcause,upon[NoticePeriod]days'writtennoticetotheotherParty.
6.2UponterminationofthisAgreement,thePartiesshallsettlealloutstandingobligationsandliabilitiesunderthisAgreement.
7.0LIABILITY
7.1TheContractorshallbeliableforanydamageorlosscausedtotheClientduetotheContractor'snegligenceorbreachofthisAgreement.
7.2TheClientshallbeliableforanydamageorlosscausedtotheContractorduetotheClient'snegligenceorbreachofthisAgreement.
8.0GENERALPROVISIONS
8.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
8.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothParties.
8.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
8.4AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin[Number]days,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

4.0DELIVERYOFSERVICES
4.1TheContractorshalldelivertheservicestotheClientinaccordancewiththespecificationsandtimelinesoutlinedinAttachmentA.
4.2TheContractorshallprovidetheClientwithaprogressreportat[Frequency],detailingthestatusoftheservicesbeingprovided.

5.0ACCEPTANCE
5.1TheClientshallhavetherighttoinspectandaccepttheservicesprovidedbytheContractorinaccordancewiththetermsandconditionsofthisAgreement.
5.2FailurebytheClienttoinspectandaccepttheserviceswithin[Number]daysoftheContractor'snotificationofcompletionshallbedeemedanacceptanceoftheservices.
6.0RIGHTSANDOBLIGATIONSOFTHECLIENT
6.1TheClientshallhavetherighttorequestchangestothescopeofservices,subjecttomutualagreementbetweenthePartiesandanyassociatedcostadjustments.
6.2TheClientshallhavetherighttoterminatethisAgreementintheeventofamaterialbreachbytheContractor,uponproviding[NoticePeriod]days'writtennoticetotheContractor.
6.3TheClientshallhavetherighttoreceiveprogressreportsfromtheContractorandtheThirdParty,andtorequestadditionalinformationorclarificationasneeded.
7.0RIGHTSANDOBLIGATIONSOFTHECONTRACTOR
7.1TheContractorshallhavetherighttoreceivepaymentsfromtheClientinaccordancewiththeagreed-uponschedule.
7.2TheContractorshallhavetherighttoengagetheservicesoftheThirdPartyasnecessary,subjecttotheClient'sapproval.
7.3TheContractorshallhavetherighttoterminatethisAgreementintheeventofamaterialbreachbytheClient,uponproviding[NoticePeriod]days'writtennoticetotheClient.
8.0RIGHTSANDOBLIGATIONSOFTHETHIRDPARTY
8.1TheThirdPartyshallhavetherighttoreceivecompensationfortheservicesprovided,asagreeduponbetweentheContractorandtheThirdParty.
8.2TheThirdPartyshallhavetherighttoaccesstheprojectsiteandcommunicatewiththeContractorandtheClientasnecessarytoperformitsconsultingservices.
8.3TheThirdPartyshallhavetherighttoterminateitsservicesunderthisAgreementuponproviding[NoticePeriod]days'writtennoticetotheContractorandtheClient.
9.0TERMINATION
9.1EitherPartymayterminatethisAgreementinwriting,withorwithoutcause,upon[NoticePeriod]days'writtennoticetotheotherParty.
9.2UponterminationofthisAgreement,thePartiesshallsettlealloutstandingobligationsandliabilitiesunderthisAgreement.
10.0LIABILITY
10.1TheContractorshallbeliableforanydamageorlosscausedtotheClientduetotheContractor'snegligenceorbreachofthisAgreement.
10.2TheThirdPartyshallbeliableforanydamageorlosscausedtotheClientduetotheThirdParty'snegligenceorbreachofthisAgreement.
10.3TheClientshallbeliableforanydamageorlosscausedtotheContractorortheThirdPartyduetotheClient'snegligenceorbreachofthisAgreement.
11.0LIMITATIONSOFLIABILITY
11.1TheContractor'sliabilityunderthisAgreementshallbelimitedtodirectdamagesandshallnotexceedthetotalcontractprice.
11.2TheThirdParty'sliabilityunderthisAgreementshallbelimitedtodirectdamagesandshallnotexceedthecompensationagreeduponbetweentheContractorandtheThirdParty.
12.0GENERALPROVISIONS
12.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
12.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbyallParties.
12.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
12.4AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin[Number]days,thedisputeshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

4.0DELIVERYOFSERVICES

5.0RIGHTSANDOBLIGATIONSOFTHECLIENT

5.2TheClientshallhavetherighttoconductperiodicinspectionsoftheworkperformedbytheContractorandtheThirdParty.
5.3TheClientshallhavetherighttorequestmodificationstotheprojectscope,subjecttomutualagreementbetweenthePartiesandanyassociatedcostadjustments.
6.0RIGHTSANDOBLIGATIONSOFTHECONTRACTOR
6.1TheContractorshallhavetherighttoengagetheservicesoftheThirdPartyasasubcontractor,subjecttotheClient'sapproval.
6.2TheContractorshallhavetherighttoreceivepaymentsfromtheClientinaccordancewiththeagreed-uponschedule.
6.3TheContractorshallhavetherighttoterminatetheThirdParty'sservicesintheeventofabreachofcontractorunsatisfactoryperformance.
7.0RIGHTSANDOBLIGATIONSOFTHETHIRDPARTY
7.1TheThirdPartyshallhavetherighttoreceivepaymentsfromtheContractorinaccordancewiththeagreed-uponschedule.
7.2TheThirdPartyshallhavetherighttoaccesstheprojectsiteandperformitssubcontractedworkaspertheagreedscopeandschedule.
7.3TheThirdPartyshallhavetherighttoterminateitsservicesunderthisAgreementuponproviding[NoticePeriod]days'writtennoticetotheContractorandtheClient,providedthatithasfulfilleditscontractualobligations.
8.0TERMINATION
8.1EitherPartymayterminatethisAgreementinwriting,withorwithoutcause,upon[NoticePeriod]days'writtennoticetotheotherParty.
8.2UponterminationofthisAgreement,thePartiesshallsettlealloutstandingobligationsandliabilitiesunderthisAgreement.
9.0LIABILITY

10.0LIMITATIONSOFLIABILITY
10.1TheContractor'sandtheThirdParty'sliabilityunderthisAgreementshallbelimitedtodirectdamagesandshallnotexceedthetotalcontractprice.
11.0GENERALPROVISIONS
11.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
11.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbyallParties.
