1.ScopeofWork

2.Term

5.IntellectualProperty

AllintellectualpropertyrightsarisingfromtheprovisionofconsultationservicesunderthisContractshallbeownedbyPartyA,exceptforanyintellectualpropertyrightsthatmaybeownedbyPartyBpriortotheexecutionofthisContract.

6.LiabilityandIndemnification

PartyAshallnotbeliableforanylossordamageincurredbyPartyBasaresultoftheprovisionofconsultationservicesunderthisContract,exceptincaseswheresuchlossordamageisdirectlycausedbythenegligenceorwillfulmisconductofPartyA.

7.Termination

ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationshallbeeffectiveupontheexpirationof[numberofdays]fromthedateofreceiptofthenotice.

8.GoverningLawandJurisdiction

8.LimitationsofLiability

a.PartyAshallnotbeliableforanylossordamageincurredbyPartyBasaresultoftheprovisionofconsultationservicesunderthisContract,exceptincaseswheresuchlossordamageisdirectlycausedbythenegligenceorwillfulmisconductofPartyA.

b.TheThirdPartyshallnotbeliableforanylossordamageincurredbyeitherPartyAorPartyBasaresultofitsroleasanintermediary,exceptincaseswheresuchlossordamageisdirectlycausedbythenegligenceorwillfulmisconductoftheThirdParty.

9.GoverningLawandJurisdiction
