1.SUBJECTMATTEROFTHECONTRACT
ThesubjectmatterofthisContractisthesupplyoftheEquipmentbyPartyAtoPartyB,inaccordancewiththespecifications,quantities,andtermssetforthbelow.
2.SPECIFICATIONSANDQUANTITIES
ThespecificationsandquantitiesoftheEquipmenttobesuppliedareasfollows:

3.PRICEANDPAYMENT
3.1ThepriceoftheEquipmentshallbe[insertpriceperunitortotalprice](hereinafterreferredtoasthe“Price”).

4.DELIVERY

4.3Intheeventofanydelayindelivery,PartyAshallpromptlynotifyPartyBofthedelay,andthedeliverydateshallbeextendedaccordingly.
5.WARRANTIES
5.1PartyAwarrantsthattheEquipmentshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[insertwarrantyperiod]fromthedateofdelivery.
5.2PartyAfurtherwarrantsthattheEquipmentshallcomplywithallapplicablelawsandregulationsregardingthesafety,health,andenvironmentalprotectionoftheEquipment.
6.INSPECTIONANDACCEPTANCE
6.1UponreceiptoftheEquipment,PartyBshallpromptlyinspecttheEquipmentandconfirmthereceiptthereof.
6.2Ifanydefectisfoundduringtheinspection,PartyBshallpromptlynotifyPartyAinwritingwithin[insertinspectionperiod]afterthedateofreceipt.
6.3PartyBshallhavetherighttorejecttheEquipmentifthedefectsarematerialandcannotberemediedbyPartyA.
7.LIABILITYANDLIMITATIONS
7.1IntheeventofabreachofanywarrantyorobligationunderthisContract,PartyAshall,atitssolediscretion,eitherrepairorreplacethedefectiveEquipment,orrefundthePricepaidbyPartyBforsuchEquipment.
7.2Subjecttotheprovisionsofclause7.1,PartyAshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingfromtheuseoftheEquipmentbyPartyB.
8.TERMANDTERMINATION
8.1ThisContractshallremainineffectforaperiodof[insertterm],fromthedateofexecutionhereof.
8.2EitherpartymayterminatethisContract,inwholeorinpart,uponwrittennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanytermorconditionofthisContractandfailstocuresuchbreachwithin[insertcureperiod].
9.GENERALPROVISIONS
9.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.
9.2ThisContractmaybeamended,modified,orsupplementedonlybyawrittenagreementexecutedbybothparties.
9.3IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

6.RIGHTSANDOBLIGATIONSOFPARTYA
6.1PartyAshallhavetherighttorequestfromThirdParty,atanytime,confirmationoftheauthorityofPartyBtoactonitsbehalf.
6.2PartyAshallhavetherighttoterminatethisContractimmediatelyifitisdeterminedthatPartyBdoesnothavetheauthoritytoactonbehalfofThirdParty.
6.3PartyAshallhavetherighttodeductanycostsincurredduetoPartyB'sfailuretofulfillitsobligationsunderthisContractfromthePrice.
7.RIGHTSANDOBLIGATIONSOFPARTYB
7.1PartyBshallhavetherighttorequestfromThirdParty,atanytime,confirmationoftheauthorityofThirdPartytoenterintothisContract.
7.2PartyBshallhavetherighttoterminatethisContractimmediatelyifitisdeterminedthatThirdPartydoesnothavetheauthoritytoenterintothisContract.
7.3PartyBshallberesponsibleforensuringthattheEquipmentisdeliveredtoThirdPartyinaccordancewiththetermsofthisContract.
8.RIGHTSANDOBLIGATIONSOFTHETHIRDPARTY
8.1ThirdPartyshallhavetherighttoreceivetheEquipmentupondeliveryfromPartyA.
8.2ThirdPartyshallhavetherighttoinspectandaccepttheEquipmentinaccordancewiththetermsofthisContract.
8.3ThirdPartyshallberesponsibleforanydamagetoorlossoftheEquipmentafterdelivery.
9.BREACHANDLIMITATIONS
9.1IntheeventofabreachofanytermorconditionofthisContractbyPartyB,PartyAshallhavetherighttoterminatethisContractandseekdamagesfromPartyB.
9.2IntheeventofabreachofanytermorconditionofthisContractbyThirdParty,PartyAshallhavetherighttoterminatethisContractandseekdamagesfromThirdParty.
9.3PartyBandThirdPartyshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingfromtheuseoftheEquipmentbyThirdParty.
10.TERMANDTERMINATION
10.1ThisContractshallremainineffectforaperiodof[insertterm],fromthedateofexecutionhereof.
10.2EitherpartymayterminatethisContract,inwholeorinpart,uponwrittennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanytermorconditionofthisContractandfailstocuresuchbreachwithin[insertcureperiod].
11.GENERALPROVISIONS
11.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.
11.2ThisContractmaybeamended,modified,orsupplementedonlybyawrittenagreementexecutedbyallparties.
11.3IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

SUMMARYOFTHIRDPARTYINTERVENTIONANDPURPOSE:

7.RIGHTSANDOBLIGATIONSOFTHETHIRDPARTY

8.BREACHANDLIMITATIONS

8.2PartyAshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingfromtheuseoftheEquipmentbyThirdParty.
