3.ObligationsofPartyA:

a.PartyAshallprovidePartyBwithallnecessaryinformation,documents,andmaterialsrequiredfortheperformanceoftheagent'sduties;

b.PartyAshallensurethatallinformation,documents,andmaterialsprovidedtoPartyBareaccurate,complete,andup-to-date;

c.PartyAshallindemnifyandholdharmlessPartyBfromanyandallclaims,liabilities,damages,orlossesarisingoutoforinconnectionwiththeperformanceoftheagent'sduties.

4.ObligationsofPartyB:

a.PartyBshallactingoodfaithandwithduediligenceintheperformanceofitsdutiesastheagentofPartyA;

b.PartyBshallusereasonableeffortstoensurethetimelyandaccuratecompletionoftheregistrationandcancellationprocess;

c.PartyBshallkeepconfidentialallinformation,documents,andmaterialsobtainedfromPartyAinconnectionwiththeperformanceofitsdutiesastheagent.
