房屋买卖合同英文范本模板合同编号:__________1.HOUSEPURCHASEANDSALECONTRACT1.1.PartiesInvolved1.1.1.SellerTheSelleristhepartywhoownsthepropertyandintendstosellit.TheSellerrepresentsthattheyhavethelegalrightandauthoritytosellthepropertyinquestion.TheSellershalldiscloseallrelevantinformationregardingtheproperty,includingbutnotlimitedtoanyliens,encumbrances,orotherrestrictionsonthe.1.1.2.BuyerTheBuyeristhepartyinterestedinpurchasingthepropertyfromtheSeller.TheBuyershallhavethefinancialcapacityandlegalabilitytoenterintothiscontract.TheBuyerhastherighttoconductduediligenceonthepropertybeforefinalizingthepurchase.1.2.DefinitionsForthepurposesofthiscontract,thefollowingtermsshallhavethemeaningsascribedtothem:"Property"shallrefertotherealestate,includinganybuildings,structures,andimprovementsthereon,whichisthesubjectofthissale."Closing"shallmeanthefinalizationofthesaletransaction,includingthetransferofownershipandpaymentofthepurchaseprice."Title"shallrefertothelegalownershipandrightsassociatedwiththeproperty.1.3.PropertyDescription1.3.1.LocationThepropertyislocatedat[specificaddress].Itisclearlyidentifiedonthelocallandregistryandmaps.Thelocationshallincludeanyrelevantlotnumbers,subdivisionnames,andanyotheridentifyingfeaturesofthelandparcel.1.3.2.PhysicalCharacteristicsThepropertyconsistsof[describethetypeofbuilding,e.g.,asinglefamilyhouse,amultiunitapartmentbuilding,etc.].Ithasatotalfloorareaof[X]squarefeet.Thepropertyalsoincludesanyattachedordetachedgarages,sheds,orotheroutbuildings.Thelandareaofthepropertyis[X]acresorsquarefeet.1.4.PurchasePriceandPaymentTerms1.4.1.PurchasePriceThepurchasepriceforthepropertyshallbeanamountof[specificamountincurrency].ThispriceisagreeduponboththeSellerandtheBuyerbasedonthemarketvalueofthepropertyandanyotherrelevantfactors.1.4.2.DepositTheBuyershallpayadepositintheamountof[X]totheSellerwithin[numberofdays]daysoftheexecutionofthiscontract.Thisdepositshallbeheldinescrowandshallbeappliedtowardsthepurchasepriceatclosing.IntheeventthattheBuyerfailstopletethepurchaseforreasonsnotpermittedunderthiscontract,theSellermaybeendtoretainthedepositasliquidateddamages.1.4.3.PaymentScheduleTheremainingbalanceofthepurchaseprice,aftertheapplicationofthedeposit,shallbepaidtheBuyeratclosing.TheBuyershallarrangeforthefundstobeavailableinaformacceptabletotheSeller,suchasacashier'scheckorwiretransfer.1.5.TitleandOwnership1.5.1.Seller'sRepresentationsTheSellerrepresentsthattheyarethelegalownerofthepropertywithagoodandmarketable,freefromallliens,encumbrances,andotherrestrictions,exceptasotherwisedisclosedtotheBuyerinwritingpriortotheexecutionofthiscontract.TheSellershallindemnifyandholdtheBuyerharmlessfromanylossesordamagesarisingfromanydefectinthe.1.5.2.TitleSearchandInsuranceTheBuyershallhavetherighttoconductasearchattheirownexpense.TheSellershallcooperatefullywiththeBuyerinprovidinganynecessarydocumentsorinformationforthesearch.TheBuyermayalsorequiretheSellertoobtaininsuranceinanamountsufficienttoprotecttheBuyer'sinterestintheproperty.1.6.ConditionoftheProperty1.6.1.AsIsSaleThepropertyissoldinitspresent"asis"condition.TheSellermakesnowarrantiesorrepresentationsregardingtheconditionoftheproperty,exceptasotherwiseprovidedinthiscontract.TheBuyeracknowledgesthattheyhavehadtheopportunitytoinspectthepropertypriortoenteringintothiscontract.1.6.2.InspectionsTheBuyershallhavetherighttoconductinspectionsoftheproperty,includingbutnotlimitedtostructural,mechanical,andenvironmentalinspections,within[numberofdays]daysoftheexecutionofthiscontract.ThecostoftheseinspectionsshallbebornetheBuyer.Iftheinspectionsrevealanymaterialdefectsorproblemswiththeproperty,theBuyermayeither(a)acceptthepropertyinitsconditionandproceedwiththepurchase,or(b)requestthattheSellermakerepairsoradjustmentstotheproperty,or(c)terminatethiscontractandreceivearefundofthedeposit.1.7.ClosingandTransferofOwnership1.7.1.ClosingDateTheclosingshalltakeplaceon[specificdate].Bothpartiesshallusetheirbesteffortstoensurethatallconditionsprecedenttoclosingaresatisfiedthisdate.Intheeventthateitherpartyisunabletocloseonthespecifieddateduetoreasonsbeyondtheircontrol,theclosingdatemaybeextendeduponmutualagreementoftheparties.1.7.2.ClosingCostsClosingcostsshallbeallocatedbetweentheSellerandtheBuyerasfollows:[listthespecificclosingcostsandwhichpartyisresponsibleforeach].Thesecostsmayincludebutarenotlimitedtoattorneyfees,searchandinsurancefees,transfertaxes,andrecordingfees.1.7.3.TransferofDeedAtclosing,theSellershallexecuteanddeliveradeedtotheBuyer,transferringalloftheirright,,andinterestinthepropertytotheBuyer.ThedeedshallbeinaformacceptabletotheBuyerandshallbeproperlyrecordedinthelocallandrecords.1.8.WarrantiesandRepresentations1.8.1.Seller'sWarrantiesInadditiontothewarrantiesregarding,theSellerwarrantsthattheyhavenotmadeanypriorassignment,transfer,orotherdispositionoftheproperty,exceptasdisclosedtotheBuyer.TheSelleralsowarrantsthattheywillindemnifytheBuyeragainstanyclaimsarisingfromanyactionsoromissionsoftheSellerpriortothetransferofownership.1.8.2.Buyer'sWarrantiesTheBuyerwarrantsthattheywillpaythepurchasepriceinaccordancewiththetermsofthiscontract.TheBuyeralsowarrantsthattheywillindemnifytheSelleragainstanyclaimsarisingfromanyactionsoromissionsoftheBuyerduringthecourseofthetransaction.1.9.DefaultandRemedies1.9.1.Seller'sDefaultIftheSellerfailstoperformanyoftheirobligationsunderthiscontract,suchasfailingtotransferagoodorfailingtodeliverthepropertyontheclosingdate,theBuyermayhavethefollowingremedies:(a)terminatethiscontractandreceivearefundofthedeposit,plusanyinterestorotherdamages;(b)sueforspecificperformance,requiringtheSellertopletethesaleasoriginallyagreed;or(c)seekdamagesforanylossessufferedasaresultoftheSeller'sdefault.1.9.2.Buyer'sDefaultIftheBuyerfailstoperformanyoftheirobligationsunderthiscontract,suchasfailingtopaythepurchasepriceorfailingtocloseonthespecifieddate,theSellermayhavethefollowingremedies:(a)terminatethiscontractandretainthedepositasliquidateddamages;(b)sueforspecificperforman
