境外机构投资者投资银行间债券市场ImplementationRulesforRegistrationandRegulationofInter-BankBondMarketInvestmentbyOverseasInstitutionalInvestorsArticle1PursuanttotherequirementsoftheNoticeNo.3[2016](hereinafterreferredtoastheNotice),theImplementationRulesaremadeforregistrationandregulationofinvestmentintheinter-bankbondmarketbyoverseasinstitutionalinvestors.Article2TheoverseasinstitutionalinvestorsintheImplementationRulesrefertotheoverseasinstitutionalinvestorsstipulatedbytheNotice.ThesettlementagentsintheImplementationRulesrefertotheinter-bankmarketsettlementagentscompetentininternationalsettlementbusinessandentrustedbyoverseasinstitutionalinvestorstoprovidebondagenttradingandsettlementservices.Article3Asettlementagentshallperformtheobligationofexaminingthequalificationsofoverseasinstitutionalinvestorsbasedonthreeprinciples,namely,knowyourcustomer,knowyourbusinessandcustomerduediligence.Article4AqualifiedoverseasinstitutionalinvestorcanapplyforinvestmentregistrationatthePeople’sBankofChina(PBC)ShanghaiHeadOfficethroughanentrustedsettlementagent,whoshallsubmitonbehalfoftheoverseasinstitutionalinvestortheRegistrationFormforOverseasInstitutionalInvestorsinChina’sInter-BankBondMarket(seeAppendix)andtheagentsettlementagreement.Theoverseasinstitutionalinvestorsthathavealreadygotaccesstotheinter-bankbondmarketdonotneedtoregisterforasecondtime,unlessotherwisestipulatedbythePBC.Article5Whenasettlementagentmakesinvestmentregistration,onbehalfofanoverseasinstitutionalinvestor,forthefirsttime,thefollowingadditionaldocumentsshallbesubmittedtothePBCShanghaiHeadOffice:(1)CopyoftheadministrativelicenseapprovalissuedbythePBCforthesettlementagentintheinter-bankbondmarket;(2)Documentstoprovecompetencyininternationalsettlementbusiness;(3)Documentstoillustratecompleteseparationinassets,staff,systemandinstitutionarrangementsbetweentheproprietarybusinessofinvestmentmanagementandagentbusinessofinvestmentforoverseasinstitutions;(4)Administrativesystemfortheagentbondtradingandsettlementbusiness,includingbutnotlimitedtoadministrativemeasuresforagentbondtradingandsettlementbusiness,businessoperationprocedures,riskcontrolmechanismandcodeofconductforstaff;(5)Documentstodemonstrateinformationtechnologyfacility,technicalsupportstaff,andrulesforinformationsystemmanagement,whichareneededforbondtradingandsettlementservices,areinplace;(6)Copiesofcertificatestoproverelevantpersonnel,includingheadsandprofessionalstaffoftheagentbondtradingandsettlementunit,haveattendedthetrainingprogramsrelevanttotheinter-bankbondmarketinvestment;(7)Astatementonnoviolationoflawsnorseriousincomplianceofrulesandregulationsinprecedingthreeyears;(8)Commitmentthatthesubmittedmaterialsaretrue,accurateandcomplete,withoutfalserecords,misleadingstatementsormajoromissions,andtheobligationofexaminingtheoverseasinstitutionalinvestor’squalificationshavebeenacknowledgedandperformed;and(9)OtherdocumentsrequiredbythePBC.Article6Whenasettlementagentisentrustedtoprovideassetcustodyserviceforanoverseasinstitutionalinvestorforthefirsttime,thefollowingcomplementarydocumentsshallbesubmittedtothePBCShanghaiHeadOffice:(1)Documentstoillustratethebusinessscope,governancestructure,internalauditingandsurveillancesystem,andriskcontrolmechanismofthecompany;(2)Documentstoclarifywhetheranindependentbusinessunithasbeenestablishedwithrequiredcapacityforassetcustody,andwhetherproprietaryassetsarestrictlyseparatedfromtheassetsundercustody,whicharesubjecttoseparatedaccounting,auditingandvaluationoperations;(3)Regulationsandprinciplesfortheassetcustodybusiness,includingbutnotlimitedtoadministrativemeasuresforassetcustody,operationalguidelines,riskcontrolmechanism,codeofconductforstaffandrulesofaccounting;(4)Documentstoprovenecessarytechnicalfacilitiesforassetcustody,staffoftechnicalsupportandrulesforinformationsystemmanagementareinplace;(5)Copiesofcertificatestoproverelevantpersonnel,includingtheseniormanagerresponsibleforassetcustodybusiness,headandprofessionalstaffoftheassetcustodyunithaveattendedthetrainingprogramsrelevanttotheinter-bankbondmarket;(6)Astatementonnoviolationoflawsnorseriousincomplianceofrulesandregulationsintheprecedingthreeyears;(7)Commitmentthatthesubmittedmaterialsaretrue,accurateandcomplete,withoutfalserecords,misleadingstatementsormajoromissions;and(8)OtherdocumentsrequiredbythePBC.Article7Within20businessdaysafteracceptingtheregistrationapplication,thePBCShanghaiHeadOfficeshallissueaRegistrationNotice,accordingtorequiredconditionsandprocedures.TheRegistrationNoticeisvalidforthreemonthsfromthedateofissuance.Ifaregistrationisreapplied,anexplanationdocumentshallbesubmitted.Article8IftheinvestmentfundtransferredbyanoverseasinstitutionalinvestorwithinninemonthssincetheissuanceoftheRegistrationNoticeislessthan50percentoftheanticipatedinvestmentvolumeonrecord,areportoftheinformationonanticipatedinvestmentvolumeshallbesubmitted.Whenanoverseasinstitutionalinvestorneedstochangerecordedinformationorexittheinter-bankbondmarket,theentrustedsettlementagentshallsubmittheapplicationandrelatedmaterialstothePBCShanghaiHeadOfficeintime.Article9Anoverseasinstitutionalinvestorshallinvestintheinter-bankbondmarketinaccordancewithlawsandregulations,asrequestedbytheNotice.Article10Asettlementagentshallkeeptheregistration-relatedmaterialsproperlyandperformtheduitiesasrequested.TheinformationofanoverseasinstitutionalinvestoranditsinvestmentsinthemonthbeforeshallbereportedtothePBCShanghaiHeadOfficewithinthefirst5businessdaysofeachmonth.AnymajorissuesorabnormalactivitiesshallbepromptlyreportedtothePBCShanghaiHeadOffice.Article11TheNationalInter-bankFundingCenterandtheinstitutionforbondregistration,custodyandsettlementshall,inlinewiththeirrespectiveresponsibilities,makeeffortstoproviderelatedservicesandmonitorinvestmentactivities.Withinthefirst5businessdaysofeachmonth,theinvestmentactivitiesofanoverseasinstitutionalinvestorinthemonthbeforeshallbereportedtothePBCShanghaiHeadOffice.Article12ThePBCShanghaiHeadOfficeisentitledtosupervisingrelatedbusinessactivitiesoftheoverseasinstitutionalinvestorsandthesettlementagents,bymeansofinterviews,on-siteinspections,etc.Thesupervisioncovers:(1)Thelegalcomplianceofanoverseasinstitutionalinvestor’sinvestmentactivitiesintheinter-bankbondmarket;(2)Registrationonbehalfofoverseasinstitutionalinvestorsandotherservicesprovidedbyanentrustedsettlementagent,especiallyitsperformanceofthedutieslistedinArticle14oftheNotice;(3)Cooperationofanoverseasinstitutionalinvestorandasettlementagentinworkingwiththesupervisors;andthemonthlyreportorreportonmajorissuesorabnormalactivitiesarereport
