ShenzhenRentalContract
ThisShenzhenRentalContract(hereinafterreferredtoas"Contract")ismadeandenteredintoonthis[InsertDate]byandbetween[InsertLessor'sName],alegalentitydulyorganizedandexistingunderthelawsofthePeople'sRepublicofChinawithitsregisteredaddressat[InsertLessor'sAddress](hereinafterreferredtoas"Lessor"),and[InsertLessee'sName],alegalentitydulyorganizedandexistingunderthelawsofthePeople'sRepublicofChinawithitsregisteredaddressat[InsertLessee'sAddress](hereinafterreferredtoas"Lessee").
WHEREAS,LessoristheownerofthepropertydescribedinScheduleAattachedhereto(hereinafterreferredtoas"Property")anddesirestoleasethePropertytoLessee;and
WHEREAS,LesseedesirestorentthePropertyforitsownuseandbenefit,subjecttothetermsandconditionssetforthinthisContract.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedinthisContract,thepartiesheretoagreeasfollows:
1.LeaseofProperty
1.1LessorherebyleasesthePropertytoLessee,andLesseeherebyhiresthePropertyfromLessor,forthetermandsubjecttothetermsandconditionssetforthinthisContract.
1.2ThePropertyshallbeusedbyLesseesolelyforthepurposeof[InsertIntendedUse],andfornootherpurpose,unlessotherwiseagreeduponinwritingbyLessor.
2.TermofLease
2.1ThetermofthisContract(hereinafterreferredtoas"LeaseTerm")shallcommenceon[InsertStartDate]andshallexpireon[InsertEndDate],unlesssoonerterminatedinaccordancewiththeprovisionsofthisContract.
3.RentandPayment
3.1LesseeshallpaytoLessoramonthlyrentof[InsertMonthlyRent](hereinafterreferredtoas"Rent")fortheuseandoccupationoftheProperty.
3.2TheRentshallbepaidinadvanceonthefirstdayofeachmonthduringtheLeaseTerm,withoutdemandordeduction,exceptasotherwiseprovidedinthisContract.
3.3AllpaymentsrequiredtobemadebyLesseeunderthisContractshallbemadein[InsertCurrency]andshallbepaidtoLessorat[InsertLessor'sBankDetails].
4.SecurityDeposit
4.1UpontheexecutionofthisContract,LesseeshallpaytoLessorasecuritydepositintheamountof[InsertSecurityDepositAmount](hereinafterreferredtoas"SecurityDeposit").
4.2TheSecurityDepositshallbeheldbyLessorassecurityfortheperformancebyLesseeofalltheterms,covenants,andconditionsofthisContract.
4.3TheSecurityDeposit,orsomuchthereofasshallnotbeusedbyLessorforthepaymentofanyamountduefromLesseeunderthisContract,shallbereturnedtoLesseewithoutinterestwithin[InsertNumberofDays]daysaftertheterminationoftheLeaseTerm,providedthatLesseehasfullyperformedallitsobligationsunderthisContract.
5.MaintenanceandRepairs
5.1LessorshallberesponsibleforthemaintenanceandrepairofthestructuralcomponentsoftheProperty,includingbutnotlimitedtothefoundation,walls,roof,andload-bearingstructures.
5.2Lesseeshallberesponsibleforthemaintenanceandrepairofallnon-structuralcomponentsoftheProperty,includingbutnotlimitedtofixtures,fittings,andequipmentinstalledorusedbyLessee.
6.AlterationsandImprovements
6.1LesseeshallnotmakeanyalterationsorimprovementstothePropertywithoutthepriorwrittenconsentofLessor.
6.2AnyalterationsorimprovementsmadetothePropertywiththeconsentofLessorshall,attheendoftheLeaseTerm,beremovedbyLesseeatitsownexpense,unlessotherwiseagreeduponinwritingbyLessor.
7.Insurance
7.1LessorshallmaintaininsurancecoverageforthePropertyinanamountnotlessthan[InsertInsuranceAmount],coveringrisksoffire,naturaldisasters,andotherperilsasrequiredbylaw.
7.2LesseeshallmaintaininsurancecoverageforitspropertyandequipmentlocatedwithintheProperty,andforpublicliabilityinsurancewithcoveragenotlessthan[InsertLiabilityInsuranceAmount].
8.CompliancewithLaws
8.1Lesseeshallcomplywithalllaws,regulations,andgovernmentalordersapplicabletotheuseandoccupationoftheProperty.
8.2LesseeshallnotusethePropertyforanyillegalpurposeorinanymannerthatviolatesanylaw,regulation,orgovernmentalorder.
9.SublettingandAssignment
9.1LesseeshallnotsubletthePropertyorassignthisContractoranyinterestthereinwithoutthepriorwrittenconsentofLessor.
9.2AnysubleaseorassignmentmadewithouttheconsentofLessorshallbevoidandofnoeffect.
10.DefaultandTermination
10.1IfLesseefailstopaytheRentoranyotheramountdueunderthisContractwithin[InsertNumberofDays]daysaftertheduedate,Lessormay,atitsoption,terminatethisContractbygivingwrittennoticetoLessee.
10.2UponterminationofthisContract,LesseeshallpromptlyvacateandsurrenderthePropertytoLessorinthesameconditionasatthecommencementoftheLeaseTerm,reasonablewearandtearexcepted.
11.Indemnification
11.1LesseeshallindemnifyandholdLessorharmlessfromandagainstanyandallclaims,demands,causesofaction,liabilities,losses,damages,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithLessee'suseandoccupationoftheProperty,excepttotheextentcausedbythegrossnegligenceorwillfulmisconductofLessor.
12.ForceMajeure
12.1NeitherpartyshallbeliableforanyfailureordelayinperforminganyobligationunderthisContracttotheextentthatthefailureordelayiscausedbyanyeventorcircumstancebeyondthereasonablecontrolofthatparty,includingbutnotlimitedtoactsofGod,war,riot,civilcommotion,terroristactivity,governmentaction,fire,flood,storm,orearthquake.
13.GoverningLaw
13.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.
14.DisputeResolution
14.1AnydisputearisingoutoforinconnectionwiththisContractshallbesubmittedtoarbitrationinShenzheninaccordancewiththearbitrationrulesoftheShenzhenArbitrationCommission.
15.Notices
15.1AnynoticerequiredorpermittedtobegivenunderthisContractshallbeinwritingandshallbedeliveredpersonallyorsentbyregisteredmailorcouriertotheaddressessetforthinthisContractortosuchotheraddressaseitherpartymaydesignatebywrittennoticetotheother.
16.EntireAgreement
16.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,representations,warranties,andagreements,whetherwrittenororal.
17.AmendmentsandWaivers
17.1Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbybothparties.
17.2Nofailureordelaybyeitherpartyinexercisinganyright,power,orprivilegeunderthisContractshalloperateasawaiverthereof,norshallanysingleorpartialexercisethereofprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,power,orprivilege.
18.Severability
18.1Ifanyprovisionof
