allfirstattempttoresolvethedisputeamicablythroughmediation.Themediationshallbeconductedinaccordancewiththerulesof[MediationBody].10.2ArbitrationIfthedisputecannotberesolvedthroughmediation,thepartiesagreetosubmitthedisputetobindingarbitrationinaccordancewiththerulesof[ArbitrationBody].10.3LegalAction11.GoverningLawandJurisdictionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Country/State].AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof[City/Country].12.MiscellaneousProvisions12.1AmendmentsThisAgreementmaybeamendedonlyawrittenagreementexecutedbothparties.12.2EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.12.3HeadingsTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationorconstructionofanyofitsprovisions.13.Signatures13.1Employer’sSignatureThisAgreementshallbeexecutedanauthorizedrepresentativeoftheEmployer,whosesignatureshallbebindingontheEmployer.13.2Employee’sSignatureThisAgreementshallbeexecutedtheEmployee,whosesignatureshallbebindingontheEmployee.14.DateofAgreementThisAgreementshallbeexecutedonthis[Date],whichisthedateofitsexecutionbothparties.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallrefertoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeeforthepurposeofprovidingservices,advice,orassistanceinrelationtotheperformanceoftheAgreement.15.2TypesofThirdPartyInvolvementTheEmployerortheEmployeemayinvolveThirdPartiesinthefollowingcapacities:a.Consultantsoradvisorsprovidingspecializedexpertise.b.ServiceprovidersofferingsupportservicessuchasIT,administrative,orlogisticssupport.c.Auditorsorinspectorsconductingindependentassessments.d.Mediatorsorarbitratorsindisputeresolutionprocesses.15.3ResponsibilitiesofThirdPartiesThirdPartiesshallperformtheirdutiesinaccordancewiththetermsoftheirrespectiveagreementswiththeEmployerortheEmployeeandtheprovisionsofthisAgreement.Theyshall:a.Maintainconfidentialityofallinformationreceivedinconnectionwiththeirduties.b.Complywithallapplicablelaws,regulations,andstandards.c.Provideserviceswithduecareandskill,consistentwithindustrystandards.15.4LimitationofLiability15.4.1GeneralLimitationTheliabilityofanyThirdPartyforanyactoromissioninconnectionwiththeperformanceoftheirdutiesunderthisAgreementshallbelimitedtotheextentpermittedapplicablelaw.15.4.2SpecificLimitationIntheeventofaclaimagainstaThirdPartyarisingoutoftheirinvolvementinthisAgreement,theEmployerortheEmployee,asapplicable,shallindemnifytheThirdPartyagainstanylosses,damages,orliabilitiesincurred,uptothemaximumamountspecifiedintheagreementbetweentheEmployerortheEmployeeandtheThirdParty.15.5IndemnificationThirdParties15.5.1IndemnificationforEmployerTheEmployershallindemnifyanyThirdPartyagainstanyclaims,losses,damages,orliabilitiesarisingoutoftheEmployee'sactionsoromissions,totheextentsuchactionsoromissionsoccurwithinthescopeoftheEmployee'semployment.15.5.2IndemnificationforEmployeeTheEmployeeshallindemnifyanyThirdPartyagainstanyclaims,losses,damages,orliabilitiesarisingoutoftheEmployer'sactionsoromissions,totheextentsuchactionsoromissionsoccurwithinthescopeoftheEmployer'soperations.15.6NotificationofThirdPartyInvolvement15.6.1Employer'sNotificationTheEmployershallprovidetheEmployeewithwrittennoticeofanyThirdPartyinvolvementthatislikelytoaffecttheEmployee'sdutiesorworkingconditions.15.6.2Employee'sNotificationTheEmployeeshallprovidetheEmployerwithwrittennoticeofanyThirdPartyinvolvementthatislikelytoaffecttheEmployer'soperationsortheperformanceoftheAgreement.15.7DisputeResolutionforThirdPartyInvolvementAnydisputesarisingbetweentheEmployer,theEmployee,andaThirdPartyinrelationtotheperformanceofthisAgreementshallberesolvedinaccordancewiththedisputeresolutionprovisionssetforthinthisAgreement.15.8ThirdParty'sRelationshipwithParties15.9ThirdParty'sRighttoTerminateEithertheEmployerortheEmployeemayterminateaThirdParty'sinvolvementinthisAgreementuponwrittennotice,providedthatsuchterminationdoesnotbreachthetermsoftheThirdParty'sagreementwiththeEmployerortheEmployee.15.10ThirdParty'sObligationsPostTerminationUponterminationoftheirinvolvement,ThirdPartiesshall:a.ReturnallpropertyandconfidentialinformationprovidedtheEmployerortheEmployee.c.AssistwithanyhandoverortransitionactivitiesasagreedupontheEmployerandtheEmployee.第三部分:其他补充性说明和解释说明一:附件列表:1.ConfidentialityAgreement要求:详细规定双方的保密义务,包括保密信息的定义、保密期限、保密义务的范围等。说明:本附件用于确保双方在合同履行过程中对商业秘密和敏感信息的保密。2.JobDescription要求:详细描述供应链协调员的职责、工作内容、所需技能和经验等。说明:本附件作为合同的一部分,用于明确员工的职位要求和工作内容。3.BenefitsPackage要求:详细列出员工可享受的福利,包括但不限于保险、休假、奖金等。说明:本附件作为合同的一部分,用于明确员工的福利待遇。4.NonCompeteAgreement要求:详细规定非竞争条款的内容,包括适用范围、期限、地理限制等。说明:本附件作为合同的一部分,用于保护雇主的商业利益。5.ThirdPartyAgreement要求:详细规定与第三方合作的条款,包括合作内容、责任划分、费用等。说明:本附件作为合同的一部分,用于明确第三方在合同中的角色和责任。6.DisputeResolutionProtocol要求:详细规定争议解决的方式,包括协商、调解、仲裁或诉讼等。 tionobtainedduringthecourseofemployment,includingbutnotlimitedtotradesecrets,customerlists,andfinancialinformation.8.2NonCompeteAgreement8.3ReturnofProperty9.0ComplianceandLegalIssues9.1CompliancewithLawsandRegulations9.2EqualOpportunityEmployerTheEmployerisanequalopportunityemployeranddoesnotdiscriminateonthebasisofrace,color,religion,sex,nationalorigin,age,disability,orgeneticinformation.9.3NonDiscriminationPolicy10.0IntellectualPropertyRights10.1OwnershipofWorkProductAllworkproducedtheEmployeeinthecourseofemploymentshallbethepropertyoftheEmployer,andtheEmployeehereassignsallrights,,andinterestinsuchworktotheEmployer.10.2UseofIntellectualPropertyTheEmployeegrantstheEmployeraworldwide,perpetual,irrevocable,royaltyfreelicensetouse,reproduce,modify,distribute,andpubliclydisplayanyintellectualpropertycreatedduringthetermofemployment.11.0DisputeResolution11.1DisputeResolutionMechanismAnydisputesarisingunderthiscontractshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.Ifsuchnegotiationsfailtoresolvethedispute,themattershallbesubmittedto[DisputeResolutionBody]forbindingarbitration.11.2GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].12.0AmendmentsandModifications12.1ProcedureforAmendingtheContractAnyamendmentsormodificationstothiscontractshallbemadeinwritingandshallbesignedbothparties.12.2NoticeofChangesTheEmployershallprovidetheEmployeewithwrittennoticeofanychangestothetermsofthiscontractatleast[NoticePeriod]priortotheeffectivedateofsuchchanges.13.0GeneralProvisions13.1EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,oralorwritten,relatingtothesubjectmatterhereof.13.2AssignmentofContractTheEmployeemaynotassignthiscontractwithoutthepriorwrittenconsentoftheEmployer.13.3WaiverofBreachThefailureofeitherpartytoenforceanyprovisionofthiscontractshallnotbedeemedawaiverofsuchprovisionnoroftherightofeitherpartythereaftertoenforceeachandeveryprovisionofthiscontract.14.0Signatures14.1EmployeeSignatureTheEmployeeacknowledgesthattheyhaveread,understood,andagreedtothetermsofthiscontractandheresignsbelowasevidenceoftheiracceptance.14.2EmployerSignatureTheEmployeracknowledgesthatithasread,understood,andagreedtothetermsofthiscontractandheresignsbelowasevidenceofitsacceptance.第二部分:第三方介入后的修正15.0ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthiscontract,a"ThirdParty"referstoanyindividual,entity,ororganizationthatisnotapartytothisagreementbutisengagedeithertheEmployerortheEmployeetoprovideservices,goods,oradvicerelatedtotheperformanceofthecontract.15.2TypesofThirdPartiesThirdPartiesmayinclude,butarenotlimitedto,consultants,contractors,suppliers,intermediaries,andserviceproviders.15.3AuthorizationforThirdPartyInvolvementTheEmployerortheEmployeemayinvolveThirdPartiesintheperformanceofthiscontractwiththepriorwrittenconsentoftheotherparty.SuchconsentshallbegrantedwithinareasonabletimeframeandshallspecifythescopeoftheThirdParty'sinvolvement.16.0AdditionalTermsandConditionsforThirdPartyInvolvement16.1AdditionalTermsfortheEmployerWheninvolvingaThirdParty,theEmployershallensurethat:1.TheThirdParty'sservices,goods,oradvicearenecessaryfortheproperperformanceofthiscontract.2.TheEmployerhasobtainedallnecessarypermissionsandauthorizationsfromtheEmployeebeforeengagingtheThirdParty.3.TheEmployerhasreviewedandapprovedtheThirdParty'squalifications,experience,andreputation.4.TheEmployerhasenteredintoawrittenagreementwiththeThirdPartythatincludesthescopeofwork,deliverables,timelines,andpaymentterms.16.2AdditionalTermsfortheEmployeeWheninvolvingaThirdParty,theEmployeeshallensurethat:1.TheThirdParty'sservices,goods,oradvicearenecessaryfortheproperperformanceofthiscontract.2.TheEmployeehasobtainedallnecessarypermissionsandauthorizationsfromtheEmployerbeforeengagingtheThirdParty.3.TheEmployeehasreviewedandapprovedtheThirdParty'squalifications,experience,andreputation.4.TheEmployeehasenteredintoawrittenagreementwiththeThirdPartythatincludesthescopeofwork,deliverables,timelines,andpaymentterms.17.0ResponsibilitiesofThirdParties17.1ScopeofWorkTheThirdPartyshallperformtheservices,providethegoods,oroffertheadviceasspecifiedintheagreementbetweentheEmployerorEmployeeandtheThirdParty.17.2QualityandComplianceTheThirdPartyshallensurethattheservicesprovided,goodsdelivered,oradvicegivenmeetthestandardsandrequirementssetforthintheagreementandthiscontract.17.3ConfidentialityTheThirdPartyshallmaintaintheconfidentialityofallinformationprovidedtheEmployerorEmployeeandshallnotdisclosesuchinformationtoanyunauthorizedthirdparty.17.4IndemnificationTheThirdPartyshallindemnifyandholdharmlesstheEmployerandtheEmployeeagainstanyclaims,losses,ordamagesarisingoutoftheThirdParty'snegligenceorbreachofcontract.18.0LimitationofLiability18.1GeneralLimitationTheliabilityoftheThirdPartyunderthiscontractshallbelimitedtotheamountpaidtheEmployerorEmployeetotheThirdPartyundertheagreement.18.2ExclusionofCertainLiabilitiesTheliabilityoftheThirdPartyshallnotextendtoanyclaim
