7.3FeedbackandDevelopment8.ConfidentialityandNonCompeteClause8.1ConfidentialityAgreement8.2NonCompeteClause9.TerminationofEmployment9.1NoticePeriod9.2TerminationforCause9.3TerminationMutualAgreement10.IntellectualProperty10.1OwnershipofWorkProduct10.2RightsandResponsibilitiesofEmployee11.DisputeResolution11.1MediationandArbitration11.2GoverningLaw12.MiscellaneousProvisions12.1AmendmentstotheAgreement12.2EntireAgreement12.3WaiverofBreach12.4Headingsforconvenienceonly13.Signatures13.1SignatureofEmployer13.2SignatureofEmployee14.Attachments14.1JobDescription14.2BenefitsPackage14.3ConfidentialityAgreement第一部分:合同如下:1.PartiestotheAgreement1.1NameandAddressoftheEmployerTheEmployer'sfulllegalname:[Employer'sName]TheEmployer'sregisteredaddress:[Employer'sAddress]1.2NameandAddressoftheEmployeeTheEmployee'sfulllegalname:[Employee'sName]TheEmployee'sregisteredaddress:[Employee'sAddress]2.DescriptionofthePosition2.1JobTitleThepositiontowhichtheEmployeeisappointedis:[JobTitle]2.2JobDescriptionTheEmployee'smaindutiesandresponsibilitiesincludebutarenotlimitedto:a.Developingandimplementingpublicrelationsstrategiesc.Producingcontentforvariousplatformse.Collaboratingwithinternalteamsandexternalstakeholders2.3DutiesandResponsibilitiesTheEmployeeshall:b.Attendallnecessarymeetingsandtrainingsessionsc.Completeallassignedtaskswithintheagreedtimeframed.KeeptheEmployerinformedofanyissuesorconcerns3.TermofEmployment3.1StartDate3.2EndDateThetermofthisAgreementshallcontinueuntil[EndDate]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.3.3ProbationaryPeriodTheEmployeeshallserveaprobationaryperiodof[ProbationaryPeriodDuration]monthsfromtheStartDate.Duringthisperiod,eitherpartymayterminatetheemploymentwithnoticeasprovidedforinthisAgreement.4.WorkHoursandSchedule4.1StandardWorkingHoursThestandardworkinghoursfortheEmployeeshallbe[StandardWorkingHours]perweek,from[StartTime]to[EndTime],MondaytoFriday.4.2OvertimePolicyOvertimeshallbeagreeduponinadvancebothpartiesandshallbepaidat[OvertimeRate]perhour.4.3FlexibleWorkingHoursTheEmployermay,atitsdiscretion,allowtheEmployeetoworkflexiblehours,subjecttotheneedsofthebusiness.5.CompensationandBenefits5.1SalaryTheEmployeeshallreceiveabasesalaryof[SalaryAmount]per[PaymentFrequency]asagreedbetweentheparties.5.2SalaryReviewPolicyTheEmployerreservestherighttoreviewtheEmployee'ssalaryperiodically,withthefirstreviewoccurringafter[ReviewPeriod]fromtheStartDate.5.3BonusesTheEmployeemaybeeligibleforbonusesbasedontheachievementofpredefinedperformancetargets,asdeterminedtheEmployer.5.4BenefitsPackageTheEmployeeshallbeendtothefollowingbenefitspackage:a.Healthinsuranceb.Lifeinsurancec.Paidannualleaved.Paidpublicholidayse.Otherbenefitsasmaybeagreedbetweentheparties6.LeaveandAbsence6.1AnnualLeaveTheEmployeeshallbeendto[AnnualLeaveDays]ofpaidannualleavepercalendaryear,whichshallbetakeninaccordancewiththeEmployer'spoliciesandprocedures.6.2SickLeaveTheEmployeeshallbeendto[SickLeaveDays]ofpaidsickleavepercalendaryear,whichshallbetakeninaccordancewiththeEmployer'spoliciesandprocedures.6.3ParentalLeaveTheEmployeeshallbeendto[ParentalLeaveDays]ofpaidparentalleaveuponthebirthoradoptionofachild,subjecttotheEmployer'spoliciesandprocedures.6.4MaternityLeaveTheEmployeeshallbeendto[MaternityLeaveDays]ofpaidmaternityleave,asprovidedapplicablelawsandregulations.6.5OtherTypesofLeave7.PerformanceReview7.1ReviewProcessTheEmployershallconductaperformancereviewoftheEmployeeatleastonceayear,within[ReviewPeriod]fromtheStartDate.7.2PerformanceCriteriaTheperformancereviewshallbebasedontheEmployee'sjobdescription,duties,andresponsibilities,aswellasanyothercriteriaagreeduponbetweentheparties.7.3FeedbackandDevelopmentTheEmployershallprovidetheEmployeewithfeedbackontheirperformanceandofferopportunitiesforprofessionaldevelopmentasneeded.8.ConfidentialityandNonCompeteClause8.1ConfidentialityAgreementTheEmployeeagreestokeepconfidentialallconfidentialinformationoftheEmployer,includingbutnotlimitedtotradesecrets,customerlists,financialinformation,andbusinessstrategies.TheEmployeeshallnotdiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.8.2NonCompeteClause9.TerminationofEmployment9.1NoticePeriodTheEmployeeshallprovide[NoticePeriod]writtennoticeofterminationtotheEmployer,ortheEmployershallprovide[NoticePeriod]writtennoticetotheEmployee.Intheeventofterminationduetogrossmisconduct,thenoticeperiodmaybewaived.9.2TerminationforCauseTheEmployermayterminatetheemploymentoftheEmployeeforcause,includingbutnotlimitedto:a.Grossmisconductb.Breachofconfidentialityd.Failuretoperformtheessentialdutiesoftheposition9.3TerminationMutualAgreementTheEmployerandtheEmployeemayterminatetheemploymentmutualagreement,providedthatsuchterminationisinwritingandsignedbothparties.10.IntellectualProperty10.1OwnershipofWorkProductAllworkproducedtheEmployeeduringthecourseoftheiremploymentshallbedeemedthepropertyoftheEmployer,includingbutnotlimitedtoanyoriginalworks,documents,andothermaterials.10.2RightsandResponsibilitiesofEmployeeTheEmployeeshallretaintherighttobecreditedastheauthorofanyworkproducedduringthecourseoftheiremployment,unlessotherwiseagreedbetweentheparties.11.DisputeResolution11.1MediationandArbitrationAnydisputesarisingunderthisAgreementshallberesolvedthroughmediationorarbitration,asmutuallyagreedtheEmployerandtheEmployee.11.2GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].12.MiscellaneousProvisions12.1AmendmentstotheAgreementAnyamendmenttothisAgreementshallbemadeinwritingandsignedbothparties.12.2EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployeeregardingthesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings.12.3WaiverofBreachThefailureofeitherpartytoenforceatanytimeanyprovisionofthisAgreementshallnotbeconstruedtobeawaiverofsuchprovision,norinanywayaffectthevalidityofthisAgreement.12.4HeadingsforconvenienceonlyTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationorconstructionofthisAgreement.13.Signatures13.1SignatureofEmployerThisAgreementshallbeexecutedanauthorizedrepresentativeoftheEmployerandshallbebindingupontheEmployer.13.2SignatureofEmployeeThisAgreementshallbeexecutedtheEmployeeandshallbebindingupontheEmployee.14.Attachments14.1JobDescriptionTheJobDescriptionattachedtothisAgreementisanintegralpartofthisAgreementandformspartofthetermsandconditionsofemployment.14.2BenefitsPackageTheBenefitsPackageattachedtothisAgreementisanintegralpartofthisAgreementandformspartofthetermsandconditionsofemployment.14.3ConfidentialityAgreementTheConfidentialityAgreementattachedtothisAgreementisanintegralpartofthisAgreementandformspartofthetermsandconditionsofemployment.第二部分:第三方介入后的修正1.ThirdPartyInvolvement1.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallrefertoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeeforthepurposeofprovidingservices,advice,orassistancerelatedtotheemploymentrelationship.1.2TypesofThirdPartyInvolvementTheinvolvementofaThirdPartymayinclude,butisnotlimitedto,thefollowing:a.Legalcounselormediatorsfordisputeresolutionb.Professionaldevelopmenttrainersc.Healthandsafetyconsultantsd.HRconsultantsorrecruiters2.AdditionalTermsandConditionsforThirdPartyInvolvement2.1ConsentPriortoengagingaThirdParty,theEmployerortheEmployeeshallobtainthewrittenconsentoftheotherparty.TheconsentshallspecifythenatureoftheservicestobeprovidedtheThirdPartyandthedurationoftheengagement.2.2ConfidentialityAnyThirdPartyengagedeitherpartyshallberequiredtosignaconfidentialityagreement,ensuringthatallconfidentialinformationsharedduringthecourseoftheirengagementiskeptsecureandnotdisclosedtoanyunauthorizedthirdparties.2.3FeesandCostsThefeesandcostsassociatedwiththeengagementofaThirdPartyshallbebornethepartythatengagestheThirdParty,unlessotherwiseagreedbetweentheparties.3.ResponsibilitiesoftheThirdParty3.1PerformanceofServices3.2LimitationofLiabilityTheliabilityoftheThirdPartyforanyactoromissioninthecourseofprovidingservicesunderthisAgreementshallbelimitedtothescopeofservicesagreeduponandthefeespaidtotheThirdParty.3.3IndemnificationTheEmployerortheEmployeeshallindemnifytheThirdPartyagainstanyclaims,demand
