TheSellershallarrangefortheshipmentoftheGoodsinaccordancewiththetermsoftheCIF(Cost,Insurance,andFreight)contract.TheSellershallensurethattheGoodsareadequatelyinsuredagainstlossordamageduringtransportation.

5.InspectionandAcceptance:

TheBuyershallhavetherighttoinspecttheGoodsupondelivery.IftheGoodsdonotconformtothespecificationssetforthinthisContract,theBuyershallhavetherighttorejecttheGoodsandclaimforcompensationorrefund.

6.ForceMajeure:

Intheeventofanyunforeseencircumstancesbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtowar,strike,naturaldisasters,andgovernmentregulations,eitherpartymaybeexcusedfromperformingitsobligationsunderthisContract.

7.GoverningLawandDisputeResolution:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthenegotiationsfail,thepartiesagreetosubmitthedisputestoarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

8.EntireAgreement:

(b)TheSellershallensurethattheGoodsareofthehighestqualityandmeetthespecificationssetforthinthisContract.

4.ThirdParty’sRightsandObligations:

(b)ThePrincipalshallhavetherighttoreceiveregularprogressreportsfromtheSellerandtheThirdPartyregardingthestatusoftheGoodsandtheservicesprovided.

(c)ThePrincipalshallhavetherighttoappointanindependentinspectortoverifythequalityandquantityoftheGoodsbeforeandafterdelivery.

6.Seller’sandThirdParty’sLimitationsofLiability:

(a)TheSellerandtheThirdPartyshallnotbeliableforanylossordamagetotheGoodsarisingfromcausesbeyondtheirreasonablecontrol,includingbutnotlimitedtoforcemajeureevents.

(b)TheSellerandtheThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingfromtheperformanceornon-performanceoftheirobligationsunderthisContract.

7.Buyer’sandThirdParty’s违约及限制条款：

(a)TheSellershallbeliableforanybreachofwarrantyornon-conformityoftheGoodsandshallpromptlyreplaceorrepairsuchGoodsatnoadditionalcosttothePrincipal.

(b)TheThirdPartyshallbeliableforanyfailuretoperformitsservicesasagreeduponandshallcompensatethePrincipalforanylossesincurredasaresult.

(c)IntheeventofabreachbytheSellerortheThirdParty,thePrincipalshallhavetherighttoterminatethisContractandseekdamages.

8.GoverningLawandDisputeResolution:

TheinclusionoftheThirdPartyinthisContractenhancesthePrincipal’sabilitytomanagethesupplychainandensurethequalityandtimelydeliveryoftheGoods.ThePrincipal’srightsandobligationsareprioritizedtoprotectitsinterestsandtoprovideaframeworkfortheeffectivemanagementofthetransaction.TheThirdParty’sroleistocomplementthePrincipal’srequirementsandtoprovideadditionalservicesthatcontributetotheoverallsuccessofthetransaction.ThePrincipal’saimistosecureareliablesupplyofGoods,minimizerisks,andmaximizeitscommercialbenefits.
