WHEREAS,thePrincipaldesirestoengagetheservicesofthePhotographertocapturephotographsforaspecifiedeventorproject;
WHEREAS,thePhotographeriswillingtoprovidesuchservices;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:
1.Engagement
ThePhotographerherebyagreestoprovidephotographyservicestothePrincipalfortheeventorprojectdescribedinExhibitA(hereinafterreferredtoasthe"Event").ThescopeofservicesshallbeasdetailedinExhibitA.
2.TermandConditions
2.1ThetermofthisContractshallcommenceonthedateofexecutionhereofandshallcontinueuntilthecompletionoftheEventorsuchotherperiodasmaybeagreeduponbythepartiesinwriting.
2.2ThePhotographershallperformtheserviceswithduecare,skill,anddiligence,andinaccordancewiththeapplicablelawsandregulations.
2.3ThePrincipalshallprovidethePhotographerwithallnecessaryinformation,access,andfacilitiesrequiredtoperformtheservices.
3.FeesandPayment
3.1ThePhotographershallbeentitledtoreceiveafee(hereinafterreferredtoasthe"Fees")fortheservicesrenderedunderthisContract,asspecifiedinExhibitB.
3.2TheFeesshallbepaidbythePrincipaltothePhotographerinaccordancewiththepaymentschedulesetforthinExhibitB.
3.3FailuretopaytheFeesbytheduedatemayresultinterminationofthisContractandthePhotographerretainingtherighttorecoveranyoutstandingamountsdue.
4.OwnershipandUsageofPhotographs
4.1TheownershipofthephotographscapturedbythePhotographer(hereinafterreferredtoasthe"Photographs")shallremainwiththePhotographer,unlessotherwiseagreedinwritingbytheparties.
4.2ThePrincipalshallbegrantedanon-exclusive,non-transferable,andlimitedlicensetousethePhotographsforthepurposesofpromoting,advertising,andmarketingtheEvent.
5.Confidentiality
5.1ThepartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherpartyinconnectionwiththisContract,exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingparty.
6.Indemnification
6.1ThePhotographeragreestoindemnifyandholdharmlessthePrincipalfromandagainstanyandallclaims,actions,liabilities,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththePhotographer'sperformanceoftheservicesunderthisContract.
6.2ThePrincipalagreestoindemnifyandholdharmlessthePhotographerfromandagainstanyandallclaims,actions,liabilities,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththePrincipal'suseofthePhotographs.
7.GoverningLawandDisputeResolution
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichthePrincipalislocated.
7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationbetweentheparties.Ifsuchnegotiationfails,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.
8.Miscellaneous
8.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,ornegotiations,whetherwrittenororal,relatingtothesubjectmatterhereof.
8.2AnyamendmentormodificationofthisContractshallbeeffectiveonlyifmadeinwritingandsignedbybothparties.
8.3ThisContractmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

WHEREAS,theThirdPartyiswillingtoactasaqualitycontrolandcoordinationentitytofacilitatethesmoothexecutionofthephotographyservices;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:

ThePhotographerherebyagreestoprovidephotographyservicestothePrincipalfortheEvent,withtheThirdPartyprovidingqualitycontrolandcoordinationsupport.ThescopeofservicesshallbeasdetailedinExhibitA.
2.TermandConditions
2.1ThetermofthisContractshallcommenceonthedateofexecutionhereofandshallcontinueuntilthecompletionoftheEventorsuchotherperiodasmaybeagreeduponbythepartiesinwriting.
2.2ThePhotographershallperformtheserviceswithduecare,skill,anddiligence,inaccordancewiththeapplicablelawsandregulations,andunderthesupervisionoftheThirdParty.
3.Principal'sRightsandObligations
3.1ThePrincipalhastherighttoapprovethePhotographer'sfinalselectionofimagesandtorequestanynecessaryretakes.
3.2ThePrincipalhastherighttorequestchangestothephotographyservicesscope,subjecttomutualagreementandanyadditionalfees.
3.3ThePrincipalshallprovidethePhotographerandtheThirdPartywithallnecessaryinformation,access,andfacilitiesrequiredtoperformtheservices.
3.4ThePrincipalshallhavetherighttoterminatethisContractforcause,uponwrittennoticetothePhotographerandtheThirdParty,intheeventofamaterialbreachbyeitherparty.
4.Photographer'sRightsandObligations
4.1ThePhotographershallprovidethePrincipalwithapreliminaryselectionofimagesforapprovalwithinaspecifiedtimeframe.
4.2ThePhotographershallcomplywithanyreasonableinstructionsfromtheThirdPartyregardingthephotographyservices.
4.3ThePhotographershalldeliverthefinalselectionofimagestothePrincipalwithintheagreedtimeframe.
5.ThirdParty'sRightsandObligations
5.1TheThirdPartyshalloverseethequalityandcoordinationofthephotographyservices.
5.2TheThirdPartyshallhavetherighttorequestadditionalinformationorclarificationfromthePrincipalorthePhotographer.
5.3TheThirdPartyshallhavetherighttoterminatethisContractforcause,uponwrittennoticetothePrincipalandthePhotographer,intheeventofamaterialbreachbyeitherparty.
6.FeesandPayment
6.1TheFeesfortheservicesrenderedunderthisContractshallbeasspecifiedinExhibitB.
6.2TheFeesshallbepaidbythePrincipaltothePhotographerinaccordancewiththepaymentschedulesetforthinExhibitB.
6.3ThePrincipalshallberesponsibleforanyadditionalcostsincurredbythePhotographerortheThirdPartyduetochangesinthescopeofservicesorotherunforeseencircumstances.
7.OwnershipandUsageofPhotographs
7.1TheownershipofthePhotographsshallremainwiththePhotographer,unlessotherwiseagreedinwritingbytheparties.
7.2ThePrincipalshallbegrantedanon-exclusive,non-transferable,andlimitedlicensetousethePhotographsforthepurposesofpromoting,advertising,andmarketingtheEvent.
8.违约及限制条款
8.1ThePhotographershallnotsubcontractthephotographyserviceswithoutthepriorwrittenconsentofthePrincipalandtheThirdParty.
8.2ThePhotographershallnotusethePhotographsforanypurposeotherthanthoseagreeduponinthisContractwithoutthepriorwrittenconsentofthePrincipal.
8.3TheThirdPartyshallnotdiscloseanyconfidentialinformationobtainedinthecourseofthisContracttoanythirdpartywithoutthepriorwrittenconsentofthePrincipal.
9.GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichthePrincipalislocated.
9.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationbetweentheparties.Ifsuchnegotiationfails,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.
10.Conclusion
TheinvolvementoftheThirdPartyinthisContractservestoenhancethePrincipal'sinterestsbyensuringahigh-qualityoutcomeandfacilitatingthesmoothdeliveryofthephotographyservices.ThePrincipal'srightsandobligationsareprioritizedtoprotecttheirinterestsandensurethesuccessfulexecutionoftheEvent.TheintroductionoftheThirdPartyasaqualitycontrolandcoordinationentityaddsanadditionallayerofassuranceforthePrincipal,allowingthemtofocusontheeventitselfwhilethephotographyservicesaremanagedbyatrustedthirdparty.

4.1TheThirdPartyshallhavetherighttoreviewthephotographyservicesprovidedbythePhotographerandtoprovidefeedbackandrecommendationsforimprovement.
4.2TheThirdPartyshallhavetherighttorequestadditionalinformationorclarificationfromthePrincipalorthePhotographer.
4.3TheThirdPartyshallhavetherighttoterminatethisContractforcause,uponwrittennoticetothePrincipalandthePhotographer,intheeventofamaterialbreachbyeitherparty.
5.Principal'sRightsandObligations
5.1ThePrincipalshallhavetherighttoapprovethefinalselectionofimagesprovidedbythePhotographer.
5.2ThePrincipalshallhavetherighttorequestchangestothephotographyservicesscope,subjecttomutualagreementandanyadditionalfees.
5.3ThePrincipalshallprovidethePhotographerandtheThirdPartywithallnecessaryinformation,access,andfacilitiesrequiredtoperformtheservices.
6.FeesandPayment
6.1TheFeesfortheservicesrenderedunderthisContractshallbeasspecifiedinExhibitB.
6.2TheFeesshallbepaidbythePrincipaltothePhotographerinaccordancewiththepaymentschedulesetforthinExhibitB.
