Preface

VietnamhasbeenexperiencingrapideconomicdevelopmentovertheyearsandisoneofthefewcountriesinSoutheastAsiathatmaintainedstronggrowthin2023.Meanwhile,thebilateraldiplomaticrelationbetweenVietnamandChinahasbecomefurtherdeepened.In2024,VietnamandChinahaveseenmultiplefriendlydiplomaticexchangesandpromotedtheconstructionofacommunityofsharedfuturewithstrategicsignificanceuptonow.OnJune26,PresidentXiJinpingmetwithPhạmMinhChính,thePrimeMinisterofVietnam,whovisitedChinatoattendtheSummerDavosForum.Inthemeeting,PresidentXiJinpingemphasizedthatChinahadbeenalwaysgivingprioritytoVietnaminneighborhooddiplomacyandfirmlysupportingVietnaminpursuingthepathofsocialismthatsuitsVietnam’snationalconditions.PresidentXiJinpingsaidthatChinaiswillingtoenhanceexchangesandmutuallearning,deepenmutuallybeneficialcooperationandmarchtowardsmodernizationwithVietnam,purportingtobuildacommunityofsharedfutureandcenteringontheoverallobjectives(theeconomyismoredeveloped;democracyismorerobust;scienceandeducationaremoreadvanced;cultureismoreprosperous;societyismoreharmonious;andthepeopleliveabetterlife),inordertomakegreatercontributionstothepeace,stability,developmentandprosperityoftheworld.

ThecooperationbetweenVietnamandChinaontradeandinvestmenthasbeenincreasinglydeepenedandachievedpracticalresults,becomingahighlightintherelationshipbetweenthetwocountriesinrecentyears.VietnamandChinahavemaintainedfrequentvisitsatthetoplevelandentered

intomultipleagreementsoneconomiccooperationcoveringinfrastructureconstruction,digitaleconomy,greenenergyandmanyotherfields,whichfurtherreinforcedthemutualtrustandbasisforcooperationbetweenthetwocountries.TheGovernmentofVietnamhassaidthatitwillcontinuetooptimizethebusinessenvironmentinVietnamandissuemoresupportingpoliciestoattractfurtherinvestmentsfromChineseenterprises.

ThepositivemacroeconomicenvironmentinVietnamaswellasthecontinuouslyimprovedtradeandeconomicrelationsbetweenVietnamandChinahaveinjectedconfidenceforChineseenterprisestoenterVietnam.VietnampossessesthefollowingfouradvantagesforChineseinvestorsintendingtomakeoverseasinvestments:VietnamisgeographicallyclosetoChina;thecostoflaborinVietnamisrelativelylow;theVietnamesemarketisunderdeveloped;andtheeconomicdevelopmentpathofVietnamishighlysimilartothatofChina.ChineseenterpriseshavebeenincreasinginvestmentsinVietnam.ManymanufacturingenterpriseshavestartedtodeploymanufacturingsitesinVietnam.Chineseenterpriseshaveformedadual-coreindustrialclusterinVietnamwhichmainlyconsistsoflabor-intensivemanufacturingindustryandconsumerelectronicsindustry.

AccordingtotheReportonAttractingForeignDirectInvestmentFundsreleasedbytheMinistryofPlanningandInvestmentofVietnam,theforeigndirectinvestmentinVietnamin2023,includingnewlyregisteredcapital,increasedcapitalcontributionandcapitalcontributionthroughsharepurchase,totalednearly28.85billionUSdollars,increasingby14.8%overthepreviousyear.Intermsofthenumberofprojects,Chinatooktheleadinnewprojectregistrations,accountingfor22.1%.AsshownbythedataissuedbytheMinistryofPlanningandInvestmentofVietnam,Chinacurrentlyhasatotalof4,032investmentprojectsinVietnam,withatotalregisteredcapitalofmorethan26billionUSdollars,rankingsixthamongthe144countriesandregions

investinginVietnam.Intermsofbilateraltrade,ChinahasbeenthelargesttradepartnerofVietnamformanyyears,whileVietnamisChina’slargesttradepartnerintheAssociationofSoutheastAsianNationsandthe4thtradepartnerintheworld.

It’snoteasyforChineseenterprisestoentertheVietnamesemarket.Itcanbelearnedfromthefailedcasesthatinvestmentmadewithoutpreparationwillbefacedwithmanypotentiallegalrisks.ChineseenterprisesneedtofurtherunderstandandmakefulluseofVietnam’sinvestmentpolicies,abidebyVietnam’slawsandregulations,andcarryonbusinessinstrictaccordancewiththeapplicablelawsandregulations,inordertoavoidunnecessarylosses.

ThisreportbeginsfromtheintroductionofthedevelopmentofChineseenterprisesinVietnam,respondstotheneedsoftheChineseenterpriseswhoareinterestedininvestinginVietnamandwhohavealreadyinvestedandcarriedonbusinessinVietnam,andpresentsadetailedanalysisofthebusinessenvironment,policiesandlegalregulations,investmentopportunitiesandrisksinVietnam.Thisreportconsistsofsixparts,namelythegeneralmacroeconomicconditionsinVietnam,overviewofChineseenterprisesinVietnam,investmentopportunitiesandrisksfacedbyChineseenterprisesinVietnam,relevantdemandsandsuggestionsrelatedtotheinvestmentandoperationofChineseenterprisesinVietnam,andnewdevelopmentopportunitiesforChineseenterprisesinthecontextofdigitalandgreeneconomy.Thisreportelaboratesnewcontentsandreflectsnewtrendsbasedonthenewsituation,hopingtoprovidereferencefortheinvestmentandoperationofChineseenterprisesinVietnam.

ChineseenterprisesinVietnamaremainlyfromYunnan,Hunan,Fujian,Guangdong,Shandong,Zhejiang,Sichuan,Chongqing,Guangxi,Anhui,Henan,Jiangxi,Hubei,Jiangsu,NortheastChina,GuizhouandotherregionsofChina.TheyaremainlydistributedinHanoiCity,HoChiMinhCity,BacNinhProvince,BacGiangProvince,BinhDuongProvince,andotherplacesinVietnam.

TheBusinessAssociationofChinainVietnamcurrentlyhasmorethan4,000membersengagedinvariousindustriesincludingconstruction,mechanicalequipment,rawmaterialsandproductionandprocessingthereof,motorcyclemanufacturing,finance,waterconservancyandhydropower,thermalpowerstationconstruction,communicationandequipment,electronicappliances,transportation,miningandmetallurgy,agricultureandanimalhusbandry,medicine,textile,andotherindustries.ThesememberenterpriseshaveimpressedthepeopleofVietnambynotonlytheirgreatquantitybutalsothesignificantcontributionstheyhavemadetotheeconomicdevelopmentofVietnam.ChinamainlyconcentratesitsinvestmentinVietnamonprocessingandmanufacturing,realestate,powergenerationandothersectors,andhasmadegreatcontributionstotheimprovementofVietnam’sindustrystructurethroughdeepinternationalcooperationonindustrychainandsupplychain.

Inaddition,Chineseenterpriseshaveextensivelyparticipatedinthe

constructionofVietnam’sinfrastructureinnotonlytransportation,energyandothertraditionalsectorsbutalsoemergingcommunicationanddigitalsectors.PartoftheprojectsarelistedinTable1-1below.Throughtheseprojects,ChineseenterpriseshavehelpedVietnamtoimproveinfrastructure,boostemploymentandtechnologytransfer,enhanceregionalconnectivity,andpromotethedevelopmentoflocaleconomy,deepeningtheeconomiccooperationbetweenChinaandVietnamandmakingsubstantialcontributionstoVietnam’slong-termdevelopmentandregionalintegration.Lookingforward,ChineseenterpriseswillcontinueplayinganimportantroleinVietnam’sinfrastructureconstructionandfurtherpromotetheeconomicandtradeexchangesandstrategiccooperationbetweenVietnamandChina.

1.OnFebruary27,2023,theprojectofrenovationofthedustcollectionsysteminthecokescreeningbuildinginthecokingplantofFormosaHaTinhSteelCorporationforwhichCISDIGroupCo.,Ltd.subordinatedtoChinaMinmetalsCorporationservedasgeneralcontractorwasputintotrialoperation.

2.OnMarch28,2023,ChinaMCC5GroupCorp.Ltd.subordinatedtoMCCwonthebidfortheconstruction(includingsupplyofmaterials)andinstallationofhigh-spansteelstructureoftwo300-tonconvertersinHoaPhatDungQuatIIsteelmakingproject.TheprojectislocatedinQuangNgaiProvince,Vietnamandisexpectedtoproduce5.6milliontonsofqualifiedmoltensteelannuallyafterbeingputintooperation.

3.OnApril8,2023,MCCBaosteelTechnologyServicesCo.,Ltd.undertookmultipletechnicalupgradingprojectsofasteelsinteringplantinHaTinh,includingupgradingofcokeguidesinsinteringmachines,upgradingofthecentercylinderofdesulfurizationanddenitrificationrotorinsinteringmachineNo.1,upgradingofthedustremovalfansinconverters,etc.ThephaseIprojectofdenitrificationofsinteringfluegasthroughdSCRofHoaPhatDungQuatsteelfactoryforwhichZhongyeChangtianInternationalEngineeringCo.,Ltd.servedasgeneralcontractorhassuccessfullypassedthe72-hourperformanceassessmentandobtainedthefinalacceptancecertificateissuedbytheowner.Thisprojectdeeplypurifiessinteringfluegas

throughacombinationofprocesses,includingwet-typeelectricdustremoval,MGGH,fluegascondensationandSCRdenitrificationbasedonwetdesulfurization.

4.OnOctober9,2023,HuongLinh3windpowerprojectundertakenbyPowerChinaHubeiEngineeringCo.,Ltd.inVietnamsuccessfullyrealizedgridconnectionatfullcapacity,symbolizingtheachievementofanothermajormilestoneoftheproject.Theinstalledgrosscapacityoftheprojectis

30MW.Aftercompleted,theprojectisexpectedtotransmit75,000MWofcleanpowertothenationalgridofVietnamperyear,reducingabout60,000tonsofcarbondioxideemission.TheprojectisinQuangTriprovinceandconsistsofHuongLinh3andHuongLinh4.HuongLinh3isequippedwith93.2MWwindturbines,andHuongLinh4projectisequippedwith103.2MWwindturbines,withatotalcapacityof60.8MW.HuongLinh3andHuongLinh4isrespectivelyequippedwitha110-kVboosterstation.

5.ChinaCommunicationsConstructionCompanyLimited(CCCC)undertooktheBRTprojectlocatedinHanoi,Vietnamwiththecontractvaluereaching70millionUSdollars.TheprojectwasformallyhandedoverandputintooperationonOctober15,2023.Thebusrouteinvolvedintheprojectis33kmlong.Thereareintotal43stationswhichconnectthecitycenterandsurroundingareas,providingmoreconvenientpublictransportationservicesforcitizens.

6.AsofNovember6,2023,itisthefirstanniversaryofthesmoothoperationoftheCatLinh-HaDonglightraillineinHanoi,Vietnam,forwhichChinaRailwaySixthGroupCo.,Ltd.servedasgeneralcontractorhadbeensmoothlyoperatedforoneyear.Sinceitsoperation,theLinehascarriednearly7.2millionpassengerswithon-schedulerateat99.8%.Thepassengercapacityonworkdaysexceeds32,000person-timesandthatonweekendsis26,000person-times.

7.OnDecember18,2023,PowerChinaHarborCo.,Ltd.enteredacontractwithKhaiLongwithrespecttowindturbineinstallationforitsoffshorewindpowerproject.TheprojectisinCaMauprovince,Vietnam,mainlyconsistingoftheinstallationof300MWoffshorewindturbine.PhaseIprojectincludestheinstallationof19windturbines.

8.TheheadquartersofChinaHaisumEngineeringCo.,Ltd.inShanghaiwonthebidforphaseIIwastewatertreatmentprojectofChengLoong,Vietnamandbecamethegeneralcontractor.Thetreatmentcapacityoftheprojectaftercompletedis10,000tperday.TheprojectislocatedArea4,TengpoTsuiSingaporeIndustrialZone,ANSISheTengpo,BinhChiCity,BinhDuongProvince,Vietnam.forwhichChinaHaisumprovidesturn-keyengineeringservicesincludingdesign,supply,installation,commissioning,boot-upandEPC.

9.InMay2023,Ever-tieestablishedaplantinVietnam.Aftertrialoperationformorethansixmonths,theplantinitiallybuiltupproductivity.Duetotransnationaloperation,itwilltakesometimeforintegrationofsupplychainandmanagement.Itisinitiallyexpectedthattheplantwillsubstantiallyreachthedesignproductivitybytheendoffirstquarterof2024tomeetthedemandsfromadditionalcustomerorders.

1.2ContributionsMadebyChineseEnterprisestoVietnam

andRepresentativeCases

Atpresent,thereare6economicandtradecooperationzones(industryzone)inVietnamthatareinvestedandconstructedbyChineseenterprises,including1state-leveloverseaseconomicandtradecooperationzone.These6industryzonesoccupyatotalareaofabout5,000hectareswithatotalof1.6billionUSdollarsofinvestment,providingjobsforabout300,000people.

1.2.1RepresentativeCase–TrinaSolar

Foundedin1997,TrinaSolarCo.,Ltd.(stocksymbol:TrinaSolar;stockcode:688599)ismainlyengagedinPVproducts,PVsystemsandsmartenergy.PVproductsincludeR&D,productionandsalesofPVmodules.PVsystemsconsistofpowerstationsandsystemproducts.SmartenergymainlycomprisesPVpowergenerationandoperation&maintenance,smartsolutionsforenergystorage,smartmicrogrid,anddevelopmentandsalesofmulti-energysystems.Regarding“creatinganewindustryecologydominatedbyTrinaSolarandpromotingTrinaSolartobecometheleaderinsmartsolarenergy”asstrategicobjective,TrinaSolariscommittedtoleadingthewayinsmartsolarenergysolutionsandfacilitatingthetransformationofnewpowersystemsforanet-zerofuture.OnJune10,2020,TrinaSolarwaslistedonthescienceandtechnologyinnovationboardofShanghaiStockExchange,

becomingthefirstPVenterpriselistedonthescienceandtechnologyinnovationboardthatisengagedinPVproducts,PVsystemsandsmartenergy.

InrespondtoChina’snationalBeltandRoadInitiative,TrinaSolarhasactivelyparticipatedintheeconomicandtradecooperationbetweenChinaand

Vietnaminrecentyears.Thecompanybuilta4GWbattery+5GWmodulefactoryinThaiNguyenProvinceofVietnamwithtotalinvestmentamountingto203millionUSdollars.ThefactorywasputintoproductioninApril2021,generatingannualsalesofabout1.1billionUSdollars.InthephaseIIproject,thecompanybuilta6.5GWcrystalpulling+6.5GWsiliconwaferslicingfactorywithtotalinvestmentamountingto275millionUSdollars.ThefactorywasputintoproductioninAugust2023,generatingannualsalesofabout850millionUSdollars.Thetwofactorieshaveuptonowcreated2,500directjobsinThaiNguyenProvince.

TrinaSolariscurrentlyplanningphaseIIIprojectdominatedby5GWpulledcrystal,5GWsiliconwaferand5GWbatterywhichwillneedaboutatotalof500millionUSdollarsofinvestmentandisexpectedtocreate2,000jobs.

In2023,TrinaSolaraccomplishedremarkableachievementsinVietnam:

1.TrinaSolarmadeeveryefforttopurchaselocallyinVietnamasmanyaspossibleservicesandsupplychainsrequiredfortheoperationofitsVietnamfactories.Atpresent,about400localenterprisesaresupplyingservicesandmaterialstoTrinaSolar’sfactoriesinVietnam,creatingalargequantityoffundamentaljobsinVietnam,whichincreasedtheincomeoflocalresidents.TheeffortsmadebyTrinaSolarhavenotonlybenefitedthelocalpeoplebutalsofosteredagoodimageofpragmaticandfaithfuloperationforChineseenterprises.

2.TrinaSolarhasactivelyparticipatedinVietnam’sgreenenergyconstruction,aimingtohelpVietnamrealizepeakcarbondioxideemissionsandcarbonneutrality.SubordinatedtoTrinaSolar,TrinaPowerprovidesdistributedsmartenergysolutionsandfocusesonthesaleanddigitalintellectualizationofdistributedPVsystemsinstalledonroofsofresidential,industrialandcommercialbuildings.ThroughtheteamformedinHanoi,TrinaPowercompleteda12.65MWindustrialandcommercialdistributedPV

project.RelyingonthetechnicalsupportfromtheprofessionalteamsintheheadquartersofTrinaSolar,TrinaPowerjoinshandswiththelocalenterprises,investorsandinstallationcontractorstoprovidehigh-qualityPVsystemsolutionsforthelocalenterprisesandresidents,boostingenergytransitioninVietnam.

3.AsaChineseenterprise,TrinaSolarhasbeenactivelyperformingitssocialresponsibilityinVietnam.Ithasrepeatedlyrespondedtothelocalgovernment’scallforparticipationinpublicwelfareprogramsforpovertyalleviationbydonatingmoneyandsuppliestothepeopleindisaster-hitareas.Duringepidemicpreventionandcontrol,TrinaSolardonatedmoneyforvaccinationandepidemicpreventionaswellasmaterialsforepidemicprevention,settingupagoodimageforChineseenterprisesinVietnam.

1.2.2RepresentativeCase-Boviet

Boviet,asasubsidiaryofBowayGroup,wasfoundedin2013inSongKhe-NoiHoangIndustrialZone,BacGiangCity,BacGiangProvince,Vietnamandhasbeeninbusinessfor10yearsasof2023.ThecompanyismainlyengagedinthemanufacturingofPERCbatteriesandmonocrystallinePVmodulesaswellasR&Dofleadingtechnologiesrelatedtosolarprojects.Throughunremittingeffortsandmarketdevelopmentinthelastdecade,BoviethasbecomearecognizedleadingmanufacturerandsupplierinthePVindustry,andpartneredwithnumerousleadingplayersintheindustry.Boviet’sPVmodulesareknownfortheirpower,performance,andquality.BovietisratedasoneofthetopPVmodulemanufacturerssince2019byPVEL/DNV-GLandhaswonmanyhonorsinthePVindustry.

Sinceitsinceptionin2013,Boviethasbeenalwaysadheringtothe“dedicatedandcombatant”spiritofthegroupheadquartersandneverstoppedinnovatingprocessesandimprovingproductefficiencyandthepercentageof

non-defectiveproducts.Meanwhile,thecompanyactivelydevelopsoverseasmarketandincreasestheamountofinvestment.Itsproductioncapacityhasgrownfrom150MWto2.5GWandemployeequantityhasbeenincreasedfromafewhundredtomorethanathousand,makingsignificantcontributionstotheemploymentmarketofBacGiangProvince.

BoviethasbeeninstrictcompliancewiththelawsandregulationsofVietnamduringproductionandhandlingofaffairs.Ithasbeencarryingonbusinessprudentlyandprohibitingoperationagainstregulations,whetherintaxationorenvironmentalprotection,inordertomaintainagoodreputation.

TenyearsisnotlongwhencomparedwiththehistoryofPVindustry,butitrepresentsanimportantperiodasthePVindustrydevelopsrapidly.Bovietisthefirstforeign-fundedPVenterpriseinVietnam.ItsfoundationhasencouragedmanyotherPVenterprisestoenterVietnam,includingVinaSolar,TrinaSolar,JASolar,etc.TheseenterpriseshavejointlypromotedtherapidgrowthofPVindustrywhichhasnotonlydriventhedevelopmentofupstreamrawmaterial(e.g.chemicals,frames,glass,etc.)suppliersbutalsopromotedtheemploymentandeconomicdevelopmentinNorthVietnam,bringingtaxrevenuetoVietnam.Withtheinflowofforeigncapital,localenterprises,e.g.enterprisessupplyingandtransportingpackagingmaterialsforsolarproducts,haveexperiencedrapiddevelopment,enablingthedemandsofPVindustrytobesatisfied.

PVenergy,asanindispensablecleanenergy,isthekeytothetransitiontorenewableenergy.Bovietwillcontinuefollowingthebusinessprinciplesofcompliancewithlawsandregulations,stablypromotingproduction,devotingitselftoservingcustomersandgivingbacktothesociety,andmakingcontributionstothesustainabledevelopmentoftheworld.

2.1Overview

Inrecentyears,thebusinessenvironmentinVietnamforforeigninvestorshasbeencontinuouslyimproved,attractingforeigncapitalinflows.AccordingtothedatareleasedbytheNationalStatisticalOfficeofVietnam,theamountofforeigndirectinvestmentfundsflowingintoVietnamasofDecember20,2023,reached36.61billionUSdollars,a32.1%increaseyear-on-year,whichshowsthegrowingappealofVietnamintheglobalinvestmentlandscape.Thereareatotalof20.19billionUSdollarsofnewlyapprovedinvestmentfunds,increasingby62.2%overthepreviousyear,andatotalof3,188newlyapprovedinvestmentprojects,increasingby56.6%overthepreviousyear.Withtheoutstandingperformanceinattractingforeigndirectinvestment(FDI),Vietnamhasascendedtooneofthetop20countriesrankedaccordingtotheamountofFDIattracted.

TheupdateddatareleasedbysomeinternationalorganizationshavefurtherrecognizedVietnam’sinnovationandbusinessenvironment.AsshownintheGlobalInnovationIndex2023-GIIissuedbytheWorldIntellectualPropertyOrganization,Vietnamranked46th,climbing2placessince2022.What’smore,Vietnamwasratedasoneofsevenmiddleincomecountrieswiththegreatestprogressininnovationoverthelastdecade.

Besides,asshowninthebusinessenvironmentrankingforthesecondquarterof2023recentlyissuedbytheYK-basedEconomistIntelligenceUnit(EIU)

,Vietnamhasbecomethecountrywiththegreatestimprovementinbusinessenvironment,climbing12placesfromitspreviousrankamongAsiancountries.Fitch,aninternationalcreditratingagency,haspositivelypredictedthatVietnamwillachieveeconomicgrowthby6.3%and7.0%in2024and2025respectively,asitbelievesthatthedomesticfiscalandmonetarypoliciesinVietnamwouldprovidestrongsupportforitseconomicgrowth.TheInternationalMonetaryFundhaspredictedthatVietnamwillleadtheeconomicgrowthinSoutheastAsiain2024withagrowthrateof6.9%.

AccordingtotheGlobalBusinessEnvironmentReport2020issuedbytheWorldBank,Vietnamranked70thamongthe190countriesintheworldintermsof“easeofoperatingbusiness”,rising23placesascomparedwith2010.Asshowninthebusinessenvironmentrankingfor2023issuedbytheYK-basedEconomistIntelligenceUnit,Vietnamwasthefastest-improvingcountryinAsiaintermsofbusinessenvironment(ranking12thoverall).

2.2CommentsfromChineseEnterprisesontheEaseof

Accordingtothesurvey,51.11%ofthesurveyedenterprisesexpectedprofitsfromtheirbusinessinVietnamin2023.Amongthesurveyedenterprises,48.88%,48.6%and51.41%respectivelyexpectedanincreaseinmarketshare,businessprofitandbusinessrevenueinVietnamin2023.Asubstantial70.95%ofsurveyedenterprisesexpressedtheirintentiontoexpandtheirbusinessinVietnam.

2.3OutlookforBusinessEnvironmentinVietnam

StandardCharteredBank(SCB)forecastsagrowthrateashighas6.7%forVietnam’sGDPin2024,with6.2%and6.9%inthefirsthalfyearandthesecondhalfyearrespectively.ItisreportedthatSCBholdsthat(i)theretailandindustrialproductioninVietnammaintainastronggrowthmomentumdespitetheslowdownintheeconomicgrowthrate;(ii)althoughthetraderelatedtoelectronicproductsisstillexperiencingasluggishperiod,theoverallimportandexporthavebeguntoregainmomentum;and(iii)globaltradeheadwindswillbeamajorriskfactor.Inaddition,SCBexpectsthatinflationinVietnamwillrisefrom3.3%in2023to5.5%.Aseconomyrecoveryaccelerates,easymonetarypoliciesmaybewithdrawnandtherefinancingratewillbekeptat4.5%untiltheendofthethirdquarterof2024andupby50basepointsinthefourthquarter.VietnameseDongwillremainunderpressureormayappreciatemodestlytoVND24,000/USD.AsUSdollarsbecomeweaker,theforeignexchangereserveisexpectedtomaintainstable.Ingeneral,SCBexpectsapromisingoutlookforthemedium-termeconomyofVietnam.SCBrecommendsVietnamupgradeinfrastructureandbepreparedforreductionofcarbonemissionsinordertomaintainrapid
