5.InspectionandAcceptance

TheBuyershallhavetherighttoinspectandaccepttheEquipmentupondelivery.IftheBuyerfindsanydiscrepancybetweenthedeliveredEquipmentandtheagreedspecifications,theBuyershallpromptlynotifytheSellerinwritingwithin[Numberofdays]daysafterthedelivery.

Incaseofanydiscrepancy,theSellershallberesponsibleforcorrectingtheissueatitsownexpense.

6.WarrantiesandLiability

TheSellerwarrantsthattheEquipmentshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[Numberofyears]fromthedateofdelivery.

TheSellershallbeliableforanydefectintheEquipmentthatarisesduetoimproperdesign,materials,orworkmanship.TheBuyer'ssoleremedyforanybreachofthiswarrantyshallbetorequiretheSellertorepairorreplacethedefectiveEquipmentattheSeller'sexpense.

7.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentactions.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

5.InspectionandAcceptance

8.PrincipalParty'sRightsandInterests

b)ThePrincipalPartyshallhavetherighttorequestadditionalservicesormodificationstotheEquipment,subjecttotheSeller'swrittenconsentandanyadditionalcostsincurred.

c)ThePrincipalPartyshallhavetherighttoinspecttheSeller'sfacilitiesandproductionprocessestoensurecompliancewiththeagreedspecificationsandqualitystandards.

9.Seller'sandPrincipalParty'sObligations

TheSellershallcomplywithallapplicablelaws,regulations,andindustrystandardsintheproduction,delivery,andsupplyoftheEquipment.

ThePrincipalPartyshallcomplywithallapplicablelaws,regulations,andcustomsrequirementsintheimportationanduseoftheEquipment.

10.ConsequencesofSeller'sDefault

IntheeventoftheSeller'sfailuretocomplywiththeobligationsunderthisContract,thePrincipalPartyshallhavetherightto:

a)TerminatetheContractandclaimdamagesforanylossesincurred.

b)RequesttheSellertorectifythebreachatitsownexpense.

c)TakelegalactionagainsttheSellerforanybreachoftheContract.

11.ThirdParty'sLiability

TheThirdPartyshallnotbeliableforanybreachoftheContractbytheSellerorthePrincipalParty,exceptasspecificallyprovidedintheAgentAgreement.

12.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
