RECITALS

1.SUBJECTMATTEROFAGREEMENT

TheSuppliershallsupplytotheBuyer,andtheBuyershallpurchasefromtheSupplier,theProductinaccordancewiththetermsandconditionssetforthinthisAgreement.

2.QUANTITYANDDELIVERY

2.1TheSuppliershalldelivertotheBuyer[NumberofUnits]oftheProductatthefollowing[DeliveryLocation],within[DeliveryTime].

2.2DeliveryoftheProductshallbemadein[DeliveryTerms],suchasFOB,CIF,oranyothermutuallyagreeduponterms.

3.PRICEANDPAYMENT

4.2TheSuppliershallprovidetheBuyerwithsamplesoftheProductpriortotheexecutionofthisAgreementfortheBuyer'sapproval.

5.WARRANTIES

5.1TheSupplierwarrantsthattheProductshallbefreefromdefectsinmaterialsandworkmanshipandshallconformtotheQualitySpecifications.

5.2TheSupplierwarrantsthattheProductshallbesuitablefortheintendeduseandshallnotcauseharmtotheBuyer'semployees,customers,orproperty.

6.INTELLECTUALPROPERTY

6.1TheSuppliershallretainallrights,title,andinterestinandtoanyintellectualpropertyrightsrelatingtotheProduct.

6.2TheBuyershallobtainanon-exclusive,non-transferablelicensetousetheProductinaccordancewiththetermsandconditionsofthisAgreement.

7.LIMITATIONOFLIABILITY

7.1TheSuppliershallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththesale,use,orperformanceoftheProduct.

7.2ThetotalliabilityoftheSupplierunderthisAgreementshallnotexceedthepurchasepriceoftheProduct.

8.TERMANDTERMINATION

8.1ThisAgreementshallcommenceonthedateofexecutionhereofandshallcontinueineffectforaperiodof[Term]fromthedateofdeliveryoftheProduct.

8.2EitherpartymayterminatethisAgreementupon[ReasonforTermination]upon[NoticePeriod].

9.DISPUTERESOLUTION

9.1AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthrough[DisputeResolutionMechanism],suchasmediation,arbitration,orlitigation.
