ofBrandtoensuretheaccuracyoftherewardcalculation.第十条知识产权保护10.1品牌方知识产权的保护BrandshallindemnifyandholdharmlesstheAgentagainstanyclaims,damages,lossesorexpensesresultingfromanyactualorallegedinfringementofanypatent,trademark,copyrightorotherintellectualpropertyrightofathirdpartytheProductsoranyactoromissionofBrandinconnectionwiththemarketing,saleordistributionoftheProductsintheTerritory.10.2代理商知识产权的保护TheAgentshallindemnifyandholdharmlessBrandagainstanyclaims,damages,lossesorexpensesresultingfromanyactualorallegedinfringementofanypatent,trademark,copyrightorotherintellectualpropertyrightofathirdpartytheAgentinconnectionwiththemarketing,saleordistributionoftheProductsintheTerritory.10.3侵权行为的处理Intheeventofanyclaimofinfringementofathirdparty'sintellectualpropertyrightsinrelationtotheProducts,thePartiesshallpromptlyconsultandcooperatewitheachothertotakeappropriateactionstodefendagainstsuchclaimandtominimizeanypotentialliability.第十一条保密条款11.1保密信息的范围与界定11.2保密信息的保护与保密义务EachPartyshallensurethatitsemployees,agentsandrepresentativeswhohaveaccesstoConfidentialInformationareboundconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisAgreement.11.3保密信息泄露的赔偿IfeitherPartybreachesitsconfidentialityobligationsunderthisAgreement,theotherPartyshallbeendtoseekinjunctivereliefandrecoverdamagesfromthebreachingPartyforanyloss,damageorinjurysufferedasaresultofsuchbreach.第十二条法律适用与争议解决12.1合同适用的法律ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof____________(jurisdiction).12.2争议解决的方式与地点AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe____________(arbitrationinstitution).Theplaceofarbitrationshallbe____________(location).12.3诉讼与仲裁的选择ThePartiesagreethatanylegalactionorproceedingsarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof____________(jurisdiction).第十三条合同的修改与补充13.1合同的修改ThisAgreementmaybeamendedormodifiedonlyawritteninstrument第二部分:其他补充性说明和解释说明一:附件列表:1.附件一:《产品清单》描述:详细列出所有代理产品的名称、规格、型号等信息。要求:产品清单需经过品牌方确认,并定期更新。2.附件二:《代理区域地图》描述:明确标示代理商在合同期限内负责的销售区域。要求:地图需由品牌方提供,代理商不得擅自更改。3.附件三:《代理期限协议》描述:具体规定代理期限的起止日期及续约条件。要求:代理期限协议需双方签字盖章,具有法律效力。4.附件四:《代理费用支付证明》描述:证明代理商支付代理费用的相关财务凭证。要求:支付证明需在每年度结束后提交给品牌方审核。5.附件五:《销售指标与奖励政策》描述:详细说明销售指标的设定、奖励政策的制定及计算方法。要求:销售指标与奖励政策需双方共同制定,并书面
