b.Sellerfurtherwarrantsthatthegoodsshallbeofmerchantablequalityandfitfortheordinarypurposesforwhichsuchgoodsareused.

5.IntellectualPropertyRights

a.Buyeracknowledgesthatallintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,inandtothegoodsandanyrelateddocumentationshallremaintheexclusivepropertyofSeller.

b.Buyeragreesnottouse,copy,modify,ordistributeanyintellectualpropertyrightsofSellerwithoutthepriorwrittenconsentofSeller.

6.LimitationofLiability

a.Sellershallnotbeliableforanydirect,indirect,special,orconsequentialdamagesarisingfromthesaleoruseofthegoods,exceptforanyliabilityarisingfromSeller’sbreachofitswarranties.

b.Buyerassumesallrisksandliabilitiesassociatedwiththepurchase,transportation,storage,anduseofthegoods.

7.GoverningLawandJurisdiction

a.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

b.AnydisputesarisingoutoforinconnectionwiththisContractshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].

8.EntireAgreement
