1.Definitions

ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsassignedtothem:

a."FinancialServices"meanstheservicestobeprovidedbyPartyAtoPartyB,including,butnotlimitedto,lending,deposit-taking,investment,andotherfinancialservicesasagreeduponbytheparties.

b."Fees"meansthechargesorcommissionstobepaidbyPartyBtoPartyAfortheprovisionoftheFinancialServices.

c."Term"meanstheperiodoftimeduringwhichthisContractshallbeineffect,startingfromthedateofitsexecutionandendingontheexpirationdateorterminationdateasagreeduponbytheparties.

d."ConfidentialInformation"meansanyinformationthatisdisclosedbyeitherpartytotheotherinconnectionwiththisContract,whichisnotpubliclyavailableandisdesignatedasconfidentialbythedisclosingparty.

2.ScopeofFinancialServices

PartyAagreestoprovidePartyBwiththeFinancialServicesasdescribedinExhibitAattachedhereto.PartyBagreestocomplywithallthetermsandconditionssetforthinthisContractandinExhibitA.

3.Fees

PartyBagreestopayPartyAtheFeesfortheFinancialServicesasspecifiedinExhibitBattachedhereto.TheFeesshallbepaidinaccordancewiththepaymentscheduleandtermssetforthinExhibitB.

4.TermandTermination

ThisContractshallbeeffectivefromthedateofitsexecutionandshallcontinueforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

5.Confidentiality

6.GoverningLawandJurisdiction

7.EntireAgreement
