SUPPLIERCOOPERATIONAGREEMENT

ThisSupplierCooperationAgreement(the"Agreement")ismadeandenteredintoasofthe______dayof______,2024(the"EffectiveDate"),byandbetween______(the"Supplier"),acompanyorganizedandexistingunderthelawsof______,withitsprincipalplaceofbusinessat______,and______(the"Buyer"),acompanyorganizedandexistingunderthelawsof______,withitsprincipalplaceofbusinessat______.

WHEREAS,theSupplierisengagedinthebusinessofsupplying______andtheBuyerdesirestopurchasesuchproductsfromtheSupplieronthetermsandconditionssetforthherein.

WHEREAS,theSupplieriswillingtosupplyandtheBuyeriswillingtopurchasesuchproductsonthetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thepartiesheretoagreeasfollows:

Article1:Definitions

1.1"Affiliate"meansanyPersonthat,directlyorindirectly,isincontrolof,iscontrolledby,orisundercommoncontrolwithapartytothisAgreement.

1.2"ConfidentialInformation"meansallnon-publicinformation,whetheroral,written,orelectronic,relatingtothebusiness,customers,suppliers,ortechnologyofapartytothisAgreement,including,withoutlimitation,tradesecrets,know-how,businessplans,financialinformation,andanyotherinformationdesignatedasconfidential.

1.3"Products"meansthegoodstobesuppliedbytheSuppliertotheBuyerunderthisAgreement.

1.4"PurchaseOrder"meansawrittenorderissuedbytheBuyertotheSupplierspecifyingthetypeandquantityofProductstobesupplied.

Article2:SupplyofProducts

2.1TheSuppliershallsupplytheProductstotheBuyerinaccordancewiththetermsandconditionsofthisAgreementandthePurchaseOrder.

2.2TheSupplierwarrantsthattheProductsshallbefreefromdefectsinmaterialandworkmanshipandshallconformtothespecificationssetforthinthePurchaseOrder.

Article3:PriceandPayment

3.1ThepricefortheProductsshallbeasspecifiedinthePurchaseOrder.

3.2PaymentfortheProductsshallbemadebytheBuyertotheSupplierwithin______daysafterthereceiptofaninvoicefromtheSupplier.

Article4:DeliveryandAcceptance

4.1TheSuppliershalldelivertheProductstotheBuyeratthelocationspecifiedinthePurchaseOrder.

4.2TheBuyershallinspecttheProductswithin______daysafterdeliveryandshallnotifytheSupplierofanynon-conformitieswithin______daysaftersuchinspection.

Article5:IntellectualPropertyRights

5.1TheSupplierrepresentsandwarrantsthatthemanufacture,sale,anduseoftheProductsdonotinfringeanythird-partyintellectualpropertyrights.

5.2TheSuppliershallindemnifyandholdtheBuyerharmlessfromanyclaims,damages,orlossesarisingfromanysuchinfringement.

Article6:Confidentiality

6.1EachpartyagreestotreatallConfidentialInformationoftheotherpartyasconfidentialandnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

6.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

Article7:Termination

7.1ThisAgreementmaybeterminatedbyeitherpartyupon______days'writtennoticetotheotherparty.

7.2Intheeventoftermination,theSuppliershallbeentitledtopaymentforallProductsdeliveredandacceptedbytheBuyerpriortotheeffectivedateoftermination.

Article8:Liability

8.1ThetotalliabilityoftheSupplierforanybreachofthisAgreementshallnotexceedtheamountpaidbytheBuyertotheSupplierunderthisAgreement.

8.2ThepartiesacknowledgethatthelimitationsofliabilitysetforthinthisArticleareanessentialpartoftheAgreementandthatthepartieshavereliedontheselimitationsinnegotiatingthetermsofthisAgreement.

Article9:GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof______.

Article10:DisputeResolution

10.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtoarbitrationinaccordancewiththerulesof______.

10.2Thearbitrationshalltakeplacein______andshallbeconductedintheEnglishlanguage.

Article11:Miscellaneous

11.1ThisAgreementmaybeamendedonlybyawritteninstrumentsignedbybothparties.

11.2ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotconstituteawaiverofsuchprovision.

11.3ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorn
