ThePartiesagreethatthefollowingbackgroundandpremiseconstitutethebasisforenteringintothisContract:

a.PartyAdesirestoimporttheGoodsfromPartyBtoenhanceitsproductrangeandmeetthedemandsofitscustomersin[PartyA'smarket].

b.PartyBpossessesthenecessaryexpertise,resources,andproductioncapacitytosupplytheGoodsinaccordancewithPartyA'sspecificationsandrequirements.

c.ThePartiesacknowledgetheimportanceofestablishingalong-termbusinessrelationshipbasedontrust,mutualbenefit,andadherencetointernationaltradepractices.

d.PartyAandPartyBhaveagreeduponthetermsofquality,quantity,price,delivery,payment,andotheressentialconditionsafterthoroughdiscussionsandnegotiations.

TheParties,therefore,enterintothisContractwiththeintentiontocreatelegalobligationsandrights,andtoensureasmoothandefficientflowofthetransactionfromthepointofsupplytothepointofdelivery,whilesafeguardingtheirrespectiveinterestsandrights.

ThisContractservesasacomprehensiveframeworkthatoutlinestheobligations,rights,responsibilities,andremediesavlabletothePartiesintheeventofanybreachornon-compliancewiththetermsandconditionssetforthherein.

ByexecutingthisContract,thePartiesherebyacknowledgeandagreetobeboundbythetermsandconditionscontnedherein,whichshallgoverntheirrelationshipandtheexporttransactiondescribedherein.ItisexpresslyunderstoodandagreedthatthisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriordiscussions,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

ThePartiesherebywarrantandrepresentthattheyhavefullauthorityandcapacitytoenterintothisContractandthatallnecessarycorporateapprovalsandauthorizationshavebeenobtnedtoexecutethisContract.

ThePartiesfurtherrepresentthattheyarenotawareofanylegalimpedimentsthatwouldprohibitorrestricttheperformanceoftheirobligationsunderthisContract.

Inwitnesswhereof,thePartieshavecausedthisContracttobeexecutedbytheirdulyauthorizedrepresentativesasoftheEffectiveDatefirstwrittenabove.

TheprimarypurposeofthisContractistoregulatethetermsandconditionsunderwhichPartyBshallsupplyandexporttheGoodstoPartyA,andPartyAshallpurchaseandimporttheGoods,inaccordancewiththespecifications,quantities,andtimelinesagreeduponbytheParties.ThespecificcontentandscopeofthisContractencompassthefollowing:

1.ThesupplybyPartyBandthepurchasebyPartyAof[descriptionofgoods]("Goods").

2.Thequalitystandards,quantities,packaging,anddeliveryrequirementsfortheGoods.

3.Thepaymentterms,includingtheprice,currency,andpaymentmethodsfortheGoods.

4.Theinsurance,transportation,andcustomsclearanceproceduresrelatedtotheexportandimportoftheGoods.

5.TheobligationsofthePartieswithrespecttocompliancewithapplicablelaws,regulations,andinternationaltradepractices.

ThisContractshallserveasthelegalbindingdocumentforallaspectsofthetransactionbetweenthePartiesuntilthefulfillmentofallobligationssetforthherein.

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedtothembelow:

ThirdPartyRightsandObligations:

1.PartyA'sRightsandObligations:

a.PartyAshallhavetherighttoreceivetheGoodsfromPartyBinaccordancewiththetermsandconditionsofthisContract.

b.PartyAshallmaketimelypaymentfortheGoodsinaccordancewiththepaymenttermsspecifiedinthisContract.

c.PartyAshallprovidePartyBwithallnecessaryinformation,specifications,anddocumentationtoenablePartyBtomanufactureandsupplytheGoodsincompliancewithPartyA'srequirements.

d.PartyAshallberesponsibleforobtninganynecessaryimportpermits,licenses,orauthorizationsrequiredfortheimportationoftheGoodsintoitscountry.

2.PartyB'sRightsandObligations:

a.PartyBshallhavetherighttoreceivetheContractPricefortheGoodsuponfulfillmentofitsdeliveryobligationsunderthisContract.

b.PartyBshallsupplytheGoodsinaccordancewiththequalitystandards,specifications,andtimelinesagreeduponwithPartyA.

c.PartyBshallberesponsibleforthepackaging,marking,andlabelingoftheGoodsinamannerthatissuitableforinternationaltransportationandincompliancewithapplicablelawsandregulations.

d.PartyBshallprovidePartyAwithallnecessarydocumentation,includingbutnotlimitedto,commercialinvoices,packinglists,andcertificatesoforigin,tofacilitatetheimportationprocess.

e.PartyBshallensurethattheGoodscomplywithallapplicableexportcontrollaws,regulations,andembargoes.

ThePartiesacknowledgeandagreethattherightsandobligationssetforthaboveareessentialtotheperformanceofthisContractandthatanybreachoftheserightsandobligationsmayresultinlegalconsequencesasprovidedforinthisContract.

3.PaymentshallbemadebywiretransfertoPartyB'sdesignatedbankaccount,inthecurrencyandaccordingtotheexchangeratespecifiedinthisContract.

4.AnybankchargesortransactionfeesrelatedtothepaymentshallbebornebyPartyA.

第五条履行期限：

ThisContractshallbeeffectivefromthedateofitsexecutionandshallremninforceuntilthecompletionofallobligationsbybothParties,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

Thekeytimelinesandmilestonesareasfollows:

1.PartyBshallcompletethemanufacturingandpreparationoftheGoodsforshipmentby[date].

第六条违约责任：

IntheeventofabreachofanyofthetermsandconditionsofthisContractbyeitherParty,thenon-breachingPartyshallhavetherighttoseekremediesavlabletoit,includingbutnotlimitedtothefollowing:

1.IfPartyBflstosupplytheGoodsinaccordancewiththetermsofthisContract,PartyAshallhavetherighttoclmarefundoftheadvancepayment,andPartyBshallbeliableforanyadditionalcostsincurredbyPartyAasaresultofsuchdelayornon-delivery.

2.IfPartyAflstomakepaymentinaccordancewiththepaymentterms,PartyBshallhavetherighttochargeinterestontheoutstandingamountatarateof[specifiedinterestrate]perannumfromtheduedateuntilthepaymentisreceived.

3.IntheeventofamaterialbreachbyeitherParty,thenon-breachingPartyshallhavetherighttoterminatethisContractandseekcompensationforanylossesordamagessufferedasadirectresultofthebreach.

4.ThePartiesagreethatthebreachofcertnobligations,suchasthefluretoobtnnecessarypermitsorcomplywithexportcontrollaws,mayresultintheimmediateterminationofthisContractandthepaymentofliquidateddamagesasspecifiedinthisContract.

5.ThePartiesacknowledgethattheremediesprovidedinthisClausearewithoutprejudicetoanyotherrightsandremediesavlabletothemunderapplicablelaw.

ThePartiesshallusetheirbesteffortstoresolveanydisputesarisingoutoforinconnectionwiththisContractamicably.Ifsuchdisputescannotberesolvedamicably,thePartiesshallreferthemattertoarbitrationinaccordancewiththearbitrationclauseinthisContract.

"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,war,hostilities,terroristacts,embargoes,strikes,lockouts,labordisputes,fire,explosion,flooding,oranyotherunforeseeableandirresistibleeventthatpreventsaPartyfromperformingitsobligationsunderthisContract.

IntheeventofForceMajeure,theaffectedPartyshallbeexcusedfromperformingitsobligationsunderthisContracttotheextentandforthedurationthatsuchobligationsarepreventedbytheForceMajeureevent,providedthattheaffectedParty:

1.PromptlynotifiestheotherPartyinwritingoftheoccurrenceoftheForceMajeureeventandprovidesreasonableevidencethereof.

2.UsesitsbesteffortstomitigatetheeffectsoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonaspracticable.

3.ProvidesregularupdatestotheotherPartyontheprogressoftheForceMajeureeventandtheanticipatedtimelineforresumingperformance.

IftheForceMajeureeventcontinuesforaperiodexceeding[specifiednumber]months,eitherPartyshallhavetherighttoterminatethisContractbywrittennoticetotheotherParty,andneitherPartyshallbeliableforanydamagesorlossesarisingoutofsuchtermination.

第八条争议解决：

Anydisputes,differences,orclmsarisingoutoforinconnectionwiththisContract,includingtheinterpretation,validity,performance,termination,orbreachthereof,shallberesolvedamicablybetweenthePartiesthroughnegotiationinthefirstinstance.

IfthePartiesareunabletoresolvethedisputeamicablywithin[specifiednumber]daysafterwrittennoticeofthedisputehasbeengiven,theymayagreetoreferthemattertomediationinaccordancewiththerulesofthe[specifiedmediationinstitution].

Ifthedisputeisnotresolvedthroughnegotiationormediationwithin[specifiednumber]days,orifeitherPartydoesnotconsenttomediation,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthe[specifiedarbitrationinstitution].Thearbitrationshallbeconductedin[specifiedlanguage]andtheplaceofarbitrationshallbe[specifiedlocation].

Thedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.ThePartiesagreetoabidebyandexecutethearbitrationawardwithoutdelay.ThePartiesfurtheragreethatthearbitrationproceedingsandawardshallbekeptconfidentialandnotdisclosedtoanythirdparty,exceptasrequiredbyapplicablelaworwiththeconsentofbothParties.

ThePartiesherebywvetheirrighttoinitiateanylegalproceedingsinanycourtoflawinconnectionwithanydisputesarisingoutoforinconnectionwiththisContract,exceptfortheenforcementofthearbitrationawardorasotherwiseprovidedforinthisClause.

1.Notices:Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyoronthethirddayaftermlingifmledtotheaddressesspecifiedinthisContractbyregisteredorcertifiedml,returnreceiptrequested,postageprepd.

2.Amendment:ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.AnyamendmentormodificationmustbeinwritingandsignedbythePartiestobeeffective.

3.Termination:ThisContractmaybeterminatedbyeitherPartyupontheoccurrenceofanyofthefollowingevents:
