bitBisthedetailedlistofquantitiesfortheproject.14.3相关标准与规范AttachedheretoasExhibitCaretherelevantstandardsandspecificationsthatapplytothiscontract.14.4其他重要文件AttachedheretoasExhibitDareotherimportantdocumentsthatapplytothiscontract.第二部分：第三方介入后的修正第一条第三方定义与责任1.1第三方定义Forthepurposesofthiscontract,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnottheclient,thedesigner,ortheContractor,andthatisinvolvedintheperformanceofthiscontractinanycapacity.1.2第三方责任TheThirdPartyshallberesponsiblefortheperformanceofitsobligationsunderthiscontractandshallbeliableforanylossesordamagescauseditsfailuretoperformsuchobligations.第二条第三方介入程序2.1第三方选择Theclient,designer,andContractorshallmutuallyagreeontheselectionofaThirdParty,ifnecessary,toperformspecifictasksorprovideservicesrelatedtotheproject.2.2第三方合同Theclient,designer,andContractorshallenterintoaseparatecontractwiththeThirdParty,whichshallspecifythescopeofwork,deliverables,paymentterms,andotherrelevanttermsandconditions.第三条第三方协调与沟通3.1协调责任3.2信息共享Theclient,designer,andContractorshallsharerelevantinformationwiththeThirdPartytofacilitatetheperformanceoftheproject.第四条第三方责任限额4.1责任限定TheThirdPartyshallbeliablefordamagesorlossescauseditsbreachofcontractornegligence,butshallnotbeliableforanyindirect,incidental,orconsequentialdamages.4.2责任限制TheaggregateliabilityoftheThirdPartyunderthiscontractshallnotexceedtheamountpaidtheclienttotheThirdPartyfortheperformanceofitsobligations.第五条第三方变更与替换5.1变更程序IftheThirdPartyfailstoperformitsobligationsunderthiscontractorbreachesanymaterialtermorconditionofthiscontract,theclient,designer,andContractormaymutuallyagreetoreplacetheThirdPartyormakeothernecessaryadjustments.5.2替换后果IntheeventofreplacementoftheThirdParty,theclient,designer,andContractorshallnegotiateandagreeonthetermsandconditionsforthereplacement,includingbutnotlimitedtothetransferofobligationsandthepaymentofanyadditionalcosts.第六条第三方与甲乙方的关系6.1独立关系TheThirdPartyshallbeanindependentcontractorandshallnotbeconsideredanagent,employee,oraffiliateoftheclient,designer,orContractor.6.2责任划分TheThirdPartyshallbesolelyresponsiblefortheperformanceofitsobligationsunderthiscontractandshallnotbeliableforanyactsoromissionsoftheclient,designer,orContractor.第七条第三方违约处理7.1违约处理IntheeventofabreachofthiscontracttheThirdParty,theclient,designer,andContractorshallnegotiateingoodfaithtoresolvethebreachanddeterminetheappropriateremedies.7.2违约后果第八条第三方保险与保证8.1保险要求TheThirdPartyshallobtainandmaintainappropriateinsurancecoverage,asrequiredtheclient,designer,andContractor,toprotectagainstanylossesordamagesthatmayariseinconnectionwiththeperformanceofthiscontract.8.2保证责任TheThirdPartyshallprovideaperformancebondorothersecurity,asrequiredtheclient,designer,andContractor,toensurethesatisfactoryperformanceofitsobligationsunderthiscontract.第九条第三方退出与终止9.1退出条件TheThirdPartymayterminateitsinvolvementintheprojectuponwrittennoticetotheclient,designer,andContractor,ifnecessary,inaccordancewiththetermsoftheseparatecontractenteredintowiththeclient.9.2终止后果第十条第三方继承与转让10.1继承Intheeventofthemerger,acquisition,orsaleoftheThirdParty,thiscontractshallbeautomaticallyassignedtothesurvivingoracquiringentity,providedthattheentityassumesallobligationsunderthiscontract.10.2转让TheThirdPartymaynotassignortransferitsrightsandobligationsunderthiscontractwithoutthepriorwrittenconsentoftheclient,designer,andContractor.第十一条第三方遵守法律与规定11.1法律遵守
