4.1BothPartiesagreetokeepthetermsandconditionsofthisContractconfidentialandnottodiscloseanyinformationrelatedtothisContracttoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.
Article5:GoverningLawandDisputeResolution
5.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country/region].
5.2AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheParties.Ifthedisputecannotberesolvedthroughnegotiations,itshallbesubmittedtothecompetentcourtof[country/region]forfinaljurisdiction.

Article5:Seller'sRightsandObligations

5.2TheSellershallprovidetheBuyerwiththenecessaryinformationanddocumentationregardingtheSubjectMatter.
5.3TheSellershalldelivertheSubjectMattertotheBuyerinaccordancewiththeagreedspecificationsandconditions.
5.4TheSellershallcomplywiththetermsandconditionsofthisContractandexecutetheformalcontractwithintheagreedperiod.
Article6:ThirdParty'sRightsandObligations
6.1TheThirdPartyhastherighttoreceiveafeeforitsservicesasagreeduponbytheParties.
6.2TheThirdPartyshallactwithduediligenceandfairnessinfacilitatingthetransaction.
6.3TheThirdPartyshallmaintainconfidentialityandnotdiscloseanyconfidentialinformationprovidedbytheBuyerortheSellertoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.
Article7:Seller'sandThirdParty'sLiabilityforBreach
7.1IftheSellerortheThirdPartyfailstofulfilltheirobligationsunderthisContract,theyshallbeliabletotheBuyerforanylossesincurredasaresultofsuchbreach.
7.2IntheeventofabreachbytheSellerortheThirdParty,theBuyershallhavetherighttoterminatethisContractandseekcompensationforanydamagessuffered.
Article8:LimitationsonSeller'sandThirdParty'sLiability
8.1TheSellerandtheThirdPartyshallnotbeliableforanylossordamagecausedbyeventsbeyondtheirreasonablecontrol,suchasforcemajeure.
8.2TheSellerandtheThirdPartyshallnotbeliableforanylossordamagearisingfromtheBuyer'sfailuretocomplywiththetermsandconditionsofthisContract.
Article9:GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country/region].

Article7:Buyer'sLiabilityforBreach
7.1IftheBuyerfailstopaytheIntentDepositwithintheagreedtimeframe,theSellershallhavetherighttoretaintheIntentDepositandseekcompensationforanylossesincurred.
7.2IftheBuyerfailstoexecutetheformalcontractwithintheagreedperiod,theSellershallhavetherighttoterminatethisContractandretaintheIntentDepositasliquidateddamages.
Article8:LimitationsonSeller'sLiability
8.1TheSellershallnotbeliableforanylossordamagearisingfromeventsbeyonditsreasonablecontrol,suchasforcemajeure.
8.2TheSellershallnotbeliableforanylossordamagearisingfromtheBuyer'sfailuretocomplywiththetermsandconditionsofthisContract.
Article9:GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[country/region].
