英文版版权采购协议合同编号：__________CopyrightAcquisitionAgreementThisCopyrightAcquisitionAgreement(the“Agreement”)ismadeandenteredintoasof__________(the“EffectiveDate”),andbetween:and(eacha“Party”andcollectivelythe“Parties”)RECITALS:WHEREAS,theSelleristheownerofthecopyrightinandtotheWork(asdefinedbelow);WHEREAS,thePurchaserdesirestoacquirefromtheSellertheexclusiverightstouse,publish,reproduce,distribute,perform,displayandlicensetheWorkinanyandallmedia,formatsandplatformsnowknownorhereafterdevelopedordiscoveredinanypartoftheworld(the“Territory”);NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:1.GrantofRights1.1Grant.SubjecttothetermsandconditionsofthisAgreement,theSellerheregrantstothePurchasertheexclusive,worldwide,perpetual,irrevocable,transferable,sublicensableandfullypaiduprightandlicensetouse,publish,reproduce,distribute,perform,displayandlicensetheWorkinanyandallmedia,formatsandplatformsnowknownorhereafterdevelopedordiscoveredinanypartoftheworld(the“LicensedRights”).1.2Work.ForthepurposesofthisAgreement,“Work”means[insertdescriptionofWork,e.g.,“thebookend‘Title’writtenAuthor”].2.Consideration2.1PurchasePrice.InconsiderationfortheLicensedRightsgrantedtheSellertothePurchaserunderthisAgreement,thePurchasershallpaytotheSellerapurchasepriceof[insertpurchaseprice],subjecttothetermsandconditionsofthisAgreement(the“PurchasePrice”).2.2PaymentTerms.ThePurchasePriceshallbepaidthePurchasertotheSellerinaccordancewiththefollowingterms:2.2.1UpfrontPayment.ThePurchasershallpaytotheSelleranupfrontpaymentintheamountof[insertamount]within[insertnumberofdays]aftertheEffectiveDate.2.2.2AdditionalPayments.ThePurchasershallpaytotheSelleradditionalpaymentsassetforthinExhibitAattachedhereto(the“AdditionalPayments”).3.RepresentationsandWarranties3.1Seller’sRepresentationsandWarranties.TheSellerrepresentsandwarrantstothePurchaserthat:(a)Ownership.TheSelleristhesoleandexclusiveowneroftheWorkandhastherighttogranttheLicensedRightstothePurchaserwithouttheneedforanyfurtherconsent,permissionorauthorizationfromanythirdparty;(b)NoInfringement.TheWorkdoesnotandwillnotinfringeuponanycopyright,trademark,patent,tradesecretorotherintellectualpropertyrightofanythirdparty;(c)NoLitigation.Thereisnolitigation,claim,action,suitorproceedingpendingor,totheSeller’sknowledge,threatenedinwritingagainsttheSellerortheWorkthatquestionsorchallengestheownershipoftheWorkortheSeller’sauthoritytogranttheLicensedRightstothePurchaser;and3.2Purchaser’sRepresentationsandWarranties.ThePurchaserrepresentsandwarrantstotheSellerthat:(a)Authority.ThePurchaserhastheright,powerandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder;4.Indemnification4.1IndemnificationSeller.TheSellershallindemnify,defendandholdharmlessthePurchaser,itsaffiliates,parents,subsidiaries,officers,directors,employees,agents,successorsandassigns(the“PurchaserIndemnifiedParties”)fromandagainstanyandalllosses,damages,Liabilities(asdefinedbelow),claims,suits,actions一、附件列表：1.版权作品摘要2.额外支付条款细节3.版权作品样本4.支付授权书5.版权转让证明二、违约行为及认定：1.卖方未能保证作品的版权完整性或存在版权争议。2.卖方未能保证作品不侵犯第三方知识产权。3.卖方提供的信息不准确或不完整。4.买方未能按时支付约定的购买价格。5.买方未能按照协议规定行使授权权利。三、法律名词及解释：1.版权：对文学、艺术和科学作品的独占性法律权利。2.授权权利：授权他人使用、出版、复制、分发、表演、展示和许可作品的能力。3.独家权利：在特定时间和地域内，对某项权利的唯一使用权。4.知识产权：包括专利、商标、版权和商业秘密等权利。5.侵权：未经许可使用他人知识产权，侵犯他人的法律权利。四、执行中遇到的问题及解决办法：1.作品版权争议：通过版权局或其他法定机
