2.PartyBshallobtnallnecessarylicenses,permits,andapprovalsrequiredtoprovidethe[product/service/property]incompliancewithapplicablelawsandregulations.

3.BothPartiesshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofthisContract.

Article1PurposeandScopeoftheContract

Article2Definitions

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedtothembelow:

2."ExhibitA"referstothedocumentattachedtothisContractthatprovidesdetledspecificationsandrequirementsofthe[product/service/property].

3."Party"or"Parties"referstoPartyAandPartyBcollectively.

第三条双方权利与义务

Article3RightsandObligationsofBothParties

1.RightsandObligationsofPartyA:

a.PartyAshallhavetherighttoreceivethe[product/service/property]fromPartyBinaccordancewiththetermsandconditionsofthisContract.

b.PartyAshallprovidePartyBwithallnecessaryinformation,access,andsupporttoenablePartyBtoperformitsobligationsunderthisContract.

c.PartyBshallprovidemntenance,support,andtrningservicesasoutlinedinExhibitA,andrespondtoanyissuesorrequestsfromPartyAwithinareasonabletimeframe.

d.PartyBshallhavetherighttoreceivetimelypaymentsfromPartyAasperthepaymenttermsspecifiedinthisContract.

e.PartyBshallcomplywithallapplicablelawsandregulationsintheprovisionofthe[product/service/property].

BothPartiesshallfulfilltheirrespectiverightsandobligationsingoodfthandinaccordancewiththetermsandconditionsofthisContract.AnychangesormodificationstotherightsandobligationsofthePartiesshallbemadeinwritingandagreeduponbybothParties.

Article4PriceandPaymentTerms

第六条违约责任

Article6LiabilityforBreach

IntheeventofabreachofthisContractbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

1.DelayinDelivery:IfPartyBflstodeliverthe[product/service/property]bytheagreed-upondeliverydate,PartyBshallpayPartyAapenaltyof[amount/percentage]foreachdayofdelay,uptoamaximumof[amount].

2.Non-Conforming[Product/Service/Property]:Ifthe[product/service/property]providedbyPartyBdoesnotconformtotheagreedspecificationsandqualitystandards,PartyAshallhavetherighttorequestareplacementorrepr,ortoseekareductioninpriceorterminationofthisContract.

3.FluretoPay:IntheeventthatPartyAflstomaketimelypaymentsasrequiredbythisContract,PartyAshallpayPartyBinterestatarateof[percentage]perannumontheoutstandingamount,calculatedfromtheduedateuntilthedateofactualpayment.

4.Indemnification:ThebreachingPartyshallindemnifyandholdharmlessthenon-breachingPartyagnstanyandalllosses,damages,andexpensesincurredasadirectresultofthebreach.

ThePartiesagreethattheaforementionedremediesarenotexclusiveanddonotprecludethenon-breachingPartyfromseekinganyotherremediesavlableunderapplicablelaw.

Article7ForceMajeure

ForthepurposesofthisContract,"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,epidemics,war,terroristacts,riots,civilcommotion,strikes,lockouts,andgovernmentactions.

IfaPartyisunabletoperformanyofitsobligationsunderthisContractduetoForceMajeure,suchPartyshallbeexcusedfromperformingitsobligationsduringthedurationoftheForceMajeureevent,providedthat:

1.TheaffectedPartypromptlynotifiestheotherPartyoftheoccurrenceoftheForceMajeureeventanditsanticipatedduration.

2.TheaffectedPartytakesallreasonablestepstomitigatetheeffectsoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonaspossible.

3.TheForceMajeureeventisnotduetothenegligence,fault,orwillfulmisconductoftheaffectedParty.

ThePartyclmingForceMajeureshallprovidewrittenevidenceoftheeventtotheotherPartyassoonasreasonablypractical.IftheForceMajeureeventcontinuesforaperiodexceeding[number]months,eitherPartyshallhavetherighttoterminatethisContractuponwrittennoticetotheotherParty.

Article8DisputeResolution

IntheeventofadisputearisingoutoforinconnectionwiththisContract,thePartiesagreetoresolvethedisputethroughthefollowingprocedures:

1.Negotiation:ThePartiesshallfirstattempttoresolvethedisputethroughgoodfthnegotiations.ThePartyinitiatingthedisputeshallprovidewrittennoticetotheotherParty,andbothPartiesshallmakereasonableeffortstoresolvethematteramicablywithin[number]daysfromthedateofsuchnotice.

2.Mediation:Ifthedisputeisnotresolvedthroughnegotiation,thePartiesmayagreetosubmitthedisputetomediation.ThemediatorshallbemutuallyagreeduponbytheParties.ThecostsofthemediationshallbebornebythePartiesinequalshares,unlessotherwiseagreed.

3.Arbitration:Ifthedisputeisnotresolvedthroughmediation,orifeitherPartyflstoparticipateinthemediationprocess,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthe[nameofarbitrationinstitution].Thearbitrationshallbeconductedin[location].Thedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.
