Article1PurposeandScopeoftheContract

Article2Definitions

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedtothembelow:

-"Goods"referstothephysicalproductsoritemsthatPartyBisobligatedtosupplytoPartyAasspecifiedinthisContract.

-"Services"referstotheintangiblework,efforts,orperformancesthatPartyBisobligatedtoprovidetoPartyAasspecifiedinthisContract.

-"Delivery"meanstheactofPartyBmakingtheGoodsavlabletoPartyAatthedesignatedlocationinaccordancewiththetermsofthisContract.

-"ForceMajeure"referstoanyeventorcircumstancebeyondthereasonablecontrolofaParty,whichpreventsthatPartyfromperformingitsobligationsunderthisContract.

Article3RightsandObligationsofBothParties

1.PartyA'sRightsandObligations:

-PartyAshallhavetherighttoreceivetheGoods/ServicesfromPartyBthatmeettheagreed-uponspecificationsandqualitystandards.

-PartyAshallprovidePartyBwithallnecessaryinformation,instructions,andsupporttofacilitatetheperformanceofPartyB'sobligationsunderthisContract.

-PartyAisobligatedtomaketimelypaymentsfortheGoods/ServicesinaccordancewiththepaymenttermssetforthinthisContract.

-PartyAshallinspecttheGoodsupondeliveryandnotifyPartyBofanydiscrepanciesordefectswithinaspecifiedperiod.

2.PartyB'sRightsandObligations:

-PartyBshallhavetherighttoreceivetimelypaymentsfromPartyAforthesupplyofGoods/Servicesinaccordancewiththepaymentterms.

-PartyBisobligatedtodelivertheGoods/ServicestoPartyAinatimelymannerandinaccordancewiththespecificationsandqualitystandardsagreedupon.

-PartyBshallprovideanynecessarydocumentation,certifications,andguaranteesrelatedtotheGoods/ServicesasrequiredbyPartyAorbyapplicablelaw.

-PartyBisresponsibleforensuringthattheGoods/Servicescomplywithallrelevantlaws,regulations,andstandardsofthecountryoforiginandthecountryofdestination.

-PartyBshallprovideafter-salessupport,mntenance,oranyotherservicesasagreeduponinthisContract.

TherightsandobligationsofbothPartiesarefurtherdetledinthesubsequentarticlesofthisContractandaretobeinterpretedinconjunctionwiththeothertermsandconditionssetforthherein.

Article4PriceandPaymentTerms

ThepricefortheGoods/ServicestobeprovidedbyPartyBtoPartyAshallbeasspecifiedintheattachedscheduleorquotation.Thepriceisfixedandnon-negotiableunlessotherwiseagreedinwritingbybothParties.PaymentshallbemadebyPartyAtoPartyBinaccordancewiththefollowingterms:

-PaymentMethod:PartyAshallmakepaymentvia[specifiedpaymentmethod,e.g.,wiretransfer,letterofcredit,etc.].

-PaymentTiming:PartyAshallpay[percentage,e.g.,100%]ofthetotalinvoiceamount[timeframe,e.g.,within30days]followingthereceiptoftheinvoiceissuedbyPartyB,providedthattheGoods/ServiceshavebeendeliveredandacceptedinaccordancewiththeContract.

-LatePayment:Intheeventoflatepayment,PartyAshallbeliableforinterestontheoutstandingamountatarateof[specifiedinterestrate,e.g.,1.5%permonth]orthemaximumrateallowedbyapplicablelaw,whicheverislower.

-TaxesandDuties:Thepriceexcludesallapplicabletaxes,duties,andcharges.PartyAshallberesponsibleforthepaymentofanysuchtaxes,duties,andchargesasrequiredbylaw.

Article5PerformancePeriod

ThisContractshallbeeffectivefromthedateofsigning(the"EffectiveDate")andshallcontinueuntilthecompletionoftheservicesordeliveryoftheGoods,asoutlinedintheContract.Thefollowingkeymilestonesanddeadlinesareestablished:

-OrderConfirmationDate:PartyAshallconfirmtheorderfortheGoods/Servicesby[specifieddateorwithinaspecifiedtimeframe].

-DeliveryDate:PartyBshalldelivertheGoods/ServicestoPartyAby[specifieddate],unlessotherwisemutuallyagreedinwriting.

-AcceptanceDate:PartyAshallhave[specifiedtimeframe,e.g.,10days]fromtheDeliveryDatetoinspectandaccepttheGoods/Services,unlessadifferentperiodisagreedupon.

-WarrantyPeriod:AnywarrantiesprovidedbyPartyBshallcommencefromtheAcceptanceDateandcontinuefor[specifiedperiod,e.g.,10200].

Article6LiabilityforBreach

IntheeventofabreachofthisContractbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

-FluretoDeliver:IfPartyBflstodelivertheGoods/Servicesbytheagreed-uponDeliveryDate,PartyAshallhavetherighttoclma[specifiedamountorpercentage,e.g.,5%]penaltyforeachdayofdelay,uptoamaximumof[specifiedamount,e.g.,10%ofthetotalordervalue].

-Non-Payment:IfPartyAflstomakepaymentinaccordancewiththePaymentTerms,PartyBshallhavetherighttosuspendfurtherdeliveriesorperformanceuntilsuchpaymentisreceived,andtochargeinterestasspecifiedinArticle4.

-SubstandardGoods/Services:IftheGoods/ServicesprovidedbyPartyBdonotconformtotheagreedspecificationsandqualitystandards,PartyAshallhavetherighttorequestareplacement,repr,orrefund,andmayalsoclmcompensationforanylossessufferedasadirectresultofsuchnon-conformance.

-Termination:EitherPartymayterminatethisContractintheeventofamaterialbreachbytheotherParty,whichisnotremediedwithin[specifiedtimeframe,e.g.,30days]ofwrittennotice.Thenon-breachingPartyshallbeentitledtoclmdamagesandanyotherremediesavlableatlaworequity.

ThePartiesagreethattheremediesprovidedinthisArticle6arenotexclusiveanddonotprecludethePartiesfromseekinganyotherlegalorequitableremediesthatmaybeavlableintheeventofabreach.

Article7ForceMajeure

ForthepurposesofthisContract,"ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,naturaldisasters,fires,floods,explosions,war,hostilities,invasion,terroristattacks,riots,strikes,lockouts,andactsofgovernmentoranyotherauthority,whichpreventaPartyfromfulfillingitsobligationsunderthisContract.

IntheeventofForceMajeure,theaffectedPartyshallbeexcusedfromperformingitsobligationsunderthisContractforthedurationoftheForceMajeureevent,providedthattheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureofsuchForceMajeureeventandusesreasonableeffortstomitigatetheeffectsoftheevent.

ThePartyclmingthebenefitofthisArticle7shallprovidewrittennoticetotheotherPartywithinareasonabletimeaftertheoccurrenceoftheForceMajeureevent,detlingthenatureandextentoftheeventandtheexpecteddurationofitsimpact.TheaffectedPartymustalsoprovideupdatesonthestatusoftheForceMajeureeventandanyeffortstoovercomeormitigateitseffects.

IftheForceMajeureeventcontinuesforaperiodexceeding[specifiedperiod,e.g.,120days],eitherPartyshallhavetherighttoterminatethisContractbyprovidingwrittennoticetotheotherParty.Insuchevent,neitherPartyshallbeliabletotheotherforanydamagesorlossesarisingoutoforrelatedtotheterminationofthisContractduetoForceMajeure.

第八条争议解决

Article8DisputeResolution

Anydispute,controversy,orclmarisingoutoforinconnectionwiththisContract,orthebreach,termination,orinvaliditythereof,shallberesolvedinthefollowingmanner:

1.Negotiation:ThePartiesshallfirstattempttoresolveanydisputesthroughgoodfthnegotiations.Tothisend,arepresentativefromeachPartyshallmeetwithin[specifiedtimeframe,e.g.,30days]afteronePartyhasgivenwrittennoticetotheotherPartyofthedispute.

2.Mediation:Ifthedisputecannotberesolvedthroughnegotiation,thePartiesmayagreetosubmitthedisputetomediation.ThemediatorshallbemutuallyagreeduponbytheParties,andthemediationshallbeconductedinaccordancewiththerulesandproceduresagreeduponbytheParties.

3.Arbitration:Ifthedisputeisnotresolvedthroughmediationwithin[specifiedtimeframe,e.g.,60days],orifeitherPartyflsorrefusestoparticipateinthemediationprocess,thedisputeshallbefinallysettledbyarbitrationinaccordancewiththerulesofthe[specifiedarbitrationinstitution,e.g.,InternationalChamberofCommerce(ICC)]by[number]arbitratorsappointedinaccordancewithsdrules.

4.Litigation:IfthePartiesdonotagreetoarbitrationorthearbitrationprocessflstoresolvethedispute,thePartiesmaysubmitthedisputetothecourtsof[specifiedjurisdiction,e.g.,thecourtsofthecountrywherePartyAislocated].

ThePartiesagreethatthechoiceoflawandthechoiceofforumforanydisputesshallbe[specifiedjurisdiction,e.g.,thelawsofthecountrywherePartyAislocated]andthatthePartiesshallcomplywithanydecisionrenderedinthecourseofthedisputeresolutionprocess.
