1.2Thequantity,description,specifications,andqualityoftheGoodsshallbeassetforthinExhibitA.

2.PRICEANDPAYMENT

2.1ThepricefortheGoodsshallbeasspecifiedinExhibitA(the“Price”).

2.2TheBuyershallpaythePricetotheSelleruponexecutionofthisAgreementanddeliveryoftheGoods.

2.3PaymentshallbemadebywiretransfertotheSeller’sdesignatedbankaccount.

3.DELIVERYANDACCEPTANCE

3.1TheSellershalldelivertheGoodstotheBuyeratthedesignateddeliverylocationasspecifiedinExhibitA(the“DeliveryLocation”)within[timeperiod].

3.2TheBuyershallacceptdeliveryoftheGoodsuponarrivalattheDeliveryLocation.

3.3TheriskoflossordamagetotheGoodsshallpasstotheBuyerupondelivery.

4.WARRANTIES

5.2TheBuyershallnotmakeanyunauthorizedcopies,modifications,oradaptationsoftheGoods.

6.TERMINATION

6.1EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyintheeventofamaterialbreachbytheotherParty.

6.2UponterminationofthisAgreement,theBuyershallpaytheSellerforanyGoodsdeliveredpriortotheterminationdate.

7.FORCEMAJEURE

7.1NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentalactions.

8.DISPUTERESOLUTION

8.1AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.

8.2IntheeventthatthePartiesfailtoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
