ThepricefortheGoods/ServicesshallbeasspecifiedintheattachedExhibitA.PaymentfortheGoods/ServicesshallbemadeinaccordancewiththepaymenttermssetforthintheattachedExhibitB:

**4.DeliveryandAcceptance**
TheGoods/ServicesshallbedeliveredtothelocationspecifiedintheattachedExhibitA.DeliveryshallbedeemedcompleteduponthedeliveryoftheGoods/Servicestotheagreedlocation.
TheGoods/ServicesshallbedeemedacceptedbyPartyBupondelivery,unlessPartyBnotifiesPartyAinwritingofanydiscrepancieswithin[NumberofDays]daysafterdelivery.
**5.IntellectualPropertyRights**
Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,associatedwiththeGoods/Servicesshallremainthepropertyofthepartythatownssuchrights.
**6.ForceMajeure**
NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,orgovernmentactions.
**7.GoverningLawandJurisdiction**
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
**8.EntireAgreement**
ThisContract,togetherwiththeexhibitsattachedhereto,constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweenthemrelatingtothesubjectmatterofthisContract.
**9.ModificationsandAmendments**
AnymodificationsoramendmentstothisContractshallbeinwritingandsignedbybothparties.
**10.Assignment**
ThisContractmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.
**11.Termination**
ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationisnotduetothebreachofafundamentalobligationbytheterminatingparty.
**12.Survival**
TheprovisionsofthisContractthatbytheirnatureshouldsurviveterminationorexpirationthereof,includingbutnotlimitedtoconfidentiality,intellectualpropertyrights,andgoverninglaw,shallsurvivesuchterminationorexpiration.
**13.AttachingExhibits**

-Ensuringcompliancewithallapplicablelaws,regulations,andcontractualobligations;
-ProvidinganyadditionalservicesasmutuallyagreeduponbyPartyA,PartyB,andPartyC.
**3.RightsandObligationsofPartyC**
PartyCshallhavethefollowingrightsandobligations:
-TherighttoreceivefeesforitsservicesasagreeduponintheattachedExhibitC;
-Theobligationtomaintainconfidentialityregardingallinformationobtainedduringthecourseofitsduties;
-Theobligationtoactingoodfaithandwithduediligenceinitsperformanceofduties;
**4.RightsandObligationsofPartyA**
PartyAshallhavethefollowingrightsandobligations:
-TherighttoreceivepaymentfortheGoods/ServicesasspecifiedintheattachedExhibitB;
-TheobligationtodelivertheGoods/Servicesinaccordancewiththeagreedspecificationsandtimelines;
-Theobligationtocomplywithallapplicablelaws,regulations,andcontractualobligations;
-TherighttoterminatethisContractintheeventofabreachbyPartyBofitsobligationsunderthisContract.
**5.RightsandObligationsofPartyB**
PartyBshallhavethefollowingrightsandobligations:
-TherighttoreceivetheGoods/Servicesinaccordancewiththeagreedspecificationsandtimelines;
-TheobligationtopayfortheGoods/ServicesasspecifiedintheattachedExhibitB;
-Theobligationtocomplywithallapplicablelaws,regulations,andcontractualobligations;
-TherighttoterminatethisContractintheeventofabreachbyPartyAofitsobligationsunderthisContract.
**6.PaymentTerms**
ThepricefortheGoods/ServicesshallbeasspecifiedintheattachedExhibitA.PaymentfortheGoods/ServicesshallbemadeinaccordancewiththepaymenttermssetforthintheattachedExhibitB:

**7.DeliveryandAcceptance**
TheGoods/ServicesshallbedeliveredtothelocationspecifiedintheattachedExhibitA.DeliveryshallbedeemedcompleteduponthedeliveryoftheGoods/Servicestotheagreedlocation.
TheGoods/ServicesshallbedeemedacceptedbyPartyBupondelivery,unlessPartyBnotifiesPartyAinwritingofanydiscrepancieswithin[NumberofDays]daysafterdelivery.
**8.IntellectualPropertyRights**
Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,associatedwiththeGoods/Servicesshallremainthepropertyofthepartythatownssuchrights.
**9.GoverningLawandJurisdiction**
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
**10.Termination**
ThisContractmaybeterminatedbyeitherPartyAorPartyBuponwrittennoticetotheotherparty,providedthatsuchterminationisnotduetothebreachofafundamentalobligationbytheterminatingparty.
**11.Survival**
TheprovisionsofthisContractthatbytheirnatureshouldsurviveterminationorexpirationthereof,includingbutnotlimitedtoconfidentiality,intellectualpropertyrights,andgoverninglaw,shallsurvivesuchterminationorexpiration.
**12.Assignments**
ThisContractmaynotbeassignedbyeitherPartyAorPartyBwithoutthepriorwrittenconsentoftheotherparty.
**13.ModificationsandAmendments**
AnymodificationsoramendmentstothisContractshallbeinwritingandsignedbyallparties.
**14.Third-PartyInterests**
TheinvolvementofPartyCservestoenhancetheinterestsofPartyAbyprovidingthefollowingbenefits:
-AccesstoawidermarketfortheGoods/Services;
-Streamlinedtransactionprocesses;
-Enhancedcompliancewithlegalandregulatoryrequirements;
**15.Conclusion**
TheinclusionofPartyCasathird-partyintermediaryinthisContractservestofacilitateasmoothandefficienttransactionbetweenPartyAandPartyB.TherightsandobligationsofPartyCaredesignedtoensuretheprotectionofPartyA'sinterests,whiletherightsandobligationsofPartyAandPartyBarestructuredtoprovideaclearframeworkforthesupplyandpurchaseoftheGoods/Services.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

-ToaccessPartyA'sfacilitiesandrecordsasnecessarytoperformitsduties;
-Toretainownershipofanyreportsorrecommendationsgeneratedaspartofitsservices.
PartyCshallbeobligatedto:
-Maintainconfidentialityofallinformationobtainedduringtheauditandconsultingprocesses;
-Conductitsdutieswithduediligenceandinaprofessionalmanner;
-ProvidePartyBwithacomprehensiveandobjectiveassessmentofPartyA'sservices.
**4.RightsandObligationsofPartyB**
PartyBshallhavetheright:
-ToreceiveregularupdatesandreportsfromPartyContheauditandconsultingprocess;
-TorequestmodificationstoPartyA'sservicesbasedontherecommendationsmadebyPartyC;
-ToterminatethisContractintheeventofamaterialbreachbyPartyA.
PartyBshallbeobligatedto:
-PayfortheservicesprovidedbyPartyCinaccordancewiththeattachedExhibitC;
-ProvidenecessaryinformationandaccesstoPartyCfortheperformanceofitsduties;
-EnsurethatitsrequestsandinstructionstoPartyAarereasonableandingoodfaith.
**5.RightsandObligationsofPartyA**
PartyAshallbeobligatedto:
-ProvidePartyCwithfullandunrestrictedaccesstoitsfacilities,records,andpersonnelnecessaryfortheperformanceoftheauditandconsultingservices;
-ComplywithallrecommendationsmadebyPartyCinatimelyandeffectivemanner;
-ProvidePartyBwithafullaccountofitsservicesandanychangesmadeinresponsetotheauditandconsultingprocess.
**6.PaymentTerms**
ThefeesforPartyC'sservicesshallbeasspecifiedintheattachedExhibitC.PaymentshallbemadeinaccordancewiththetermsoutlinedinExhibitC.

**7.DeliveryandAcceptance**
