图书馆地暖安装工程协议合同编号：__________LibraryFloorHeatingInstallationContractThisContractismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:[LibraryName](the"Library"),alegalentityorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[LibraryAddress];and[ContractorName](the"Contractor"),alegalentityorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[ContractorAddress].(Eacha"Party"andcollectivelythe"Parties")RECITALS:WHEREAS,theContractorisexperiencedandqualifiedintheinstallationoffloorheatingsystemsandhasagreedtoundertaketheinstallationworkuponthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thePartiesagreeasfollows:1.SCOPEOFWORK1.1TheContractoragreestodesign,supply,andinstallafloorheatingsystemintheLibrary'spremises,asspecifiedintheattachedProjectDescriptionandTechnicalSpecifications.2.TERM3.PAYMENT3.2PaymentshallbemadetheLibrarytotheContractorinaccordancewiththepaymenttermsandschedulesetforthintheattachedPaymentTerms.4.CONFIDENTIALITY4.1TheContractoragreestomaintaininconfidenceallconfidentialinformationdisclosedtoittheLibrary,including,butnotlimitedto,technicaldata,specifications,pricing,andotherproprietaryinformation(the"ConfidentialInformation").4.2TheContractorshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceofitsobligationsunderthisContract,andshallnotdisclosetheConfidentialInformationtoanythirdpartywithouttheLibrary'spriorwrittenconsent.5.WARRANTIES5.1TheContractorwarrantsthatthefloorheatingsysteminstalledunderthisContractshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod],fromthedateoffinalacceptancetheLibrary.6.DEFAULTANDTERMINATION6.1TheContractorshallbeindefaultifitfailstoperformanymaterialobligationunderthisContractandsuchfailurecontinuesforaperiodof[DefaultPeriod]afterwrittennoticethereofhasbeengiventheLibrary.6.2TheLibrarymayterminatethisContractforthwithuponwrittennoticetotheContractoriftheContractorbreachesanymaterialprovisionofthisContractandfailstocuresuchbreachwithin[CurePeriod]afterwrittennoticethereofhasbeengiventheLibrary.7.INDEMNIFICATION7.1TheContractoragreestoindemnifyandholdharmlesstheLibraryagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheinstallationworkunderthisContract,excepttotheextentcausedtheLibrary'ssolenegligenceorwillfulmisconduct.8.GOVERNINGLAWANDDISPUTERESOLUTION8.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[GoverningJurisdiction].8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.9.ENTIREAGREEMENT9.1ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.INWITNESSWHEREOF,thePartieshaveexecutedthis一、附件列表：1.ProjectDescriptionandTechnicalSpecifications2.PriceSchedule3.PaymentTerms4.WarrantyPeriod5.DefaultPeriod6.CurePeriod7.ArbitrationInstitutionRules二、违约行为及认定：1.违约行为：Contractor未能按照合同规定的设计、供应和安装floorheating系统。认定：如果Contractor未能在规定的时间内完成工作，或者安装的系统不符合技术规格，将被视为违约。2.违约行为：Contractor未能维护Library的机密信息。认定：如果Contractor未能按照规定保密信息，或者将机密信息披露给第三方，将被视为违约。3.违约行为：Contractor未能在规定的时间内纠正违约行为。认定：如果Contractor在收到Library的书面通知后，未能在规定的时间内纠正违约行为，将被视为违约。三、法律名词及解释：1.Contractor：指与Library签订合同的floorheating系统安装公司。2.Library：指需要安装floorheating系统的图书馆。3.EffectiveDate：指合同生效日期。4.FinalAcceptanceCertificate：指Library对floorheating系统安装完成后发出的最终验收证书。5.ConfidentialInformation：指合同中提到的图书馆的机密信息，包括技术数据、规格、定价等。四、执行中遇到的问题及解决办法：1.问题：安装过程中遇到技术难题。解决办法：Contractor应立即与Library沟通，共同寻求技术支持，以确保安装工作的顺利进
