模块化生产线采购协议合同编号：__________moduleproductionlinepurchaseagreementBETWEEN:[Supplier'sName]Address:[Supplier'sAddress]City:[Supplier'sCity]Province/State:[Supplier'sProvince/State]PostalCode:[Supplier'sPostalCode]Country:[Supplier'sCountry]AND:[Customer'sName]Address:[Customer'sAddress]City:[Customer'sCity]Province/State:[Customer'sProvince/State]PostalCode:[Customer'sPostalCode]Country:[Customer'sCountry]ThisModuleProductionLinePurchaseAgreement(the"Agreement")ismadeandenteredintoasof[Date],andbetween[Supplier'sName]("Supplier")and[Customer'sName]("Customer").RECITALSWHEREAS,Supplierisengagedinthebusinessofmanufacturingandsupplyingmoduleproductionlines;WHEREAS,CustomerdesirestopurchasefromSupplierandSupplierdesirestoselltoCustomercertainmoduleproductionlines,asspecifiedinExhibitAattachedhereto;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.PurchaseandSaleofModuleProductionLines1.1Purchase.SubjecttothetermsandconditionsofthisAgreement,CustomeragreestopurchasefromSupplierthemoduleproductionlinesspecifiedinExhibitAattachedhereto(the"PurchasedEquipment").1.2Sale.SubjecttothetermsandconditionsofthisAgreement,SupplieragreestosellanddelivertoCustomerthePurchasedEquipment.2.DeliveryandAcceptance2.1Delivery.SuppliershalldeliverthePurchasedEquipmenttothelocationspecifiedCustomerinExhibitA(the"DeliveryLocation")onorbeforethedeliverydatespecifiedinExhibitA(the"DeliveryDate").2.2Acceptance.CustomershallhavetherighttoinspectandtestthePurchasedEquipmentupondelivery.IfthePurchasedEquipmentconformstothespecificationssetforthinExhibitA,CustomershallacceptthePurchasedEquipmentandpaySupplierthepurchasepricesetforthinExhibitA.IfthePurchasedEquipmentdoesnotconformtothespecificationssetforthinExhibitA,CustomershallhavetherighttorejectthePurchasedEquipmentanddemandarefundofthepurchasepriceorreplacementofthePurchasedEquipment,atSupplier'ssolediscretion.3.PurchasePriceandPaymentTerms3.1PurchasePrice.ThepurchasepriceforthePurchasedEquipmentissetforthinExhibitA.3.2PaymentTerms.CustomershallmakepaymentforthePurchasedEquipmentwiretransfertoSupplier'sdesignatedbankaccount,inaccordancewiththepaymenttermssetforthinExhibitA.4.Warranty4.1Warranty.SupplierwarrantsthatthePurchasedEquipmentshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.4.2WarrantyClaims.IntheeventthatthePurchasedEquipmentfailstoconformtothewarrantysetforthinSection4.1,CustomershallnotifySupplierinwritingwithinthewarrantyperiod.Suppliershall,atitssolediscretion,eitherrepairorreplacethePurchasedEquipment,orrefundthepurchasepriceforthedefectiveequipment.5.LimitationofLiability5.1INNOEVENTSHALLSUPPLIERBELIABLETOCUSTOMERFORANYINDIRECT,CONSEQUENTIAL,EXEMPLARY,INCIDENTAL,ORSPECIALDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSTPROFITS,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENT,WHETHERORNOTSUPPLIERHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.5.2INNOEVENTSHALLSUPPLIER'SAGGREGATELIABILITYUNDERTHISAGREEMENTEXCEEDTHETOTALPURCHASEPRICESETFORTHINEXHIBITA.6.Indemnification6.1CustomershallindemnifyandholdharmlessSupplierfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithCustomer'suseofthePurch一、附件列表：1.ExhibitA–ModuleProductionLineSpecifications2.ExhibitB–DeliverySchedule3.ExhibitC–PaymentTermsandConditions4.ExhibitD–WarrantyTermsandConditions5.ExhibitE–DisputeResolutionAgreement二、违约行为及认定：1.Supplier'sfailuretodeliverthePurchasedEquipmenttheDeliveryDate.2.Supplier'sdeliveryofPurchasedEquipmentthatdoesnotconformtothespecificationssetforthinExhibitA.3.Customer'sfailuretomakepaymentinaccordancewiththetermssetforthinExhibitC.4.Customer'sfailuretoacceptthePurchasedEquipmentortonotifySupplierofanywarrantyclaimswithintheapplicablewarrantyperiod.三、法律名词及解释：2.DeliveryDate:ThedatespecifiedinExhibitBwhichSupplieragreestodeliverthePurchasedEquipmenttotheDeliveryLocation.3.PurchasePrice:ThetotalamountofmoneytobepaidCustomertoSupplierforthePurchasedEquipment,assetforthinExhibitC.4.WarrantyPeriod:ThedurationoftimeduringwhichSupplierwarrantsthePurchasedEquipmenttobefreefromdefects,asspecifiedinExhibitD.四、执行中遇到的问题及解决办法：1.DelayinDelivery:IfSupplierisunabletodeliverthePurchasedEquipmenttheDeliveryDate,thepartiesshallnegotiateforanextensionoftheDeliveryDateoragreeonanalternativesolution.2.NonConformingEquipment:IfthePurchasedEquipmentdoesnotmeettheagreeduponspecifications,CustomershallnotifySupplierinwritingwithinthewarrantyperiod,andSuppliershall,atitssolediscretion,eitherrepair,replace,orrefundthenonconformingequipment.3.PaymentDispute:Incaseofanydisputesarisingoutoforinconnectionwiththepaymentterms,thepartiesshallresolvethedisputethroughnegotiation.Ifthedisputeremainsunresolved,eitherpartymayseeklegalremedies.五、所有应
