Three,Termsofdelivery:

Deliverydate:PartyBshallsendtheshippingnoticetoPartyAwithin30workingdaysafterthesigningoftheContract;

Deliverymethod:PartyBshalldeliverthegoodstotheplacedesignatedbyPartyAandinstallthem.

Four,Acceptance:

PartyAshallcarryouttheacceptancewithin3calendardaysafterreceivingthegoods,andtheacceptanceshallbeconfirmedbybothpartiesinwriting.Ifthereareanyobjectiontothequality,appearanceandquantityofthegoods,PartyAshallsubmitittoPartyBinwritingwithin3daysfromthedateofreceipt.AfterconfirmationbyPartyB,PartyBshallreturnorexchangethegoods.IfPartyAraisesanobjectionexceedingthetimelimitorfailstoraiseobjectionwithinthesaidtimelimit,PartyAshallbedeemedtohavepassedtheacceptance.

Five,Qualityassurance:

PartyBguaranteestoprovidequalifiedfurnitureaccordingtotheContractwithashelflifeoftenyears.However,ifanydefectscausedbyPartyAsuchasimproperuse,storage,andmaintenance,PartyBshallnotbearanyresponsibilityevenduringthewarrantyperiod.

Six,Liabilityforbreachofcontract

（1）Afterthesigningofthiscontract,eitherpartyshallbeliableforbreachofContract.Iftheliquidateddamagesarenotsufficienttomakeupforthelossesoftheobservantparty,thedefaultingpartyshallcompensateforalllossescausedtotheobservantparty(includingdirectlosses,lossofavailablebenefitsandexpensesforclaimingrights,etc.).

（2）IncaseofoverduepaymentcausedbyPartyA,liquidateddamagesshallbecalculatedatonethousandthoftheoverduepaymentforeachdayoverdue.ThepaymentofliquidateddamagesshallnotexemptPartyAfromotherresponsibilitiesstipulatedintheContract.IfPartyAfailstopaythecorrespondingamountasagreedinthisContract20daysafterthedeadline,itshallbedeemedasPartyA'srefusaltopay,andPartyBhastherighttounilaterallyterminatetheContractinadvancewithoutanyliabilityforbreachofcontract.Inthiscase,thepaymentthatPartyAhaspaidtoPartyBshallnotberefunded,andPartyAshallpayPartyBapenaltyof5%ofthetotalamountoftheContract.

Seven,Forcemajeure

IfeitherpartyisunabletoperformtheContractduetoforcemajeure,thepartyshallpromptlynotifytheotherparty,explainthereasonfortheforcemajeure,andshallprovideappropriateproofoftheoccurrenceanddurationoftheforcemajeureeventwithin15daysthereafter,andbeexemptedfromliabilityinpartorinwholeaccordingtotheimpactoftheforcemajeure.IfonepartybreachestheContractfirstandforcemajeureoccursafterthedelayinperformance,thepartyshallnotbeexemptedfromtheliabilityforbreachofContract.Iftheforcemajeurelastsformorethan60days,eitherpartyhastherighttodemandtheterminationoftheContract.

Eight,Effective:

Thiscontractisinduplicateandtakeseffectfromthedateofsigningbybothparties.Eachpartyholdsonecopywithequallegaleffect.
