NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

ARTICLE1-DEFINITIONS

1.1"FOB"meansFreeOnBoard,asthetermisdefinedintheIncoterms2020,oranysubsequentversionthereof,publishedbytheInternationalChamberofCommerce.

1.2"Goods"meansthe[DescriptionofGoods]tobesuppliedbySellertoBuyerpursuanttothisAgreement.

1.3"Order"meansawrittenpurchaseorderissuedbyBuyertoSeller,specifyingthetype,quantity,andotherspecificationsoftheGoods.

1.4"Price"meansthepricefortheGoodsasspecifiedinArticle3ofthisAgreement.

ARTICLE2-ORDERANDACCEPTANCE

2.1BuyershallissueanOrdertoSeller,whichshallcontaindetailedspecifications,quantity,anddeliveryrequirementsfortheGoods.

2.2Sellershall,within[number]daysofreceiptoftheOrder,confirmitsacceptanceinwriting.TheOrdershallbedeemedacceptedifSellerdoesnotprovidewrittennoticeofrejectionwithinsuchperiod.

ARTICLE3-PRICEANDPAYMENT

3.1ThePricefortheGoodsshallbe[Price],payableinaccordancewiththepaymenttermssetforthinExhibitAattachedhereto.

3.2BuyershallmakepaymenttoSellerinfullandinthecurrencyspecifiedinExhibitA,bywiretransfertothebankaccountdesignatedbySeller,within[number]daysafterthedateoftheinvoiceissuedbySeller.

ARTICLE4-DELIVERY

4.1TheGoodsshallbedeliveredbySellertothecarrierattheportofshipmentonorbeforethedatespecifiedintheOrder(the"DeliveryDate").

4.2TitleandriskoflossoftheGoodsshallpasstoBuyerupondeliverytothecarrierattheportofshipmentinaccordancewiththeFOBterms.

ARTICLE5-INSPECTIONANDACCEPTANCE

5.1BuyershallhavetherighttoinspecttheGoodsupondelivery.IftheGoodsdonotconformtothespecificationsandqualitystandardssetforthintheOrder,Buyermay,atitssolediscretion,rejectthenon-conformingGoods.

5.2Intheeventofrejection,Sellershall,atitsownexpense,promptlyreplacethenon-conformingGoodswithconformingGoods.

ARTICLE6-WARRANTIES

6.1SellerwarrantsthattheGoodswillconformtothespecifications,qualitystandards,andanyotherrequirementssetforthintheOrder.

6.2EXCEPTASEXPRESSLYPROVIDEDINTHISAGREEMENT,SELLERDISCLAIMSALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITYANDFITNESSFORAPARTICULARPURPOSE.

ARTICLE7-INDEMNIFICATION

7.1EachPartyshallindemnify,defend,andholdharmlesstheotherPartyagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementbytheindemnifyingParty.

ARTICLE8-FORCEMAJEURE

8.1NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation.

ARTICLE9-TERMINATION

9.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticeiftheotherPartymateriallybreachesanytermorconditionofthisAgreementandfailstocuresuchbreachwithin[number]daysafterreceiptofwrittennoticethereof.

ARTICLE10-MISCELLANEOUS

10.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

10.2ThisAgreementmaynotbeamendedormodifiedexceptbyawritteninstrumentexecutedbybothParties.

10.3ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[ChoiceofLaw],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

ARTICLE1-DEFINITIONS

ARTICLE2-GOODSANDSERVICES

2.1PartyBshallsupplytheGoodstoPartyAinaccordancewiththespecificationsandquantitiessetforthinExhibitAattachedhereto.

2.2ThirdPartyshallprovidetheThirdPartyServicestoensurethesafe,timely,andefficientdeliveryoftheGoodsfromPartyBtoPartyA,inaccordancewiththetermsandconditionssetforthherein.

ARTICLE3-RIGHTSANDOBLIGATIONSOFPARTYA

3.1PartyAshallhavetherightto:

a.ReceivetheGoodsthatconformtotheagreedspecificationsandqualitystandards;

b.DemandthatPartyBandThirdPartyadheretotheagreedtimelinesanddeliveryschedules;

c.SuspendorterminatethisAgreement,withoutliability,intheeventofamaterialbreachbyPartyBorThirdParty;

d.InspecttheGoodsupondeliveryandrejectanynon-conformingGoods.

3.2PartyA'sobligationsshallbelimitedto:

a.PaymentfortheGoodsandThirdPartyServicesinaccordancewiththetermssetforthinArticle4;

b.ProvidingnecessaryinformationanddocumentationtofacilitatetheThirdPartyServices.

ARTICLE4-PAYMENTTERMS

5.2PartyB'sandThirdParty'sliabilityshallbelimitedtothereplacementofthenon-conformingordamagedGoodsorthereimbursementofthepurchaseprice,atPartyA'sdiscretion.

5.3PartyBandThirdPartyshallindemnifyandholdharmlessPartyAagainstanyclaims,liabilities,andexpensesarisingfromtheirrespectivebreachesofthisAgreement.

ARTICLE6-BREACHANDREMEDIES

6.1IntheeventofPartyB'sorThirdParty'smaterialbreach,PartyAshallhavetherightto:

a.Demandspecificperformance;

b.Seekinjunctiverelief;

c.TerminatethisAgreementandclaimdamages.

6.2PartyBandThirdPartyshallnotbereleasedfromtheirobligationsunderthisAgreementduetoforcemajeureevents,exceptwithPartyA'swrittenconsent.

ARTICLE7-THIRDPARTY'SROLEANDPURPOSE

7.1TheinvolvementofThirdPartyinthisAgreementistoensuretheefficientandsecurelogisticsprocess,therebysafeguardingPartyA'sinterests.

7.2ThirdParty'sobligationsinclude,butarenotlimitedto,timelydelivery,properhandlingoftheGoods,andcompliancewithrelevantlawsandregulations.

ARTICLE8-GENERALPROVISIONS

8.1ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

8.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbyallParties.

3.2PartyB'sobligationsshallbelimitedto:

ARTICLE4-COMPENSATIONANDPAYMENTTERMS

ARTICLE6-BREACHANDREMEDIES

a.SuspendtheprovisionofServicesuntilthebreachiscured;

b.TerminatethisAgreementandseekdamages;

c.Pursueanyotherlegalremediesavailable.
