Background:

Article2Definitions

-"Order"meansawritteninstructionfromtheBuyertotheSellertosupplytheGoodsorServices.

-"IntellectualPropertyRights"meansanypatents,trademarks,servicemarks,copyrights,moralrights,tradesecrets,andanyotherintellectualpropertyrightsrecognizedbyapplicablelaw.

-PartyAshallinspecttheGoodsorServicesuponDeliveryandnotifyPartyBofanydefectsornon-conformitieswithinaspecifiedperiod.

-PartyAshallnotusetheSeller'sIntellectualPropertyRightswithoutpriorwrittenconsent.

第四条价格与支付条件

Article4PriceandPaymentTerms

-ThepricefortheGoodsorServicesshallbeasspecifiedintheOrderandconfirmedbytheSellerinwriting.

-PaymentshallbemadebytheBuyertotheSellerintheagreedcurrencyandthroughbanktransfer,PayPal,oranyothermutuallyacceptablepaymentmethod.

-AnykeymilestonesordeliverydatesprovidedbytheSellershallbeadheredtobybothParties.

-Intheeventofdelaysduetounforeseencircumstances,thePartyaffectedshallpromptlynotifytheotherPartyandmakereasonableeffortstomitigatethedelay.

第六条违约责任

Article6LiabilityforBreach

IntheeventofabreachofthisContractbyeitherParty,thefollowingconsequencesandremediesshallapply:

-FlurebytheSellertodelivertheGoodsorServicesinaccordancewiththetermsoftheContractshallentitletheBuyertoclmarefundorseekcompensationforanylossesincurred.

-IftheBuyerflstomakepaymentinaccordancewiththeagreedpaymentterms,theSellershallhavetherighttosuspendfurtherdeliveriesorperformanceuntilpaymentisreceived,andtochargeinterestasspecifiedinArticle4.

-Intheeventofamaterialbreachthatisnotremediedwithinareasonableperiod,thenon-breachingPartyshallhavetherighttoterminatetheContractandclmdamages.

-ThePartiesagreethatthefollowingactionsshallconstitutebreachesofthisContract:[listspecificactionsoromissionsthatconstitutebreaches].

-ThePartiesshallbeliableforanydirectdamagescausedbytheirbreachbutshallnotbeliableforindirect,consequential,orpunitivedamages,unlesssuchdamagesareadirectandimmediateconsequenceofthebreach.

-ThePartiesmayagreeuponareasonableamountforliquidateddamagesintheeventofabreach,whichshallbespecifiedintheOrder.

Article7ForceMajeure

ThePartiesagreethatthefollowingeventsshallbeconsideredasforcemajeureevents,whichshallexcusethenon-performanceordelayedperformanceofanyobligationsunderthisContract:

-Naturaldisasters,suchasearthquakes,hurricanes,floods,orfires;

-Epidemics,pandemics,oranyotherhealthemergencies;

-War,armedconflict,terroristacts,oranyotheractsofviolence;

-Strikes,lockouts,orotherindustrialactionsthatarebeyondthecontroloftheParties;

-Anyacts,orders,orregulationsofanygovernmentauthoritythatpreventordelaytheperformanceoftheContract;

-AnyothereventsthatarebeyondthereasonablecontrolofthePartiesandthatcouldnothavebeenavoidedbytheexerciseofduediligence.

Intheeventofaforcemajeureevent,theaffectedPartyshallpromptlynotifytheotherPartyinwritingofthenatureandextentoftheevent.TheaffectedPartyshallalsoprovidereasonableevidencetosupporttheoccurrenceoftheforcemajeureevent.TheobligationsoftheaffectedPartyundertheContractshallbesuspendedforthedurationoftheforcemajeureevent.Iftheforcemajeureeventcontinuesforaperiodexceeding[number]months,eitherPartyshallhavetherighttoterminatetheContractbygivingwrittennoticetotheotherParty.

Article8DisputeResolution

IntheeventofanydisputesarisingoutoforinconnectionwiththisContract,thePartiesagreetothefollowingdisputeresolutionmechanism:

1.AmicableNegotiation:ThePartiesshallfirstattempttoresolveanydisputesthroughamicablenegotiations.Toinitiatethenegotiationprocess,eitherPartyshallprovidewrittennoticetotheotherPartyspecifyingthenatureandbasisofthedispute.ThePartiesshallthenengageingoodfthnegotiationstoresolvethedisputewithin[number]daysfromthereceiptofthenotice.

2.Mediation:Ifthedisputeisnotresolvedthroughnegotiation,thePartiesmayagreetosubmitthedisputetomediation.ThemediatorshallbemutuallyagreeduponbytheParties.ThemediationprocessshalltakeplaceatalocationandwithinatimeframeacceptabletobothParties.IfthePartiesreachasettlementthroughmediation,thesettlementagreementshallbebindingandenforceable.

3.Arbitration:Ifthedisputeisnotresolvedthroughnegotiationormediation,thePartiesagreetoresolvethedisputethrougharbitration.Thearbitrationshallbeconductedinaccordancewiththerulesofthe[nameofthearbitrationinstitution].Thenumberofarbitrators,theplaceofarbitration,andthelanguageofthearbitrationshallbeagreeduponbytheParties.Thedecisionrenderedbythearbitrator(s)shallbefinalandbindingupontheParties.

4.Litigation:Ifthedisputecannotberesolvedthroughnegotiation,mediation,orarbitration,thePartiesmaysubmitthedisputetothecourtsof[jurisdiction]forresolution.

-Notices:Anynotices,requests,orothercommunicationsunderthisContractshallbeinwritingandshallbedeemedeffectivewhendeliveredpersonally,sentbyregisteredml,ortransmittedbyfacsimileoremltotheaddressesspecifiedinArticle1.

-ModificationandAmendment:ThisContractmaybemodifiedoramendedonlybyawritteninstrumentexecutedbybothParties.AnychangestotheOrderoradditionalterm
